Benefits of using a company formation agent for a Private Company Limited by Guarantee

Setting up a club, association, community organisation or membership body? Coddan helps you form a Private Company Limited by Guarantee with experienced people behind the online process. You tell us what the organisation will do and who will be involved; we prepare the agreed documents, check your application and submit it through our Companies House-integrated formation system.

We have provided formation and business-support services since 2005, helping UK and overseas customers. Start with a straightforward, affordable package or ask about particular articles, charitable purposes, property arrangements or work for your clients. A CLG has guarantor-members rather than shareholders; charity registration is a separate service.

Your personal manager: Contact your assigned manager directly by phone or email during working hours for help with your order and the next step. Your manager knows your instruction and brings in specialist colleagues when needed. Online ordering is available 24/7.

01 · Affordable preparation

Experienced help with your CLG

A straightforward CLG can use suitable established articles without unnecessary bespoke drafting. Tell us about your purpose, directors, guarantors and voting arrangements. We explain the requirements, prepare the agreed documents and check the application before submission.

As your formation agent, Coddan handles the preparation and filing. Our HMRC-supervised TCSP role also covers the customer and authority checks needed for your order. Particular articles are discussed and priced when your organisation needs them.

02 · Cost-effective incorporation

A clear price for the work you need

CLGEssential™ starts at £119.99 + VAT, including the £100 Companies House incorporation fee, professional review, application submission and digital incorporation documents. It suits a straightforward formation using your own appropriate registered office in England and Wales.

Compare the packages for registered-office, director-address or continuing secretarial services. Coddan’s identity-verification service and selected extras are separately priced. See formation costs and additional-service prices before choosing.

03 · Easy to start

Start online, with someone to ask

Begin through our 24/7 portal wherever you are based. With your information ready, allow around 10–15 minutes to complete a straightforward order form. Prepare the company name, purpose, directors, guarantors, addresses and control details; your manager can explain unfamiliar questions.

Have existing Personal Codes ready. If you choose Coddan’s verification service, you complete the Credas checks; we review the evidence and manually submit the confirmation through our ACSP account. Companies House issues your Personal Code. See identity-verification help.

04 · Simple to arrange

Choose the services that fit

Need particular articles, a registered office, director service address, printed documents or help after incorporation? Tell us what you need. You can agree a suitable combination through Coddan rather than fit your organisation into a package that does not suit it.

We explain the available work and charges before you order. If you are arranging services for clients, explore our professional-partner support. Direct customers and professional firms can request a written service agreement.

For a specific requirement

Your formation and administration, through Coddan

Discuss related work with the people helping you form your company. We can arrange formation, separately instructed identity verification, addresses, SAIL, company records, filings and document services, and explain the available accounts or continuing secretarial support. Email your requirements and any deadline; we confirm the work we can undertake and its price. A written service agreement is available to record the services, responsibilities, service period and charges for your accepted order.

Arranging work for clients? Explore partner support or discuss an ACSP partnership. You can also discuss continuing CLG support. Additional services are agreed separately unless included in your chosen package.

Choose Your CLG Formation Route

Standard Formation or Bespoke Governance Support?

A standard formation package is a practical starting point when your proposed Company Limited by Guarantee (CLG) has straightforward requirements. If your organisation needs a complex asset lock, non-standard governance clauses, tailored membership rights or other specific constitutional provisions, tell us what you want to achieve before choosing a route. A standard package may not cover every individually drafted provision.

Route 1 · Standard

My CLG Requirements Are Straightforward

If your organisation can use a standard formation route and does not need individually drafted constitutional provisions, compare the four packages above and choose the service that matches the support you want now.

  • Standard formation information and incorporation
  • Package scope and price shown before ordering
  • Optional address and continuing services can be considered separately
Route 2 · Bespoke

My CLG Has Specific Governance or Asset-Lock Requirements

If you need a tailored asset lock, unusual objects, particular member voting or admission rules, bespoke articles or another non-standard arrangement, start by telling us what you want the organisation to achieve and which services you wish to order. You do not need to select a standard package that does not fit your requirements.

  • Describe the organisation's purpose and intended activities
  • Outline the governance, membership or asset-lock provisions you have in mind
  • List the formation and additional services you want to discuss

After reviewing your initial enquiry, Coddan can clarify the proposed scope and applicable charges, then send you the appropriate offline order form with the relevant details for completion. The form is supplied as the next step, rather than as an unassessed public download.

Discuss Your Bespoke CLG Requirements

This opens an email enquiry to Coddan. The offline order form will be sent after your requirements and requested services have been reviewed.

Important: A CLG Is Not Automatically a Registered Charity

A Company Limited by Guarantee is a corporate structure, not a charitable status. Incorporating a CLG at Companies House does not automatically register it as a charity or make it eligible for charitable tax treatment. If your organisation intends to operate for exclusively charitable purposes, its purposes, governing documents and applicable charity-registration requirements must be considered separately.

Planning to establish a charitable organisation? Review the charitable CLG formation route and check the relevant charity-registration requirements before deciding which formation service is suitable.

Professional support should help you choose the right route—not make bespoke work compulsory.

Many CLGs can proceed using a standard package. A more individual review may be appropriate where the proposed constitution, asset restrictions, membership arrangements or intended activities raise specific questions. Any additional drafting, charity registration or other specialist work should be identified separately and agreed before it is undertaken.

Formation Is the Starting Point. Your CLG May Need Support Later.

You do not need to purchase every future service at incorporation. When your organisation begins operating, choose the additional help that matches its actual needs.

Private LBG/CLG Formation With Coddan Formations Agent: The Essentials

People and preparation

You need at least one director and one guarantor-member; one person can hold both roles. Have the name, addresses, guarantee amount and membership arrangements ready. With the information prepared, the online order usually takes 10–15 minutes. Charity registration is separate from CLG incorporation.

What Coddan does

Coddan reviews your information, prepares the agreed documents and submits your approved application. The starting package is £119.99 plus VAT, including the £100 Companies House incorporation fee. Identity verification performed by Coddan is separately ordered and charged where needed.

Time and documents

Our preparation routes usually take 1–2 hours with established articles, 2–3 hours with your own documents, or several days for customisation. After review and submission, around 90% of applications receive approval and a certificate within 1–3 working hours. Allow 24–48 hours for standard formation.

Your manager and later support

Every formation order includes an assigned personal manager, available by telephone or email during working hours. Receive your digital incorporation documents after registration. Address services, extra documents and continuing secretarial help are available separately. Ask for a written service agreement if you need one.

Professional help before your application reaches Companies House

As your private company limited by guarantee formation agent, Coddan helps you prepare the application before it reaches Companies House. We check the details you supply, ask about missing or inconsistent information, prepare the company documents included in your service and submit the application after you approve it. We also explain the identity-verification requirements that apply to your directors and people with significant control (PSCs), including how to use an existing Personal Code or arrange separately charged verification through Coddan.

A Private Company Limited by Guarantee (CLG) can suit a sports club, association, community group or other membership organisation that needs a company without shareholders. Its members promise a stated contribution, commonly £1, if the company is wound up. You may also see this structure called limited by guarantee or LBG.

Tell us what your organisation will do and how its membership will work. The articles set out members’ rights, the directors’ powers and how decisions are made. We can help you choose suitable formation documents and explain any additional preparation needed for particular voting rights, charitable purposes or other requirements. CLG incorporation and charity registration are separate steps; non-profit restrictions need to be reflected in the company’s rules.

Coddan CPM Limited combines company-formation experience with HMRC supervision as a trust or company service provider and Companies House registration as an Authorised Corporate Service Provider. UK and overseas customers can start online using our Companies House-integrated software, with a person reviewing the application before submission.

Affordable formation means a clear price and useful help for the work you need. Your personal manager can explain the questions in the order and help you choose a suitable package. If you have an appropriate registered office and straightforward requirements, you can choose the starting package without buying address services or wider support you do not need. If additional drafting or verification is required, we explain the work and charge before proceeding.

You choose the company’s people and arrangements and approve its details. Coddan handles the preparation and submission within your selected service, so you know what to provide, what we will do and what happens next.

Choose the help you need

Choose according to your organisation’s requirements. We explain the formation documents, address options and continuing support available, so you can buy the services that are useful to you.

Start online, with a person to ask

Every formation order has an assigned personal manager you can contact by telephone or email during working hours. Ask for help with your proposed CLG, its members or the information requested in the order.

Prepare the company properly

Coddan checks the proposed directors, guarantor-members, guarantee amounts and application details, and prepares suitable documents within your selected service. Tell us about unusual membership or voting arrangements before submission.

Keep help available afterwards

Keep formation, company records, addresses and later filing help with Coddan if that suits your organisation. Choose the continuing services you need; these are separate from your personal manager’s help with the formation order.

Coddan’s formation-agent, TCSP and ACSP roles

Coddan has provided formation and business-support services since 2005. Here is how our formation-agent, trust or company service provider (TCSP) and Authorised Corporate Service Provider (ACSP) roles help with your order.

Company formation agent

We review your formation instructions, identify missing information, prepare the agreed documents and application, and submit the approved particulars to Companies House. You receive the incorporation documents after successful registration.

HMRC-supervised TCSP

Coddan CPM Limited is supervised by HMRC for anti-money-laundering purposes as a trust or company service provider. This involves checking the customer, relevant ownership and control, authority to instruct and the purpose of the requested service.

Companies House-registered ACSP

Coddan CPM Limited is an Authorised Corporate Service Provider, also known as a Companies House authorised agent. We can undertake separately instructed Companies House identity verification, review the evidence and submit the verification confirmation through our ACSP account.

Clear responsibility for the work

We explain what you are buying and what we need from you. Companies House controls incorporation; charity regulators and other authorities make their own decisions. ACSP registration and HMRC supervision are not government endorsements.

Coddan can also help an existing CLG with company records, addresses and administration. Discuss the work you need and we will explain the available services and charges.

For background, read the official guidance on Companies House authorised agents and trust or company service providers. Ask us if you would like information about Coddan’s registration and supervision before instructing us.

24/7 online access and Companies House-integrated formation software

Our formation portal is available 24/7, so UK and overseas customers can start an order without waiting for the office to open. You can provide the proposed company’s details online and arrange the people, addresses and documents needed for the application. Our formation software connects with Companies House for electronic submission of suitable applications.

Our team reviews applications during working hours. The preparation section below explains the steps from your online order to Companies House submission.

Set up a private company limited by guarantee online

Compare the four CLG formation packages above for their documents, addresses and continuing support. If you need tailored articles or are unsure which package suits your organisation, speak with Coddan before ordering.

Founders living abroad can use our formation service too. Tell us where the directors and members live, which identity documents they hold and whether the company’s documents will be used overseas. You can use your own appropriate UK registered office or choose a Coddan address service in the company’s registration jurisdiction.

If you are unsure how to answer a question in the order, contact us rather than guessing. The guide to starting a guarantee company with Coddan explains the ordering and formation process in more detail.

Before you order your CLG formation

Have the company’s details ready before ordering. Decide what your organisation will do, who will take part and which services you need. If you are unsure about a question, ask your personal manager. You confirm the details; Coddan checks the application and prepares the documents.

Your organisation and its people

Prepare the proposed name, purpose and activities, and choose England and Wales, Scotland or Northern Ireland as the registration jurisdiction. Provide the applicant’s contact details and authority to instruct, the proposed directors and initial guarantor-members, and any corporate participant’s details and authorised representative. Explain the guarantee amounts, voting rights and actual control arrangements so the correct PSC information can be established.

Addresses and the constitution

Have an appropriate registered office in the chosen jurisdiction and a registered email address ready. Keep individuals’ actual home addresses separate from public service addresses. You may use your own suitable registered office or select a Coddan address service. Explain any specific objects, membership classes or voting provisions needed in the articles. Tell us about charitable purposes; incorporation, charity registration and HMRC recognition are separate matters.

Existing Personal Codes and required checks

Tell Coddan if an individual already has a Companies House Personal Code. Proposed individual directors need the code for incorporation; PSC requirements are addressed separately at the applicable time. Where Coddan verification is instructed, the individual completes the requested Credas checks, including the liveness selfie. Coddan reviews the evidence and manually submits the confirmation through its ACSP account when satisfied. Companies House issues the code. Coddan’s AML customer checks remain separate.

What happens after your order

Coddan reviews the application, asks for clarification where needed and obtains the necessary information and approvals before submitting the completed application. You confirm the facts and make the organisation’s decisions; Companies House decides whether to incorporate. After registration, the selected formation service supplies its agreed documents, including the digital certificate, memorandum and articles. Initial records, printed documents and continuing administration depend on the selected service or a separate instruction. A written service agreement is available.

The form also asks for information used to handle your order and customer checks; not every field is a statutory incorporation requirement. Check the selected package, VAT, included official fee, separately charged verification, optional services and any later renewal costs before payment. If your circumstances need additional work, ask Coddan to confirm its scope and charge before proceeding.

For the individual verification requirements, read our CLG director and PSC identity-verification guidance. Membership alone does not make every guarantor subject to Companies House identity verification. Keep your Personal Code secure and provide it through the instructed application process when needed.

Understand your formation price before ordering

These prices concern the four standard CLG formation packages displayed on this page. The four published formation prices are £119.99, £159.99, £199.99 and £299.99, each plus VAT. The £100 Companies House incorporation fee is included in each formation price; it is not a further £100 to add to that package. Choose the service you need and check the selected order’s additional options and final amount before payment. The package price combines professional formation work and the included official fee; it does not cover every later service. VAT is additional as advertised. Check the order’s VAT breakdown and payable amount before paying; do not add the £100 incorporation fee a second time.

Charitable-company, CIO, property-management and particular jurisdiction or address instructions can require a different service. A CIO is registered with the Charity Commission, not Companies House. Check the relevant service and order rather than assuming these CLG package prices cover every structure or charity-registration task.

Formation and identity verification

The core formation service includes preparation and submission of the incorporation application, professional review and its digital formation documents. Identity-verification guidance is different from purchasing Coddan’s identity-verification service. If you instruct Coddan to carry out verification, check the separate per-person charge shown for that order and any selected faster-handling charge. Statutory verification where required is not optional, but purchasing Coddan’s paid verification service is distinct from using another permitted route. An individual with a usable existing Personal Code does not need to purchase another check merely to form this company. Coddan’s separate customer checks may still require information or evidence.

Addresses and service periods

You can use your own appropriate registered office with the core formation service. For the England and Wales packages, the address-inclusive order forms provide the default London EC3 registered office for the first year, with a published £45 plus VAT annual renewal for that address. Choosing another location can change the price. Director service-address arrangements and continuing secretarial support depend on the selected package and agreed service period. Confirm the period covered and the later charges before ordering.

Extra documents and particular work

Printed documents, certification, notarisation, apostille, additional address services and selected priority services can carry separate charges. They are not requirements for every CLG. Check any charge shown for a non-standard guarantee option. Tell Coddan about unusual membership rules, bespoke drafting or missing information so we can establish whether additional work is needed and agree its charge before proceeding. The need for a required check is separate from your choice of provider or a faster service; do not select an extra simply because it appears on the form.

Later filings and continuing support

Formation is a one-off incorporation instruction. An address service period, the confirmation-statement cycle, the company’s accounting periods and tax deadlines run separately. Later renewals, professional accounts preparation, confirmation statements and other filings are chargeable where separately instructed or specified in an agreed continuing service. Future statutory fees are not covered merely because the incorporation fee is included. A named contact or secretarial service does not mean every later company task is included.

Check the work, the period and the amount

Before paying, check the selected package, VAT treatment, any separate verification charge, chosen extras and the service periods. If an additional charge or inclusion is unclear, ask Coddan to confirm the work and final amount before adding it. A written service agreement is available to record the accepted work, responsibilities and charges.

Open the core CLG formation order form

The core package is £119.99 plus VAT, including the £100 incorporation fee. Use the package links above if you need an address or broader support.

Online CLG Formation, with Preparation Before Submission

Start your CLG order online whenever convenient. Coddan checks the application and prepares the agreed documents before submission. The preparation time depends on the documents you choose; completing the order form is a separate step.

Prepare the organisation you intend to run

Gather the guarantors’ details, choose a name and explain your organisation’s purpose, activities, voting rights and control arrangements. In our normal workflow, preparation takes 1–2 hours with established articles and your objectives, 2–3 hours when you upload your own memorandum and articles, or several days when customising the documents. Ask your personal manager which route fits your organisation.

Review the rules and application information

The memorandum records the initial members’ agreement to form the company. The statement of guarantee gives the initial guarantors’ details and the amount each promises to contribute if the company is wound up. The articles set out how the company operates, including its membership rules and any objects describing its purposes. Coddan reviews the name, registration jurisdiction, addresses, registered email and application details. The initial guarantor-members also confirm that they wish to form the company for lawful purposes. Suitable standard articles may meet your needs. Tell us before ordering if you need custom membership rights, charitable provisions or other changes; we will explain the additional work and charge. Supply existing Companies House Personal Codes where applicable. Customer checks and Companies House identity verification remain separate steps.

Application review and fast CLG registration

After you submit through our portal, our expert checks the application and submits it to Companies House once the information, approvals and required checks are complete. Based on Coddan’s 20 years of experience, around 90% of applications receive Companies House approval and the certificate within 1–3 working hours after submission to Companies House. For a straightforward standard order, allow 24–48 hours from submitting the complete application through our portal; Companies House may be busy or have a backlog. These are standard-service timings, separate from the same-day service.

Receive the agreed documents and next steps

After incorporation, receive the digital documents included in your package. Keep them accessible and decide who will maintain the member register, handle official post and arrange annual filings. Initial minutes, additional records and printed documents depend on your selected services. Your manager can explain the next steps and help you choose any address or continuing secretarial support you need. That continuing work has its own services and charges.

What happens next?

Choose the guidance that helps with your next decision. Your personal manager can explain which services are relevant to your organisation.

Confirm the right structure

Compare the charitable-company route, CIO guidance and CIC guidance if you are uncertain. Purpose, governance, intended charitable status and activities determine suitability; company incorporation does not itself complete charity registration or HMRC recognition.

Customer checks and Companies House identity verification with Credas

There are two different reasons we may ask for identity information. Coddan carries out customer checks for its anti-money-laundering responsibilities. Separately, relevant individuals must meet Companies House identity-verification requirements. A Companies House Personal Code does not remove our need to understand who is instructing us and the purpose of the service.

What happens when you instruct our ACSP identity service

Coddan arranges the individual’s Credas check using the contact and personal details needed for that check. The individual receives a link by email or SMS and completes the requested identity-document and liveness steps. Coddan then reviews the result and any further evidence required. If satisfied that the Companies House standard has been met, we manually submit the verification confirmation through our Companies House ACSP account.

Companies House issues the individual’s Personal Code. Credas provides the checking system; it does not automatically submit Coddan’s verification confirmation to Companies House. Where a check needs additional evidence, we explain the next step rather than treating an initial result as an automatic approval.

If you already have a valid Personal Code, tell us before ordering verification. We can explain how it is needed for the relevant incorporation or filing. Keep it secure: an individual’s Personal Code is different from the company’s authentication code. Verification alone does not appoint a director or complete the company application.

Formation-package identity guidance and identity verification performed by Coddan are different services. Check the selected order for inclusions; our verification service is separately instructed and charged where applicable. Read our identity-verification service information or the official guide to using an ACSP.

A straightforward formation service for a non-charitable CLG

A club, association, professional body or community organisation may need a company without seeking charitable status. A CLG can enter contracts and hold assets in its own name, with members undertaking to contribute the stated guarantee in the relevant winding-up circumstances. The guarantee is often £1, but the agreed amount must be recorded correctly.

The directors run the company; members exercise the rights provided by its articles. The same person may hold both roles. Different membership classes, voting arrangements and appointment rules can change how the organisation works, so explain the intended arrangements before we choose the formation documents.

An appropriate standard constitution may be sufficient. Where it is, you do not need to buy bespoke drafting merely because the organisation is limited by guarantee. If your members need particular rights or restrictions, Coddan can discuss the additional preparation before filing. The number of directors or guarantors does not by itself force you into a higher package.

Objects describe the company’s purposes where its articles restrict them. They are different from the activities described by SIC codes. An ordinary CLG does not automatically need a bespoke objects clause, and its limited-by-guarantee structure alone does not establish non-profit restrictions or tax exemption. Our business objects and articles guide helps you consider the relevant choices.

Professional help for charitable, CIO, property and RTM arrangements

Tell us if your organisation has requirements beyond an ordinary non-charitable membership company. Coddan can discuss the appropriate documents and application work without making you fit a standard order that does not reflect your purpose.

Charitable companies

We consider charitable objects, trustee and director arrangements, governing restrictions and the relevant registration work. Company incorporation and charity registration are separate steps where registration is required.

Charitable CLG and charity-registration support

Charitable incorporated organisations

A CIO in England and Wales is created by registration with the Charity Commission, rather than Companies House. Coddan can help with the agreed constitution and application preparation; our ACSP status does not authorise charity-regulator approval.

CIO establishment and support

Flats and estate management

Membership may need to follow ownership or occupation, with suitable voting and transfer rules. Existing leases, property titles and contracts can require separate specialist advice alongside the formation work.

Estate-management CLG formation

Right to Manage companies

An RTM company needs the appropriate statutory constitution and membership arrangements. Incorporating it is distinct from establishing eligibility and following the notices and procedures to acquire management rights.

RTM company setup

Choose the intended status before filing

A CLG is not automatically a registered charity, community interest company or tax-exempt body. A charitable trading subsidiary may need a different company structure. Explain any existing organisation, property, funding conditions or intended charity status so we can discuss the appropriate formation service and identify other advice you may need.

Form your CLG in London, Scotland or Northern Ireland

Coddan supports CLG formation in England and Wales, Scotland and Northern Ireland. The jurisdiction affects where the registered office must be maintained. It is not determined by the country in which a director happens to live, and a London address cannot serve as the registered office of a Scottish or Northern Irish company.

London and England and Wales

Choose an appropriate office for the company’s registration. Coddan can supply London EC3, W1W, Canary Wharf and Mayfair options, with Manchester and Birmingham addresses also available.

Scotland

A Scottish CLG needs an appropriate registered office in Scotland. Coddan can arrange an Edinburgh address. If charitable status is intended, tell us so the relevant Scottish charity requirements can be considered separately.

Northern Ireland

A Northern Irish CLG needs an appropriate registered office in Northern Ireland. Coddan can arrange a Belfast address. Any charity-registration questions must be considered under the relevant Northern Ireland requirements.

Founders living overseas

Our formation service is available to overseas customers as well as UK residents. Tell us the intended jurisdiction and how you need to receive correspondence and documents; we can explain suitable arrangements.

You may use your own appropriate registered office with permission to use it. Buying Coddan’s address service is optional. If you want us to supply one, confirm the exact address, included facilities, service period and renewal terms before ordering.

Address services backed by practical correspondence handling

An official address needs a working arrangement for receiving important correspondence. With Coddan’s address services, clients have portal access and incoming post can be scanned and uploaded free of charge. Alternatively, weekly Royal Mail forwarding can be arranged to the client’s address. We confirm the forwarding destination and applicable charges; postage is not described as free.

Choose how you want to receive post and who will check it. Our team handles incoming correspondence during working hours. If a letter needs a response or company filing, ask us about the additional help available.

The company’s registered office is different from a director’s service address. Coddan offers director service-address and SAIL options in London and Aldershot. A SAIL is a single alternative inspection location for specified company records; it needs proper custody and inspection arrangements and must be in the company’s jurisdiction. It is not simply another forwarding address.

The registered office must meet the official appropriate-address rules, and the company must also maintain an appropriate registered email address. The office is public; the registered email is not published. Our CLG formation address guide explains the different functions, locations and mail arrangements. Already registered? Use our secretarial registered-office service page for existing-company support.

Documents that help your CLG operate after registration

After successful incorporation, keep the certificate, memorandum, registered articles and relevant filed information accessible. These establish what was registered and provide the governing rules the directors and members need to follow. Digital incorporation documents are supplied under the relevant formation package; check its precise contents before ordering.

The next questions concern the working organisation: who keeps the membership record, who may sign for the company, how the first decisions are recorded and who controls access to filing codes. Coddan can prepare agreed initial minutes, a member register, membership documents and other relevant company records. The records should reflect decisions actually made and the people’s authority.

A CLG membership certificate, where appropriate, is not a share certificate. First-board minutes should record real decisions rather than imply every company needs identical approvals. Company seals and professionally prepared printed documents may be useful in particular circumstances; neither a seal nor a presentation bundle is a universal formation requirement.

We can discuss electronic records, bound printed documents or a combination that the people running the company can use. Decide what the organisation needs first, then agree the preparation and delivery. Prepared records, printed sets and additional documents are included only where the selected service expressly provides them.

If a bank, funder or overseas recipient asks for certified documents, notarisation, an apostille or translation, tell us what they have requested and where the documents will be used. The recipient’s requirements determine the appropriate next step; living overseas does not automatically mean every incorporation document needs legalisation.

A written service agreement when you need one

A written service agreement is available between you or your organisation and Coddan CPM Limited. Ask your personal manager before work begins if your committee, adviser or approval process needs one.

It explains the formation work you have chosen, the included services, any agreed additions and the charges. Separately ordered identity verification, addresses or continuing support can also be recorded where relevant.

If your CLG has not yet been incorporated, tell us who is placing the order: you personally or an existing organisation. We can prepare the agreement for the appropriate customer.

The service agreement describes Coddan’s work; the articles of association are the company’s own governing rules. Contact us if you would like an agreement or help understanding the services in your order.

One provider for formation and continuing CLG support

The membership rules, people and addresses established at formation become the starting point for later company administration. Coddan can continue supporting the organisation under an agreed secretarial service, helping with company records, decisions, changes and relevant correspondence. You can choose focused filing help or wider ongoing support according to the work needed.

Confirmation statements and annual accounts

We can check information supplied for a confirmation statement, identify changes needing separate filings, and prepare and submit the agreed statement. It confirms company-register information and does not replace annual accounts. Coddan can also undertake agreed accounts preparation and filing, including dormant accounts where the company qualifies as dormant. Accounting work and its charges are confirmed separately.

Directors remain responsible for the company’s records, accurate information and timely filings. Charity reporting and tax obligations depend on the activities and status of the organisation. Incorporation does not itself complete HMRC activity notification, VAT registration or other tax work. See our post-incorporation guide for the practical next steps.

Maintain records and respond when circumstances change

Your CLG must maintain its member register and relevant decision and accounting records. The member register belongs with the company at its registered office or a notified SAIL, with lawful inspection arrangements; the central Companies House member-register option ended on 26 January 2026. Current rules no longer require separate local registers of directors, directors’ residential addresses, secretaries or PSCs, but the corresponding Companies House information must still be kept current. Membership changes also need consideration where they alter voting rights or control.

Tell us when directors, members, addresses or activities change. We can explain the agreed records and filings needed, including identity requirements relevant to a new role. If the company needs to close, we can discuss voluntary dissolution support. If already dissolved, our restoration support starts with considering the available route and outstanding work. Closure and restoration are separate instructions.

Explore the CLG secretarial-services hub and its confirmation-statement service. Your personal manager helps with your formation order. Package 4’s continuing secretarial support is a separate inclusion; check its listed services and service period for the later help it provides.

A UK formation and administration partner for professional firms

International accountants, company formation agents and corporate-service providers can discuss instructing Coddan for their clients’ UK CLGs. You may need a UK provider to prepare an incorporation application, arrange suitable company documents and addresses, carry out separately instructed identity verification or help with company records and later Companies House filings.

Tell us what your firm handles and what you need Coddan to undertake. We consider the proposed company’s purpose, registration jurisdiction, directors, members and actual control arrangements, together with the documents and approvals needed. A straightforward formation can remain affordable; additional preparation and continuing work are agreed according to the instruction.

Formation and useful documents

Discuss the articles, application particulars, customer approvals and documents your client needs. Coddan reviews the accepted information and prepares the agreed formation work before Companies House submission.

Addresses and later administration

Arrange suitable registered-office or other address services, company records, changes and filing assistance where needed. Each service has its own agreed responsibilities, correspondence arrangements and charges.

Clear instructions and authority from your client

We establish who is instructing Coddan, their authority to act and who will approve the documents and information. Your firm supplies the agreed client information and relevant evidence; Coddan completes its applicable customer checks and explains any further information needed. We agree how questions, approvals, documents and filing confirmations will be communicated.

We complete our customer checks and keep the directors involved in the approvals they need to give. Coddan performs the accepted work using its own authorised credentials. We do not lend our ACSP registration or presenter credentials to another firm. Companies House identity verification remains a separate service from formation preparation and general customer checks.

A written agreement for the work your firm instructs

A written service agreement is available for professional partners as well as direct customers. It sets out the services your firm has chosen, who is responsible for each task and the charges. Discuss formation, identity verification, addresses and continuing administration together. We will explain what is included and confirm the price for any additional work.

Use our professional-partner enquiry page to explain your firm, the number and types of companies involved, relevant countries and the support you would like to discuss. We can also consider enquiries concerning other UK company types, while the guidance here focuses on CLGs.

International intermediaries: UK support for your clients

Coddan welcomes international accountants, formation agents and corporate-service providers seeking a UK partner. You may be arranging a new CLG for a client abroad or supporting a company that is already registered. Tell us which tasks your firm handles and where you need help: incorporation, company records, decisions, addresses or Companies House submissions.

Your firm can coordinate the instruction, while the authorised people remain involved in the company’s decisions and approvals. We establish the authority to act, complete our applicable customer checks and agree who will answer questions, approve documents and receive the completed work. Directors retain their statutory responsibilities.

Our CLG secretarial and Companies House filing services for international professional partners explains the practical relationship in greater detail. It also covers separately instructed director and PSC verification, including the availability of partnership prices. Coddan undertakes accepted work using its own credentials.

Use the professional-partner enquiry to describe your client companies, anticipated work and preferred communication. A written service agreement is available. We will confirm the services your firm needs and their charges before starting.

Company-document checks, certification and overseas use

A bank, funder, overseas registry or another institution may ask for evidence of your company’s incorporation, constitution, officers or authority to act. Coddan can help direct customers and professional intermediaries establish the requirement and arrange the agreed documents and treatment. This work is separately instructed from incorporation and routine company filings.

Provide the document, intended recipient, destination and purpose, together with any written instructions. We consider its source, current information and the form the recipient accepts. The answer may be an official Companies House document, a suitable company record or a particular certification procedure.

Where required, Coddan can coordinate notarisation, an FCDO apostille, embassy or consular legalisation, or certified translation through the appropriate service. Overseas use does not automatically require these stages. Certification is also distinct from Companies House identity verification: authenticating a document does not by itself verify a director or PSC.

Explore our UK company-document preparation, certification and legalisation services. We agree the work and applicable charges before proceeding; the receiving institution decides whether the documents meet its requirements.

Working With a CLG Formation Agent: Frequently Asked Questions

1. Should I speak with Coddan before choosing a formation package?

You can order online if you have chosen a straightforward CLG and know which package meets your needs. Speak with us first if you are unsure about the articles, membership arrangements or services to select. A short description of your organisation and the point you need help with is enough to start the discussion. Your personal manager can explain the information needed for the formation; any additional drafting or specialist work is priced separately.

2. Can I choose the starting package and still receive personal help?

Yes. Personal-manager assistance is available with every formation order, including the starting package. Higher packages add the particular address, document or continuing support services listed in their descriptions. If you have permission to use your own appropriate registered office in the chosen jurisdiction, you can use it. Compare the documents, addresses and continuing support you need, and ask about any unclear extra before paying.

3. Can one committee member coordinate the order for everyone?

One authorised contact can coordinate the information and questions with Coddan. Tell us whom they represent and who will approve the company details and documents. Individual directors or other participants still need to complete their own required identity steps and give the relevant approvals. Bring any unresolved membership or voting decisions to your committee before approving the application.

4. We already have articles prepared by an adviser. Can Coddan use them?

Tell us before ordering and supply the documents you want to use, together with their purpose and any particular provisions. Coddan can review how they fit the proposed application and explain the formation route. If changes or further drafting are needed, we will discuss the work and charge with you. Keep your adviser involved where the wording reflects charity, property, funding or other specialist requirements. We will confirm whether the documents can be used as supplied or need changes.

5. We hope to become a charity. Which formation service should we discuss?

Tell Coddan about that intention before choosing a standard non-charitable formation order. Explain the proposed activities, who will run the organisation and any funder requirements. We can discuss suitable governing documents and the relevant charitable-company or CIO service. The aim is to choose the appropriate route before filing, with company incorporation and any charity-registration work identified separately. Our charitable CLG formation-agent page explains that service in more detail.

6. Why does Coddan ask for customer information when I already have a Personal Code?

The Personal Code confirms that you have completed Companies House identity verification. Coddan also needs to check the customer, their authority to place the order and the purpose of the service under its anti-money-laundering responsibilities. Tell your manager that you already have a valid code before buying verification, and provide it through the requested application process. You may still be asked for customer-check information; this serves a different purpose from obtaining another Personal Code.

7. Can we work with Coddan while the founders are in different countries?

Yes. Coddan works with UK and overseas customers, and you can begin the formation order online. Tell us where the proposed directors and members live and how they can be contacted. We can explain the information, verification arrangements and UK address services relevant to the order. Each person completes their own required identity steps. Choose only the address, document or certification services relevant to your organisation.

8. Can our accountant or another formation agent coordinate with Coddan?

Yes. Professional firms can discuss arranging UK CLG formation and related services for their clients. Explain what your firm will handle, what you need Coddan to do and who will approve the information. We agree the communication and customer-check arrangements, and Coddan carries out its work using its own authorised credentials. Use our professional-partner enquiry to describe the client organisations and the support you need.

9. What if the services we need do not match one of the four packages?

Ask Coddan to price the combination you need. For example, you may have your own registered office but need particular articles or a printed document set. Explain the requirement before ordering so we can confirm the available work and its price. Additional services remain separately charged unless included in your chosen package. You can also discuss a particular task for an existing CLG without ordering another incorporation.

10. If I complete the order at the weekend, what happens next?

The portal accepts orders at any hour. Our team reviews the application during working hours, asks for any missing information and submits it once the required details, approvals and checks are complete. The usual 1–3-working-hour Companies House processing experience starts after submission to Companies House, rather than when you open or complete the form. Use the preparation and processing explanation to plan around the standard 24–48-hour allowance.

11. Our committee needs a written agreement before approving the order. Can you provide one?

Yes. Ask Coddan before work begins and tell us who will place the order: you personally or an existing organisation. We can provide an agreement describing the formation services, any agreed additions and the charges. It can also record separately ordered verification, addresses or continuing support where relevant. This gives your committee a clear document to review alongside the package information. The agreement with Coddan is separate from the CLG’s articles of association.

12. Does my formation manager also take care of the company’s later filings?

Your personal manager helps with the formation order. Package 4’s continuing secretarial support is a separate package inclusion, with its own listed services and service period. If you need help after registration, explain the records, correspondence or filings you want Coddan to handle. We can discuss focused assistance or wider continuing support and confirm the charges. You can retain help for formation while managing later administration yourself, or choose the ongoing services that suit your organisation.
