The most common reason for starting a dormant company is for a sole trader to reserve the name of their business. There is nothing to stop someone else from setting up of a limited company using the same trading name as an existing business run by a sole trader. Anybody who wants to protect their business name when they're operating as a sole trader, wants to hold an asset under a limited company name or who wants to preserve a private company but intends to stop trading for a period might want to consider opening of a dormant limited company. A dormant company effectively has no significant transactions that would require full accounts to be filed with Companies House. The only transactions a non-trading company can partake in are payments for shares taken by subscribers, fees paid to Companies House for a change of name and penalties.

By far the most common reason for dormant company incorporation is for a sole trader to protect their reputation. Operating as a sole trader offers a number of advantages over running a limited company, not least the fact that VAT registration isn't required unless income goes over the VAT registration threshold. But a sole trader operating has no legal right to his company name and any other person is free to register the limited company name, which could cause problems if the new business is in the same industry.
