Why people are looking for a non-trading company registration?

The most common reason for a dormant company formation is for a sole trader to reserve the name of their business. There is nothing to stop someone else from registering a private limited company and using the same trading name as an existing business run by a sole trader. By forming a venture, with that name you can prevent anyone from taking it and potentially undoing years of work building your business's reputation.

Another reason for a dormant company registration is to hold an asset on behalf of that business's name. This could be anything from a building to the intellectual property. Flat management companies and investment companies often use dormant firms in this way. If your business stopped to provide services to customers or stopped trading for the past 12 months, you can also apply to be qualified as a dormant company.

Depending on your reasons for wanting a company registration there will be different steps to take at the outset. We can provide you with expert advice to ensure that your company is registered correctly.

Even though, by definition, a "dormant company" is one that does no trading, you will still be required to submit dormant accounts to HMRC and Companies House.

Coddan can help you to meet these legal requirements and for an annual flat fee will maintain the dormant status. This requires a yearly application filling with Companies House using different forms depending on whether your company was dormant from the outset or had a previous trading history. Please don't hesitate to get in touch to discuss your company registration requirements.

Common mistakes of using a non-trading company formation

Dormant Company

We will advise you on the appropriate legal structure for your business such as a non-trading business set-up, forming of a dormant limited liability partnership. As soon as you company will be registered with our own registered office address and with our secretary, then we will submit a dormant status application with HMRC. At the anniversary date of incorporation our secretary will file a non-trading status of your entity with Companies House and file dormant corporate tax return with HMRC.

Non-trading company registration is a popular way for a sole trader to protect the name of their business. It can also be used to hold an asset for future use or if the owner intends to cease trading for a while. For a fee of £100, we will register a non-trading company in a matter of hours, with the name reserved in a few minutes.

The annual fee to maintain the non-trading entity from £100 to £120 depends where you want to have its registered office address. You should be aware that there are additional reporting requirements for a business venture, over those of a sole trader. Coddan can advise you on what will be necessary for your fast & easy company formation. If you have additional questions, you can speak to our experts between 9.30am-6.00pm Monday to Friday by telephoning +44 (0) 207.935.5171 or +44 (0) 330.808.0089 (national rates).

We can help you to register a dormant company in England, Wales, Scotland and Northern Ireland!

Dormant Company

Anybody who wants to protect their business name when they're operating as a sole trader, wants to hold an asset under a limited company, or who wants to preserve a private company but intends to stop trading for a period might want to consider a dormant company registration. If so, Coddan can help with a private company formation, public, limited by guarantee, or form a dormant LLP.

A venture effectively has no significant transactions that would require full accounts to be filed with Companies House. The only transactions a non-trading company can partake in are payments for shares taken by subscribers, fees paid to Companies House for a change of name and penalties.

Another reason for a company formation is to hold an asset, like a freehold property. This is rare, but it can serve a purpose for a private landlord that wants to invest the assets (house or a flat) into a business venture.

Those considering a forming a non-trading venture should be aware that basic confirmation statement and accounts still need to be filed with Companies House and HMRC. Coddan can advise on the legal requirements upon a non-trading company registration.
