Should you create a limited company or incorporate an LLP?

The Limited Liability Partnership Act came into force in 2001 and was aimed at global partnerships, including legal practices that wanted to create an international enterprises without undue risk. The theory is that a lawyer on one side of the world cannot be fully responsible for a partner's actions on the other, in a different jurisdiction. So the setting up of limited liability partnership becomes liable for any claims or debts in such a case, and the individual partner's liability is limited to their capital investment. A British LLP is, therefore, effectively a mixture of a company and a partnership in the eyes of the law, and is governed as such. This makes it attractive for partners that want to present a limited liability partnership and yet file personal accounts as a sole trader.

The advantages of the LLP incorporation have made it popular with property developers that want to pool resources for one or several projects, investment funds and dormant partners that want to invest in a business but make sure they will not lose their personal fortune in the LLP establishment process. Overseas clients have also found an LLP to be a hugely efficient tax structure, as they can conduct all their affairs, buy property, even borrow against it through the limited liability partnership and then withdraw their profits in an efficient way that avoids large National Insurance Contributions. For many overseas clients, LLP formation is becoming an increasingly popular option to streamline and reduce tax contributions.

The tax advantages of an LLP are immense, but do not be put off by a lack of knowledge about how a UK limited liability partnership should be registered. Steps to set-up an LLP in Great Britain

Incorporating a Limited Liability Partnership

The limited liability partnership (LLP) is essentially a general partnership in form, with one important difference. Unlike a general partnership, in which individual partners are liable for the partnership's debts and obligations, an LLP provides each of its individual partners' protection against personal liability for certain partnership liabilities.

The key advantage of an LLP compared with a traditional partnership is that the members of the limited liability partnership (it is very important that they should not be called 'partners', but - 'members') are able to limit their personal liability if something goes wrong with the business, in much the same way as shareholders in a limited company have always been able to do. Of course anyone lending money to the LLP such as a bank may still require personal guarantees from the members, as they frequently do with shareholders in a private limited company. We recommend reviewing this site in its entirety, so that you are knowledgeable of the UK jurisdiction and the powers granted to British limited liability partnerships.

Where business owners have wanted to limit their personal liability in the past, they have normally registered companies and any profits made by those companies are subject to corporation tax. Dividends paid by the companies can then be taken as income of the shareholders. LLPs are taxed quite differently in that the profits are treated as the personal income of the members as if they had run their business as a partnership. The taxation of companies and partnerships is very different but taxation should not be the main consideration in choosing a business vehicle. However, we would be very pleased to discuss the impact of this in any particular case.

LLPs must produce and publish financial accounts with a similar level of detail to a similar sized limited company and must submit accounts and file an annual return to the Registrar of Companies each year. This publication requirement is far more demanding than the position for normal partnerships and specific accounting rules may lead to different profits from those of a normal partnership.

LLP Incorporation & Premises

LLP Registration & Premises

Do you need to rent or can you work from home? Depending on your business, you may be able to save time and money by setting up an office at home. If your business requires larger premises, then be careful about entering into any lease agreements, particularly those that are long-term, as these are often very difficult to terminate early. There may be specialist legislation for you to comply with, or you may be required to possess a qualification or be a member of a trade association before you can work in that field.
