Unlimited Company Formation Basic Package Overview

This basic Unlimited Company Formation Package option is great for intermediates such as solicitors or accountants who are looking to register companies on behalf of their clients or private clients who do not require any additional service with their Unlimited Company Registration.

This package is available for UK-residents over 16 years old who understand their responsibilities of becoming a director of a UK company.

Upon incorporation, the following documents will be provided to you via email:-

1. Certificate of incorporation;
2. Memorandum & articles of association.

About the company incorporation procedure

We will incorporate your own private unlimited company using your own registered office address and appoint your own candidates to the roles of a company' director, secretary (no longer required, but it is still recommended), shareholder and the person with significant control (PSC).

Your application will be submitted to the Companies House by post, such type of the entity cannot be registered electronically.

About the fast-track business account referral

The formation of an Unlimited Company usually takes 7-10 business days but subject to Companies House processing times and any backlog.

About the money laundering regulations and registration of your company

To comply with current Money Laundering Regulations, we are required to identify the people who we provide service for and, therefore, ask for copies of the identification documents for the directors/shareholders and beneficial owners of all companies that we undertake to incorporate or companies that are transferred to our administration.

Once you order has been placed you will be requested to provide clear photos of your identification documents – proof of ID and address – to our compliance team by email. We will use email address provided in the application form to send you a link where you will be able to upload a photo of your ID document and a selfie for on-line facial recognition.

Once that is done, we will receive an automatic email confirming the verification has been completed and we will be able to proceed with your order.

Delay in completion of verification process will result in delay of the services you have requested from Coddan.

Explanation:About the registration with the HRMC

When your limited company is formed and registered at Companies House, Companies House tells HMRC that this has happened. This applies whether you start your business as a limited company or change from a sole trader or partnership to a limited company. It also applies whether or not your company is active or has started trading.

HMRC sends a newly formed company an introductory pack within six weeks of being told by Companies House that the new company exists. This pack contains corporation tax forms and explanatory notes for new companies. The pack usually sent to your company's registered office, which may or may not be the same address that you trade from.

You should complete and send a completed form (new company details) to your corporation tax office as soon as possible. If your company is dormant, you should complete a dormant form instead.

It is important to complete these forms as HMRC uses the information you provide to work out your corporation tax paying and filing deadlines. They will send you a form to confirm these deadlines, unless you have told HMRC that your company is dormant.

If your new company has not yet started trading you need to tell HMRC as soon as possible if your company has been set up but is not yet trading or engaging in any business activity. In other words, your company is dormant.

Penalties for not telling HMRC your company is liable for corporation tax
If your company or organisation has corporation tax to pay but you do not receive a 'Notice to deliver a Company Tax Return' from HMRC, you still must tell HMRC it is liable for corporation tax. If you do not, your company or organisation may be charged a penalty. HMRC calls this a 'failure to notify' penalty.

Where the obligation to tell HMRC that your company or organisation is liable for corporation tax takes place on or after 1 April 2010, the penalty is based on the amount of tax that is unpaid or that your company or organisation is liable for. This called the 'potential lost revenue' or 'PLR'.

Due diligence requirements

Mandatory Identity Verification is required for all UK Incorporations. This is in addition to any usual Anti-Money Laundering Regulations that we have to comply with.

Being an ACSP, Coddan is undertaking Identity Verification for Companies House, in line with their new mandatory identity verification requirements. Identity verification is required for all directors, shareholders, members of the partnership and persons with significant control.

For clients, we provide Company Formation services to, our fee for Identity Verification and submission of information to the Companies House is £30.00 per person. The fee covers our admin fee and software fee for running the checks.
