CLG formation with professional company and director addresses

The CLG ProtectPro™ package is designed for organisations that want to establish a Company Limited by Guarantee while arranging both a professional registered office and a separate director service address through Coddan from the outset.

This package includes everything provided under our CLG AddressPro™ package, together with a professional director service address for the company's directors.

The service is available to UK and overseas applicants and can accommodate one or more directors, individual or corporate members or guarantors, including mixed individual and corporate participation where applicable.

You can choose from available Coddan address locations in London, Manchester, Birmingham, Aldershot, Edinburgh or Belfast, subject to availability and the terms of the selected address services.

The following digital company documents will be provided following successful incorporation:

1. A Certificate of Incorporation;
2. The Memorandum and Articles of Association;
3. Other applicable digital incorporation documentation.

Important: The director service address is an additional service arrangement and is not a prerequisite for incorporating a Company Limited by Guarantee.

About the registered office, director service address and mail handling

Coddan will provide the registered office address selected as part of your CLG ProtectPro™ service. Available locations include London, Manchester, Birmingham, Aldershot, Edinburgh and Belfast, subject to availability and the applicable service terms.

The package also provides a director service address for the company's directors, providing a separate professional address arrangement for service-address purposes rather than using the director's residential address for that purpose.

The service can accommodate one or more directors where the selected service permits. Available director service-address locations include London, Manchester, Birmingham, Aldershot, Edinburgh and Belfast, subject to availability and the applicable service terms.

Free scanning of received company correspondence is included with the applicable address services. Scanned correspondence can be digitally uploaded to your Dedicated Manager Portal, allowing you convenient digital access to company and director correspondence received under the selected services.

Appropriate digital access and notification arrangements will operate in accordance with the selected address services. Physical correspondence handling is provided under the applicable service terms.

About the incorporation procedure

We will incorporate your private company limited by guarantee using the information provided in your application and the registered office arrangement selected for your company.

You can appoint your own candidates as directors and members or guarantors, including corporate participants where applicable. Your specific company objects can also be provided as part of the formation application. Additional directors, members or guarantors, corporate participants and mixed individual and corporate participation do not automatically result in an additional formation charge.

Your application will be reviewed by an experienced member of the Coddan team before it is submitted electronically to Companies House. We check the information provided for obvious omissions, inconsistencies and errors and will contact you where clarification or additional information is required before submission.

About when your company will be ready

Formation of a Company Limited by Guarantee normally takes 24–48 hours once we have received a complete application and the information required to proceed.

We will submit your completed incorporation application electronically to Companies House following our professional review, allowing the application to proceed efficiently through the Companies House registration process.

Companies House processing times can sometimes vary. Although many applications are processed within the normal timeframe, there may be occasions where incorporation takes longer because of circumstances outside Coddan's control or where Companies House requires further information.

If you require your CLG to be incorporated more urgently, a guaranteed same-day incorporation service can be requested separately, subject to the applicable requirements and service conditions.

About identity verification and compliance requirements

As an Authorised Corporate Service Provider (ACSP), Coddan must comply with applicable identity-verification and customer due-diligence requirements when providing company formation services.

Directors must complete the applicable Companies House identity-verification requirements and, where applicable, PSCs may also have identity-verification requirements. UK and overseas applicants can use the available verification routes where eligible.

Where verification is required as part of your formation process, our compliance team will provide instructions regarding the information and identification documents required. The applicable process may depend on the circumstances of the individuals involved and the verification route available to them.

Completion of the required verification is an important part of the formation process. Delays in providing the required information or completing the applicable verification process may result in a delay to the incorporation service.
