CLG Secretarial & Governance Support

Professional Company-Secretarial Support for Your CLG

A Company Limited by Guarantee (CLG) can require different levels of professional support as its corporate administration develops. Coddan provides practical support with annual compliance, company records, routine corporate changes and ongoing company-secretarial requirements according to what your organisation actually needs.

Whether you are supporting a newly established CLG after formation or managing an established and active organisation, the appropriate support should follow your company's circumstances rather than requiring you to purchase services you do not need.

Annual Compliance

Professional assistance with recurring Companies House compliance and the annual Confirmation Statement process.

Corporate Records

Support with maintaining the company's essential corporate records, membership information and administrative framework.

Routine Changes

Practical support when routine director, secretary, PSC, membership or other corporate information changes.

Ongoing Support

Continuing company-secretarial support for active CLGs whose corporate administration develops throughout the year.

ACSP Support

Professional corporate-service support from a Coddan Authorised Corporate Service Provider (ACSP) within the applicable Companies House framework.

You do not need to choose the most comprehensive service. The four support packages below are designed for different CLG circumstances, so you can start with the level of professional support that matches your organisation's actual requirements.

If your requirement falls outside the standard annual package scope, Coddan can identify the appropriate specialist service separately.

Understanding Professional Support

Why Might a CLG Use Professional Company-Secretarial Support?

A Company Limited by Guarantee does not automatically need to appoint a company secretary. However, the company's administrative and governance responsibilities still need to be dealt with. Professional company-secretarial support can help directors establish and maintain those arrangements without having to manage every administrative task themselves.

During Incorporation

Establish Professional Administrative Support From the Outset

When forming a new CLG, directors may decide that professional support from the beginning will make the company's ongoing administration easier to manage. This can be particularly useful where directors are volunteers, community leaders or otherwise want to concentrate on the organisation's purpose rather than routine corporate administration.

Support can help establish practical arrangements for Companies House compliance, corporate records, correspondence and ongoing company administration from the start.

After Incorporation

Bring in Professional Support as Your CLG Develops

An existing CLG may decide to use professional company-secretarial support when its administrative requirements increase or its directors no longer want to manage every corporate task internally.

Support can assist with recurring compliance, corporate records, routine changes and practical company-secretarial administration as the organisation's circumstances develop.

What Professional Support Can Help With

Reducing Administrative Workload

Helping directors deal with recurring corporate administration and compliance tasks.

Keeping Records Organised

Supporting the maintenance of relevant company records and membership information within the agreed service scope.

Supporting Corporate Changes

Providing practical assistance when routine director, secretary, PSC or membership information changes.

Professional Guidance

Giving directors a professional point of contact for routine Companies House and company-secretarial matters.

Professional support does not transfer the directors' legal responsibility for the company. The role of a third-party company-secretarial provider is to assist with the agreed administrative and company-secretarial work while the directors remain responsible for the company and its decisions.

The appropriate level of support depends on your organisation's circumstances. The information below explains the responsibilities, practical considerations and specialist areas that may apply to a CLG.

CLG Company Secretarial Services & Governance

Company Limited by Guarantee Company Secretarial Services & Governance

A Company Limited by Guarantee (CLG) does not stop requiring corporate administration when it is incorporated. Throughout the life of the organisation, directors, members and other relevant corporate participants may need to deal with annual compliance, Confirmation Statements, statutory and company records, Companies House information, corporate changes, meetings, minutes, resolutions and other company-secretarial matters.

Coddan provides professional company-secretarial support for CLGs, including support with annual compliance, Confirmation Statements, corporate records, relevant director, secretary, PSC and member changes, meetings and resolutions, Companies House administration, governance-related administration and other appropriate ongoing secretarial work. Support is available for UK-based and international customers establishing or operating a UK CLG, with the appropriate level of involvement matched to the organisation's circumstances rather than placing every CLG into the same service model.

Company secretarial support concerns corporate administration, not simply a title. A director may manage the company's corporate administration personally, but directing the organisation and maintaining its corporate administration are different bodies of work. Professional support can provide a practical separation between these responsibilities, particularly where one person is already carrying responsibility for the CLG's wider affairs. It does not remove the director's legal responsibilities or turn corporate administration into general receptionist or office support.

Setting Up a New CLG

Formation Can Lead Into Ongoing Support

If you are forming a new CLG, your relationship with Coddan does not have to end when incorporation is completed. Formation can be followed by appropriate secretarial and governance support as your organisation begins its ongoing corporate administration.

Already Have a Registered CLG?

Enter the Support Ecosystem Directly

If your CLG is already operating, Coddan can provide an appropriate level of professional support with its ongoing corporate administration, whether you need assistance with annual compliance, company records, corporate changes or are looking for continuing secretarial support.

The Wider CLG Service Ecosystem

What Can Coddan Help Your CLG With?

The four annual company-secretarial packages provide defined levels of ongoing support. They are not intended to represent every service that an established Company Limited by Guarantee (CLG) may need during its corporate life.

Depending on what is happening with your organisation, Coddan may also provide or route you to appropriate services for particular corporate, compliance, documentation and lifecycle requirements. These additional services can be considered separately when required.

Compliance & Filings

Annual & Companies House Compliance

Support with annual corporate compliance, Confirmation Statement requirements and relevant Companies House filings can form part of a CLG's ongoing administrative requirements.

Corporate Changes

Directors, PSCs & Company Changes

Director and PSC appointments, resignations, changes of particulars and other corporate changes can create separate administrative and filing requirements during the life of the CLG.

Records & Governance

Corporate Records & Governance

Company records, membership information, resolutions, meetings and the administrative records supporting corporate decisions may require continuing attention as the organisation develops.

Corporate Documents

Corporate Documents & Legalisation

Some organisations require certified corporate documents or documents prepared for use outside the UK. Depending on the requirement, separate document services such as certification, notarisation, apostille or legalisation may be appropriate.

Explore Document & Notarial Services →
Historic & Complex Matters

Historic Records & Remediation

Incomplete records, historic filing issues or corporate information requiring review may need a separate assessment rather than being treated as routine annual administration.

Company Lifecycle

Closure, Dissolution & Restoration

A CLG may eventually require a separate lifecycle service, including closure or dissolution, while a company that has already been dissolved may need to consider restoration.

Your annual package does not have to cover every future requirement. The purpose of the wider Coddan service ecosystem is to allow an established CLG to obtain additional support when a particular corporate, compliance, documentation or lifecycle matter arises.

One CLG May Use Different Services at Different Times

A CLG might use an annual secretarial package for its continuing administration and later require a separate corporate filing, document service, governance service or lifecycle solution. The need for an additional service does not necessarily mean that the annual package needs to change.

The appropriate service should follow the requirement, rather than the requirement being forced into the package.

Two Ways to Start With Coddan

Whether You Are Forming a CLG or Already Have One

Coddan can support your organisation at different points in its corporate life. You may be establishing a new Company Limited by Guarantee (CLG) and looking for a route from formation into appropriate ongoing support, or you may already have a registered CLG and want professional assistance with its continuing corporate administration.

The same principle applies whether your organisation is based in the UK or you are an international customer establishing or operating a UK CLG. The appropriate starting point depends on the stage of the company and the corporate administration with which you want professional support.

Setting Up a New CLG

Formation, Incorporation & Registration

If you are establishing a new CLG, Coddan can support you through formation, incorporation and registration before the organisation moves into its ongoing corporate life.

Once the CLG is established, you can manage its corporate administration yourself or choose an appropriate level of professional secretarial and governance support. Formation and ongoing company-secretarial support are connected parts of the wider corporate journey, but they remain separate services.

This route may therefore be appropriate whether you are a UK-based founder or an international customer establishing a UK CLG and planning its ongoing administration.

Explore CLG Formation
Already Have a CLG?

Professional Support for an Existing Company

If your CLG is already registered and operating, you do not need to start again. Coddan can provide professional support with the corporate administration of your existing company, according to the level of involvement that is appropriate for your organisation.

This may involve assistance with annual compliance and Confirmation Statements, company and statutory records, routine director, secretary, PSC or member changes, Companies House administration, meetings, resolutions and other company-secretarial administration, subject to the scope of the selected service.

Professional support can reduce the administrative work carried personally by the director without removing the director's own responsibilities for the company. It can be used by established UK organisations as well as international customers managing a UK CLG from outside the UK.

The appropriate route may be focused annual compliance, support with particular corporate administration or a continuing company-secretarial relationship.

Explore Secretarial Support

Two starting points, one connected CLG service ecosystem. Whether you are forming a new organisation with Coddan or looking for support with an existing CLG, the appropriate next step depends on what your organisation needs Coddan to manage. You do not need to purchase every service simply because your CLG may encounter these requirements during its corporate life.

The Ongoing Corporate Reality

Your CLG Does Not Stop Needing Administration

Incorporation establishes the company. It does not bring its corporate administration to an end. As a Company Limited by Guarantee (CLG) continues to operate, its directors, members, records, Companies House information, deadlines, corporate changes and governance arrangements continue to require attention.

For some organisations, this work is manageable internally. For others, professional company-secretarial support provides a practical way to keep the company's ongoing administration organised. This support is available to UK-based and international customers whose CLG requires professional administrative assistance, subject to the requirements of the particular service and applicable onboarding or compliance conditions.

The Administration Continues Throughout the Company's Life

A CLG's corporate administration is not a single annual filing. Different responsibilities and requirements can arise as the organisation operates, develops and changes.

Annual Compliance Recurring corporate requirements continue throughout the company's life, including the annual compliance timetable and information that needs to remain current.
Confirmation Statement The company's Confirmation Statement needs to be dealt with as part of its ongoing Companies House administration and relevant company information kept appropriately up to date.
Directors & Officers Director or secretary appointments, resignations and changes of particulars can create additional corporate administration and Companies House filing requirements.
Members Membership information and relevant changes need to remain properly organised within the company's corporate administration.
Statutory Registers & Records Relevant statutory registers, corporate records and supporting documentation need to be maintained and kept available as required, including applicable PSC information.
Companies House Administration Company information, required filings and relevant corporate changes continue to form part of the company's ongoing Companies House administration.
Meetings, Minutes & Resolutions Corporate decisions, meetings, minutes and resolutions may need to be organised and appropriately documented according to the company's circumstances.
Registered Office & Correspondence Registered-office arrangements and qualifying official company correspondence can form part of the wider corporate administration, where included within the selected service.
Corporate Development

The Administration Develops With the Company's Corporate Life

A CLG may begin with a relatively straightforward incorporation, but its administration can become more involved as directors change, members join or leave, company information changes, corporate decisions are made and annual compliance dates arise.

What begins as annual compliance may therefore develop into a wider need for support with corporate records, officer or member changes, meetings, resolutions, governance administration or other company-secretarial work.

Professional Support

Support Can Keep the Administration Organised

Professional company-secretarial support can provide a practical way of keeping the corporate administration organised while directors continue to manage the organisation itself.

The support can be focused on particular requirements or form part of a continuing relationship, depending on what the CLG actually needs Coddan to manage.

The question is not whether your CLG has corporate administration. It does. The practical question is whether the directors want to manage that administration themselves or would prefer professional support with the function. Professional support can be selected according to the organisation's actual requirements rather than assuming that every CLG needs the same level of service.

A Common CLG Scenario

When You Are the Sole Director

Being the sole director can make decision-making straightforward. It does not make the company's administrative requirements disappear. You remain responsible for the company's affairs and compliance obligations, while the practical administration supporting those responsibilities may still need to be organised, monitored and dealt with throughout the year.

This can be particularly relevant where one person is responsible for running the organisation while also dealing with its Companies House administration, corporate records, annual compliance and governance-related administration. Professional support can provide an additional administrative resource without changing the director's role or responsibilities.

One Person Can End Up Carrying Several Different Functions

This is particularly relevant to smaller CLGs, community organisations, clubs, residents' organisations and other organisations where one active director may be dealing with much of the company's administration.

The director may be making important decisions, communicating with members, overseeing the organisation's activities and dealing with external parties — while also keeping the company's corporate administration in order. These responsibilities can sit with the same person, but they do not become the same task.

Running the organisation

The Director's Wider Responsibilities

  • Making and overseeing organisational decisions.
  • Managing the activities and priorities of the CLG.
  • Dealing with members, stakeholders and external parties.
  • Taking responsibility for the company's affairs and compliance obligations.
Supporting the corporate administration

Another Set of Work Still Has to Be Managed

  • Keeping statutory registers, corporate records and supporting documentation organised.
  • Monitoring Companies House requirements, Confirmation Statement obligations and relevant deadlines.
  • Recording and dealing with appropriate director, secretary, PSC or member changes.
  • Maintaining the administrative trail behind corporate decisions, meetings, minutes and resolutions.

The Work May Be Small Individually but Continuous Collectively

A sole director may not need a large amount of administration every week. The challenge is that different requirements can arise at different points during the company's corporate year.

Annual requirements Confirmation Statements and other recurring corporate compliance administration.
Changes during the year Officer, member, PSC or company-information changes and associated administration.
Corporate decisions Meetings, minutes, resolutions and records supporting important decisions.

Professional support does not take the directorship away from you. Delegating appropriate administrative work does not remove the director's responsibilities. It can, however, reduce the amount of corporate administration that the director has to manage personally by providing professional support with the relevant administrative work.

You Do Not Have to Outsource Everything

A sole director who is comfortable managing the company's administration can continue to do so. Coddan's role is to provide a professional alternative where the director would rather have appropriate administrative work handled with professional support.

The appropriate level of support depends on the organisation's circumstances — from annual compliance assistance to ongoing company-secretarial support. There is no need to choose a larger service simply because you are a sole director.

The objective is not to replace the director's role. It is to provide an appropriate level of professional administrative support where that support is useful to the organisation.

Professional CLG Support

What Coddan Can Help Manage for Your CLG

Company secretarial administration for a Company Limited by Guarantee (CLG) extends beyond a single annual filing. Depending on the organisation and the level of support required, Coddan can help with the connected administrative areas that arise throughout the corporate life of the company.

This support territory can be relevant to UK-based and international CLGs. The appropriate service depends on what your organisation needs Coddan to manage and what is already being handled internally.

Professional Support for UK-Based and International CLGs

Coddan's CLG secretarial and governance support is not limited to organisations whose directors or members are based in the UK. An established CLG with international directors, members, founders or other stakeholders can also require professional support with its UK corporate administration. The appropriate service depends on the company's circumstances, the work required and the scope of the selected service.

Professional support can therefore be used selectively. A CLG may require assistance with one particular filing or administrative area, several connected functions, or a broader ongoing secretarial relationship. The appropriate level of support should reflect what the organisation actually needs Coddan to manage.

An Important Distinction

Company Secretarial Support Is Not Receptionist Support

Company secretarial support and general office support serve different purposes. For a Company Limited by Guarantee (CLG), company-secretarial support concerns the company's corporate administration, statutory records and governance-related processes, rather than simply answering calls, receiving visitors or providing general office assistance.

The work may include recurring compliance such as the Confirmation Statement, maintaining relevant statutory registers, dealing with Companies House filings and corporate changes, and supporting the administrative record behind meetings, resolutions and other company decisions.

Corporate Administration

Company Secretarial Support

Depending on the selected service, company-secretarial support can involve the practical administration required to keep a CLG's corporate affairs properly organised.

  • Confirmation Statements and recurring Companies House compliance.
  • Corporate and statutory records, including relevant statutory registers.
  • Director, secretary, PSC and member changes and related filings.
  • Meetings, minutes, resolutions and supporting corporate records.
  • Governance-related administrative matters within the agreed scope of support.
General Office Support

Reception & Office Administration

These functions can be useful to an organisation, but they are different from maintaining the company's formal corporate administration.

  • Answering calls and handling visitors.
  • General office and administrative assistance.
  • Routine reception functions.
  • Practical workplace or office support.
UK & International CLGs

Professional Secretarial Support Is Not Limited to UK-Based Customers

Coddan's CLG company-secretarial support can also be relevant to international founders, directors and organisations operating a UK-registered CLG. Where the company is administered from outside the UK, professional support can provide a practical point of assistance with the agreed areas of UK corporate administration and Companies House-related work.

Choosing the Right Level of Support

Choose the Support That Matches Your CLG

A Company Limited by Guarantee (CLG) can require very different levels of corporate administration depending on its stage, structure and activities. The appropriate starting point is therefore not the most comprehensive package, but the work your organisation actually needs professional support with.

Start With the Work You Need Help With

Different corporate situations lead to different support requirements. Consider the work that is actually arising within your organisation before deciding which route is appropriate.

  • Forming a new CLG — if the company has not yet been incorporated, start with the CLG formation route and consider ongoing administration separately once the company is established.
  • Annual compliance — if the CLG is already operating but mainly needs help keeping recurring corporate requirements such as its Confirmation Statement organised, a more focused compliance service may be appropriate.
  • Corporate records and changes — if directors, members, PSC information or other company details change, professional support can be used for the relevant administrative work without necessarily requiring a wider ongoing arrangement.
  • Statutory records and governance administration — if the organisation needs continuing support with relevant statutory registers, corporate records, meetings, minutes or resolutions, an appropriate records and governance support route may be more suitable.
  • Ongoing company-secretarial administration — if the organisation has continuing membership activity, regular corporate changes, meetings, resolutions or broader governance administration, a continuing secretarial relationship may be more suitable.

The Right Level Depends on Your CLG's Circumstances

A newly incorporated CLG may initially need only limited post-incorporation support. An established organisation may already have its own systems but want assistance with specific corporate administration. A more active CLG may require continuing support across records, changes, meetings, resolutions and other company-secretarial matters.

These are different administrative needs, so they should not automatically lead to the same service. Coddan can support the particular areas that require professional assistance rather than treating a higher-priced or broader package as automatically better. The selected scope should reflect what you actually want Coddan to manage.

Understanding the Support Scope

What Can CLG Company Secretarial Support Cover?

Company-secretarial support is not one single task. Depending on the organisation's circumstances and the selected service, a Company Limited by Guarantee (CLG) may require assistance with recurring compliance, corporate records, Companies House filings, officer or member changes, meetings, resolutions and other ongoing administrative matters.

The purpose of this section is to show the main areas in which professional support may be useful. It does not mean that every CLG needs every service, or that every service is included within every annual package.

Recurring Compliance

Annual Confirmation Statement

Support with the annual Confirmation Statement and the corporate information that needs to be reviewed and kept appropriately organised for the company's recurring Companies House compliance.

Corporate Records

Statutory Registers & Company Records

Assistance with maintaining relevant statutory registers and corporate records, including the administrative information supporting the company's directors, members, PSC information and other corporate details.

Companies House Administration

Corporate Filings & Updates

Administrative support with relevant Companies House filings and company information when corporate events or changes require an update to the public record.

Corporate Changes

Directors, Secretaries, PSCs & Members

Support with appropriate appointments, resignations and changes of particulars involving directors, company secretaries, PSC information and relevant membership administration.

Meetings & Decisions

Meetings, Minutes & Resolutions

Administrative support connected with board or member meetings, minutes and corporate resolutions, according to the company's circumstances and the scope of the selected service.

Ongoing Administration

Governance & Company-Secretarial Support

For active CLGs, continuing support may cover appropriate corporate administration arising throughout the year, including records, changes, meetings, resolutions and related governance administration.

UK & International Customers

Support for CLGs Managed From the UK or Overseas

Coddan's professional CLG company-secretarial support is not limited to organisations whose directors or founders are based in the UK. International customers with UK-registered CLGs can also use the appropriate support route for their company's UK corporate administration, Companies House requirements and agreed secretarial work.

These are support areas, not a list of automatic inclusions. The appropriate package depends on which areas Coddan is being asked to manage, the level of ongoing involvement required and whether the matter falls within the defined scope of the selected service.

If you already know which type of administration you need help with, you can now compare the four support destinations and choose the route that most closely matches your organisation's requirements.

Compare the Four CLG Support Packages
Four Professional Support Destinations

Four CLG Company Secretarial & Governance Support Options

Coddan's support for a Company Limited by Guarantee (CLG) is organised around different levels and types of corporate administration. The four packages are therefore different support destinations, rather than a simple Basic → Standard → Premium → Ultimate pricing ladder.

A higher-priced package is not automatically a better choice. The appropriate package depends on what your organisation already manages internally and what you want Coddan to support. Package scope should therefore be considered alongside the wider CLG services available when a particular corporate or lifecycle matter arises.

Support is not limited to CLGs based in the UK. Coddan can provide company-secretarial and governance support to eligible international customers with UK CLGs, including organisations whose directors, members or wider management arrangements are located outside the UK. The appropriate service depends on the company's circumstances and the work required.

Annual compliance destination

CLG Annual Compliance

£199 + VAT / year

For a straightforward CLG that manages most of its day-to-day administration internally but wants professional assistance with its recurring annual corporate compliance.

Typical requirement: keeping the annual compliance cycle organised, including the Confirmation Statement process and associated corporate information, subject to the selected service scope.

This is the focused route where the principal requirement is recurring annual compliance rather than continuing company-secretarial administration throughout the year.

Customer destination: “We manage the company ourselves. Help us keep our annual corporate compliance organised.”

Specialist company and charity destination

CLG Company & Charity Compliance

£395 + VAT / year

For a CLG with a charitable purpose that needs coordinated support with its routine company administration and relevant charity-related compliance administration.

Typical requirement: coordinating the CLG's company-side administration with relevant charitable compliance requirements, while keeping the distinction between company-secretarial support and specialist charity advice clear.

This route is intended for organisations where the company's charitable purpose creates an additional layer of regulatory administration and coordination. It does not make the general secretarial service a substitute for specialist legal, accounting or charity-regulatory advice where that is separately required.

Customer destination: “We operate a CLG with a charitable purpose. Help us keep its relevant company and regulatory administration coordinated.”

Corporate records & administration destination

CLG Compliance & Company Records

£495 + VAT / year

For a CLG that wants professional support with its core corporate-administration infrastructure rather than simply dealing with one annual filing.

Typical areas: maintaining relevant company records and corporate information, supporting appropriate statutory-register administration and helping keep Companies House information and associated corporate changes organised.

This provides a broader administrative route for organisations that need continuing support with their corporate records and related compliance work, but do not necessarily require a full continuing secretarial relationship.

Customer destination: “We want professional help maintaining the company's essential corporate administration and records.”

Ongoing professional relationship

CLG Professional Secretarial Support

£795 + VAT / year

For an active CLG whose corporate circumstances change during the year and which wants an ongoing professional company-secretarial relationship.

Typical areas: recurring corporate administration, officer and relevant PSC changes, corporate records, resolutions, meeting-related administration and other company-secretarial matters arising during the year, subject to scope.

This is the continuing relationship route for organisations that want professional support as corporate requirements arise rather than dealing with each administrative matter entirely on an ad-hoc basis.

Customer destination: “Our organisation is active. We want professional company-secretarial support throughout the year.”

What Company Secretarial Support Can Cover

The precise scope depends on the selected package and the circumstances of the CLG. Depending on the route, professional support may involve:

Annual compliance Confirmation Statement and associated annual corporate compliance administration.
Company records Relevant statutory registers, corporate records and supporting administrative information.
Officer & PSC changes Appropriate director, secretary and relevant PSC appointments, resignations, changes of particulars and related administration.
Membership administration Relevant member information and corporate administration arising from membership changes, subject to scope.
Governance administration Resolutions, meeting-related administration and maintaining the corporate record of decisions.
Companies House administration Appropriate filings and keeping relevant company information organised for Companies House requirements.
Corporate changes Administrative support for relevant changes affecting the company's corporate structure or information.
Ongoing administration Continuing professional support where the organisation's circumstances generate recurring administrative work.

The Four Packages Are Not the Whole CLG Service Ecosystem

A standard annual package is designed around ongoing company-secretarial and governance administration. It does not mean that every other matter affecting a CLG must be fitted into an annual package.

Depending on the circumstances, a CLG may instead need a formation or incorporation service, a specific Companies House filing or corporate change service, specialist governance or constitutional support, document certification or legalisation, charity-related support, dissolution or closure assistance, or company restoration support. These are separate routes where the nature of the work requires them.

The packages are not steps on a ladder. A CLG does not need to move to a more expensive package simply because it has existed longer, has more members or because another organisation has selected it. The appropriate destination depends on the administration Coddan is being asked to support.

Start With the Organisation, Not the Package

Consider what is already being managed internally, what you want professional support with, and whether your CLG needs annual compliance assistance, maintained corporate records, specialist company and charity compliance support, a specific corporate filing or change, or a continuing company-secretarial relationship.

Clear Scope & Wider CLG Support

What Is Outside the Standard CLG Secretarial Packages?

Coddan's annual Company Limited by Guarantee (CLG) secretarial packages provide defined support for specified areas of ongoing corporate administration. Depending on the package selected, this can include annual compliance, the Confirmation Statement process, corporate records, routine officer changes and other appropriate company-secretarial administration.

The packages are not intended to provide unlimited cover for every corporate, constitutional, documentation, identity-verification or company-lifecycle matter. However, a matter being outside a standard package does not mean that Coddan cannot provide the relevant service. It may simply belong to another part of the wider CLG support ecosystem.

Package Scope Does Not Define the Full Coddan Service Capability

The annual packages are designed to make routine company-secretarial support clear and predictable. They should therefore be distinguished from individual services that may be required because of a particular corporate event, compliance requirement, document requirement or stage in the company's lifecycle.

You do not need to purchase a larger annual package simply because your CLG requires a separate specialist service. The appropriate service can be considered separately according to what has actually happened to the company and what needs to be dealt with.

01

Constitutional & Structural Matters

Bespoke or replacement articles, substantial constitutional amendments, significant changes to governance arrangements or other structural matters may require a separate assessment rather than being treated as routine annual secretarial administration.

02

Historic Records & Remediation

Reconstruction of historic or incomplete company records, substantial historic Companies House corrections and longstanding administrative issues may require separate assessment and remediation rather than routine annual administration.

03

Complex Corporate Matters

Disputed membership matters, complex governance issues, unusual corporate decisions, substantial restructuring or extraordinary meetings may require a separate service or assessment rather than being included automatically within an annual package.

04

Identity Verification & Specialist Compliance

Companies House identity verification, ACSP-supported verification and other specialist compliance requirements may form part of a separate service route rather than being automatically included in annual secretarial support.

05

Company Lifecycle Matters

Dissolution, strike-off, company restoration and other significant lifecycle events are separate routes from ordinary annual company-secretarial administration.

06

Corporate Documents & Legalisation

Certified corporate documents, notarisation, apostille and embassy or consular legalisation are separate document services and are not automatically included in annual secretarial packages.

Separate Route — Same Wider Ecosystem

A service being outside the annual package does not mean it is outside Coddan's capability. The purpose of the package structure is to separate predictable ongoing administration from services that arise because of a particular event, specialist requirement or company-lifecycle stage.

UK Company — International Customer

CLG secretarial, governance and specialist support is not limited to customers based in the UK. International founders, directors, members and organisations can seek professional support for a UK-registered CLG. The relevant starting point is the company's UK corporate requirements and the particular support needed, rather than simply where the customer is physically based.

If a particular matter falls outside your annual package, that does not necessarily mean you selected the wrong package. It may simply mean that the matter belongs to a different part of the Coddan service ecosystem and should be dealt with through the appropriate individual or specialist route.

Choose the Service That Matches the Requirement

Where a request goes beyond the defined annual package scope, the appropriate next step may be a specific Coddan service rather than an expansion of the annual secretarial package.

This keeps the annual packages clear and predictable while allowing an established CLG to access the appropriate specialist, compliance, documentation or lifecycle route when its circumstances require it.

Discuss Your CLG Requirement
Connected Specialist Services

Your CLG Can Connect to Other Coddan Services When Needed

An annual company-secretarial package is designed to provide a defined level of ongoing corporate administration. It is not intended to contain every service that a Company Limited by Guarantee (CLG) may require during its corporate lifetime.

When a particular requirement falls outside the routine annual administration, Coddan can provide a route into the relevant corporate, compliance, documentation or lifecycle service. This allows the annual package to remain clear while your wider support can develop with the organisation.

Identity & Compliance

Director & PSC Identity Verification

Where Companies House identity-verification requirements apply to a director or PSC, the verification requirement may need to be dealt with separately from routine company-secretarial administration. As an ACSP, Coddan can provide applicable identity-verification support for UK and international customers.

Explore Identity Verification
Officers & Control

Director, Secretary & PSC Changes

Appointments, resignations, changes of particulars and other officer or PSC changes may require specific Companies House filings and supporting corporate administration. Coddan can provide the relevant filing or administrative service according to the change involved.

Company Address

Registered Office & Corporate Address Support

A CLG may require a professional registered office, director service address, PSC service address or related corporate address arrangement. These address services can be considered separately according to the company's circumstances and correspondence requirements.

Records & Inspection

Company Records & SAIL

Where a CLG requires particular company-record arrangements, inspection facilities or a Single Alternative Inspection Location (SAIL) arrangement where applicable, the requirement may need to be handled as a separate corporate administration service.

Corporate Filings

Specific Companies House Filings

Individual corporate events may require a specific Companies House filing rather than a change to the annual support arrangement. Coddan can provide appropriate filing support for relevant director, secretary, PSC and other corporate changes.

Corporate Change

Corporate Restructuring & Changes of Control

More substantial changes to a company's structure, control or governance arrangements may require a dedicated corporate route rather than routine company-secretarial administration.

Explore Corporate Restructuring
Corporate Documents

Certified Documents, Notarisation & Legalisation

Certified corporate documents, notarisation, apostille and applicable embassy or consular legalisation are separate document services. They may be required where a CLG needs documents for external, regulatory or international purposes.

Governance Events

Meetings, Resolutions & Governance Administration

Particular board or member meetings, resolutions, minutes and related governance administration may require additional work depending on their complexity, frequency and the constitutional requirements of the CLG.

End of Company Life

Dissolution & Strike-Off

If the organisation is approaching the end of its corporate life, dissolution and strike-off should be treated as a separate lifecycle process rather than ordinary annual company-secretarial administration.

Company Lifecycle

Company Restoration

A CLG that has already been struck off and dissolved may require a dedicated restoration route. The appropriate service depends on the company's status, history and circumstances.

UK & International Customers

Support Can Extend to International Directors and Organisations

Coddan's CLG company-secretarial and wider corporate-services support can be relevant to organisations and directors based outside the UK as well as UK-based customers. Individual services remain subject to their own requirements, scope and eligibility.

One CLG may use several Coddan services during its lifetime. The annual company-secretarial package can provide the ongoing administrative foundation, while additional corporate, compliance, documentation, governance or lifecycle services can be used when a particular requirement arises.

A Wider Corporate Services Relationship

Coddan can support different stages of a company's corporate life as a professional TCSP and ACSP. The purpose is not to expand one annual package indefinitely, but to provide a clear route to the appropriate service when the nature of the requirement changes.

Looking for ongoing administration rather than a specialist matter? Start by comparing the annual company-secretarial support options and select the level that matches your CLG's actual requirements.

Ongoing Corporate Administration

Your CLG Can Change Throughout the Year

Incorporation gives a Company Limited by Guarantee (CLG) its corporate structure, but that structure may continue to change as the organisation develops. Directors may be appointed or resign, members may join or leave, company details may change, governance decisions may be made and the company's corporate records may need to be updated.

A corporate change is therefore not always just a Companies House form. Depending on the circumstances, it may involve a decision or resolution, supporting documentation, statutory registers or other company records, a corresponding filing or update and subsequent administration to keep the company's information consistent.

1

Corporate Change

A change occurs involving directors, secretaries, membership, control, company details or other corporate arrangements.

2

Corporate Decision

The appropriate decision, approval or resolution is established and recorded where required.

3

Supporting Records

Relevant registers, minutes, resolutions and other corporate records are updated to reflect the change.

4

Companies House

Where required, the corresponding information is filed or updated with Companies House.

5

Officer Changes

Director or secretary appointments, resignations and relevant changes of particulars may require action.

6

Membership & PSC

Membership or PSC information is reviewed and updated where the relevant requirements apply.

7

Ongoing Record

Corporate records, statutory registers, filings and supporting documents remain consistent after the change.

The Administrative Work Is Connected

When a corporate change occurs, the relevant filing is only one part of the administrative process. The decision behind the change, supporting documents, statutory registers, company records and Companies House information may all need to remain aligned. Professional support can help maintain continuity across those connected tasks.

Common Company-Secretarial Matters Can Arise Between Annual Filings

Annual compliance is important, but it is not the only reason a CLG may need company-secretarial support during the year. Depending on its circumstances, an organisation may also need assistance with individual corporate actions, Companies House filings or the administration surrounding them.

Annual Compliance Confirmation Statement preparation and related annual corporate information checks.
Statutory Registers Maintaining relevant company registers and corporate records as changes occur.
Officer Changes Appointments, resignations and changes to director or secretary particulars, with the relevant corporate filing where required.
Membership & PSC Relevant membership and PSC information can require review and corresponding administration where applicable.
Meetings & Resolutions Corporate decisions, meetings, resolutions and the records supporting them may need administration.
Corporate Filings Event-driven Companies House filings may be required when the company's registered information changes.

Some Corporate Changes Can Be Handled as Specific Services

Not every change requires an annual company-secretarial package. Where the requirement is clearly defined, Coddan can provide individual corporate administration and filing support appropriate to the change involved.

Director Appointment Director Resignation Change of Director Details Company Secretary Appointment PSC Administration Share / Membership Administration Companies House Filings

Common Changes May Require Different Levels of Support

Some changes are relatively straightforward and may only require a defined filing or administrative service. Others can involve several connected steps and may benefit from continuing company-secretarial support.

For example, a director appointment may involve the appointment itself, the relevant Companies House filing and corresponding corporate records. A change affecting membership, control or governance may require a different level of review and documentation. The appropriate route depends on the nature and scope of the change.

Isolated Filing Approach

Appropriate When the Requirement Is Genuinely Limited

A CLG may only need assistance with one particular filing, appointment, resignation, change of particulars or other defined corporate action. In that situation, a standalone service may be the most appropriate and proportionate route.

Ongoing Support Approach

Appropriate When Corporate Administration Keeps Moving

Where a CLG experiences recurring changes, active membership, continuing governance activity or regular administrative requirements, an ongoing company-secretarial relationship can provide continuity rather than requiring separate support each time.

Company-Secretarial Support Is Also Available to International CLGs

Coddan's CLG company-secretarial support is not limited to organisations or directors based in the UK. International founders, directors and organisations can also use appropriate UK corporate administration services where their CLG requires professional support with its UK company records, filings, governance administration or ongoing secretarial requirements.

Company Restoration & Lifecycle Support

What If Your CLG Has Already Been Dissolved?

A Company Limited by Guarantee (CLG) that has been struck off and dissolved is no longer an active company. Depending on the circumstances, however, a restoration route may be available to return the company to the Companies House register.

Restoration is therefore a distinct company lifecycle service, rather than ordinary annual company-secretarial administration. The appropriate route depends on the company's status, how it was dissolved and the circumstances surrounding the proposed restoration.

Possible restoration route

Administrative Restoration

In circumstances where administrative restoration may be available, the company's eligibility, history and relevant requirements need to be considered before proceeding. Coddan can help identify the appropriate restoration route and provide relevant restoration support within scope.

Alternative restoration route

Court Restoration

Where administrative restoration is unavailable or the circumstances require a different procedure, court restoration may need to be considered. This is a separate specialist route and should not be treated as routine company-secretarial administration.

First step

Establish the Company's Position

Before selecting a restoration route, the company's Companies House status, dissolution circumstances and relevant corporate history should be established. This provides the basis for identifying the appropriate next step.

Restoration Is Different From Closing an Active CLG

Closing an active company and restoring a company that has already been dissolved are different points in the corporate lifecycle. A CLG considering closure needs an appropriate closure or dissolution route; a dissolved CLG requires an assessment of whether restoration is available and appropriate.

The company's current status should therefore be established before selecting a service. This helps prevent restoration from being treated as though it were simply another annual company-secretarial filing.

What May Need to Be Considered?

Restoration is not simply a matter of submitting one routine annual filing. The circumstances surrounding the dissolved CLG can affect the appropriate route, the documentation required and the work that needs to be addressed.

Companies House Status The company's current register status and the circumstances in which it was struck off or dissolved.
Corporate History Relevant company information, previous filings and circumstances that may affect the restoration process.
Outstanding Matters Any corporate, filing, documentation or administrative matters that may need to be addressed as part of the restoration process.
Coddan Restoration Support

Restoration Is a Separate Coddan Service Route

If your CLG has already been dissolved, you are not expected to fit the matter into one of the annual company-secretarial packages. Coddan's company restoration service provides a separate route for assessing the company's position and dealing with the restoration requirement according to the circumstances involved.

This keeps the annual packages focused on ongoing corporate administration while allowing a dissolved company to move into the appropriate lifecycle service when restoration becomes relevant.

A Specialist Lifecycle Matter

Restoration is not automatically included within an annual company-secretarial package. It is a separate company-lifecycle matter that may require its own assessment, documentation and specialist route depending on the circumstances.

If your CLG has already been dissolved, you do not need to determine the entire restoration process before seeking support. The practical starting point is to establish the company's position and identify the restoration route that may be available.

Explore Coddan Company Restoration

Support is not limited to UK-based customers. Coddan's corporate and company-secretarial support can also be relevant to international directors, members and organisations dealing with a UK-registered CLG, subject to the requirements and scope of the particular service.

From Formation to Company Life

From CLG Formation to Ongoing Company Secretarial Support

Incorporating a Company Limited by Guarantee (CLG) establishes the company. It does not bring the company's corporate administration to an end. Once incorporated, directors and members may continue to deal with company records, the annual confirmation statement, statutory registers, Companies House filings, corporate changes, meetings, resolutions and other governance administration.

Coddan's CLG Formation and Secretarial & Governance ecosystems are connected, but they are not the same service. Formation support establishes the company; ongoing company-secretarial support helps an established CLG manage its continuing corporate administration. This distinction also means that an existing CLG can seek support directly, including where it was originally incorporated elsewhere.

1

Plan the CLG

Consider the proposed purpose, structure, members and formation requirements.

2

Form & Incorporate

Complete the appropriate formation and registration process to establish the CLG.

3

Establish Administration

Put appropriate corporate records, statutory registers and compliance arrangements in place.

4

Manage Annual Compliance

Keep required company information organised and deal with recurring compliance requirements.

5

Add Specialist Support

Move to a separate specialist service when a particular corporate or lifecycle matter requires it.

The Secretarial & Governance ecosystem supports the company's continuing corporate administration. Depending on the selected service, this can include annual compliance, confirmation statement support, statutory records, routine officer changes, corporate documentation, meetings and resolutions. Support can be relevant immediately after incorporation or later in the company's life.

UK & International Organisations

CLG company-secretarial support is not limited to UK-based customers. International founders, directors and organisations with a UK CLG can also use appropriate Coddan support for the company's UK corporate administration. The relevant service is determined by the company's circumstances and the administrative work required, rather than simply by where the customer is based.

Formation and ongoing administration are connected, but they are not the same requirement. A new CLG may begin with formation support and then move into an appropriate ongoing support arrangement. An existing CLG does not need to go through formation again and can enter the Secretarial & Governance ecosystem directly.

Two Natural Starting Points

Start with the appropriate CLG formation and incorporation support. Once the company is established, you can decide whether annual compliance assistance or ongoing company-secretarial support is appropriate.

The company changes stage; the support should change with it. Formation establishes the CLG. Ongoing secretarial support helps manage its continuing corporate administration. Specialist services can then be added where a particular corporate, compliance or lifecycle matter requires a different route.

A Corporate Change Is Usually a Connected Administrative Process

The exact work depends on the change involved, but several parts of the company's administration may need to remain aligned.

1
Corporate Change An officer, member, control position, company detail or other corporate arrangement changes.
2
Decision or Approval The appropriate decision, approval or resolution is established and recorded where required.
3
Supporting Records Relevant registers, minutes, resolutions and other corporate records are updated where applicable.
4
Companies House Where required, the corresponding company information is filed or updated with Companies House.
5
Ongoing Record Corporate records, statutory registers, filings and supporting documents remain consistent after the change.
Officers

Director & Secretary Changes

Appointments, resignations and changes of particulars involving directors or company secretaries may require corporate records to be updated together with the appropriate Companies House administration.

Membership

Member Changes & Administration

Changes affecting membership can require appropriate records, supporting documentation, decisions or resolutions and related corporate administration to remain properly organised.

Control Information

PSC Information Where Applicable

Where a person with significant control is relevant to the CLG, changes to the applicable information may require review and corresponding corporate or Companies House administration.

Company Information

Changes to Company Details

Changes to relevant company information may create corresponding filing, record-keeping or administrative requirements and should be dealt with according to the nature of the change.

Governance

Meetings, Minutes & Resolutions

Corporate decisions may require meetings, minutes, resolutions or other supporting records. The level of administration depends on the decision, the company's circumstances and the applicable constitutional requirements.

Companies House

Event-Driven Corporate Filings

Some changes require a specific Companies House filing or update. The appropriate filing depends on the corporate event and should not be treated as interchangeable with routine annual compliance.

The Important Point

A Companies House filing may be only one part of the work. Depending on the change, the surrounding decision, supporting documents, corporate records, statutory registers and subsequent administration may also need to remain consistent.

Isolated Requirement

Appropriate When the Requirement Is Genuinely Limited

A CLG may only need assistance with one particular appointment, resignation, change of particulars, filing or other defined corporate action. Where the requirement is genuinely limited, a standalone administrative service may be the most proportionate route.

Continuing Requirement

Appropriate When Corporate Administration Keeps Moving

Where a CLG experiences recurring changes, active membership, continuing governance activity or regular administrative requirements, an ongoing company-secretarial relationship can provide continuity rather than requiring separate support each time.

Company-Secretarial Support Is Also Available to International CLGs

Coddan's CLG company-secretarial support is not limited to organisations or directors based in the UK. International founders, directors and organisations can also use appropriate UK corporate administration services where their CLG requires professional support with its company records, filings, governance administration or ongoing secretarial requirements.

If a corporate change is already happening within your CLG, the appropriate route depends on whether you need one defined administrative action or broader support around the change and its continuing corporate consequences.

Compare the CLG Support Packages Discuss a Corporate Change

The appropriate service depends on the change, not simply on the fact that a change has occurred. A straightforward administrative requirement may be dealt with separately, while a recurring or connected series of corporate changes may make continuing company-secretarial support more appropriate.

The routes below form part of a wider CLG support ecosystem. They are intended to help you navigate between formation, annual compliance, company secretarial administration and specialist corporate services without suggesting that every CLG needs every service.

Specialist matter

I have a more complex corporate issue

Some matters fall outside ordinary annual secretarial administration and require a separate specialist service, assessment or lifecycle route. This can include constitutional work, historic record remediation, restoration, closure, corporate document legalisation or other circumstances requiring a different level of support.

Discuss the requirement →

Company Secretarial Support Is Not Limited to UK-Based Customers

A UK company can be operated by founders, directors or members based outside the United Kingdom. Coddan's company-secretarial support is therefore also relevant to international customers with UK companies, subject to the requirements and scope of the particular service. The company's UK corporate obligations remain relevant regardless of where its directors or owners are based.

You Can Move Between Routes as Your CLG Develops

These routes are not permanent categories. A newly formed CLG may begin with formation support and later require annual compliance, statutory-register maintenance or ongoing secretarial assistance. An established CLG may also need a separate specialist service when a particular corporate or lifecycle event occurs. The appropriate route can therefore change as the company's circumstances change.

Different circumstances → different destinations → appropriate solution. The purpose of this ecosystem is to help you reach the service that fits your company's actual requirement, rather than encouraging every CLG towards the same package.

Start With Your CLG's Actual Requirement

Find the Right Company Secretarial Support for Your CLG

Whether you are establishing a new Company Limited by Guarantee (CLG), managing an established CLG, preparing annual compliance, dealing with a corporate change or looking for continuing company-secretarial support, the right starting point is to understand what your organisation actually needs.

Tell Coddan what is happening with your company and what you need help managing. The appropriate route may be an annual company-secretarial package, a specific filing or administrative service, or a separate specialist service where the matter falls outside the standard package scope.

The most comprehensive package is not automatically the most appropriate one. The right solution depends on the organisation's circumstances, the administrative responsibilities involved and the level of support you actually want Coddan to provide.

Company-secretarial support is available to international customers with UK companies. You do not need to be based in the United Kingdom to require ongoing corporate administration for a UK CLG. The appropriate service remains subject to the company's circumstances and the scope of the support selected.

One CLG may use more than one Coddan service during its lifetime. Annual company-secretarial support can provide an appropriate administrative foundation, while separate services remain available when a particular corporate, compliance, documentation or lifecycle matter requires a different route.

You do not need to identify the entire service structure yourself. Start with the requirement you are dealing with now and use the appropriate route for that requirement. If your circumstances develop, additional support can be considered when it becomes relevant.

If you already know that you need ongoing company-secretarial support, you can review the available packages directly.
