About the fast-track business bank account

The business banking account is the subject to satisfactory status and identification checks by the Bank. You will be a subject to the usual credit & identity checks by the Bank.

Where you request a bank account through our business banking accounts' referral service, you confirmed that you agree that your personal details will be submitted on your behalf to the Bank & to being contacted directly by a Bank' officer for the purposes of fulfilling opening a business bank account request.

The business bank' accounts are opened & provided by the Bank and are subject of the Terms and Conditions as set forth by the Bank at the time of account opening. Should you be unable to open a business banking account, we will not charge you an additional fee.

About the LLP incorporation procedure

When your LLP will be ready

The formation of a limited lianility partnership usually takes as little as four to six hours from the time that your application & payment are received by Coddan.

A limited liability partnership shall disclose: -

(a) The address of its registered office;
(b) Any inspection place; and
(c) The type of LLP' records which are kept at that office or place, to any person it deals with in the course of business who makes a written request to the LLP for that information.

The limited liability partnership shall send a written response to that person within five working days of the receipt of that request.

Where can you keep these records?
You may keep all or any of these records at the LLP's registered office. The LLP may choose an alternative location to make these records available for inspection.

The LLP can only have one alternative location to the registered office at any given time. That location must be in the same part of the UK as the registered office, e.g. a LLP registered in England and Wales can have an alternative inspection location in England and Wales only, but not in Scotland or Northern Ireland.

The LLP may choose to keep some records at its registered office and some at its alternative inspection location provided that all the records of a type are kept together.

Offence
Where a LLP fails, without reasonable excuse, to comply with any requirement in regulations, an offence is committed by: -
(a) The LLP; and
(b) Every member and officer of the LLP who is in default.

A person guilty of an offence is liable on summary conviction to: -
(a) A fine not exceeding level 3 on the standard scale; and
(b) For continued contravention, a daily default fine not exceeding one-tenth of level 3 on the standard scale.

For the purposes of this regulation a shadow director is to be treated as an officer of the LLP.

Requirement to display registered name at registered office and inspection place
3. (1) A LLP shall display its registered name at
(a) Its registered office; and
(b) Any inspection place.
(2) But paragraph (1) does not apply to any LLP which has at all times since its incorporation been dormant.

Requirement to display registered name at other business locations
4. (1) This regulation applies to a location other than a LLP's registered office or any inspection place.
(2) A LLP shall display its registered name at any such location at which it carries on business.

Manner of display of registered name
5. (1) This regulation applies where a LLP is required to display its registered name at any office, place or location.
(2) The registered name shall be so positioned that it may be easily seen by any visitor to that office, place, or location.

Registered name to appear in communications
6. (1) Every LLP shall disclose its registered name on: -
(a) Its business letters, notices and other official publications;
(b) Its bills of exchange, promissory notes, endorsements and order forms;
(c) Cheques purporting to be signed by or on behalf of the LLP;
(d) Orders for money, goods, or services purporting to be signed by or on behalf of the LLP;
(e) Its bills of parcels, invoices and other demands for payment, receipts and letters of credit;
(f) Its applications for licences to carry on a trade or activity; and
(g) All other forms of its business correspondence and documentation.
(2) Every LLP shall disclose its registered name on its websites.

Offence: -
10. (1) Where a LLP fails, without reasonable excuse, to comply with any requirement in regulations 2 to 9, an offence is committed by: -
(a) The LLP; and

Evolve to WebFiling Accounts
Accounts can now be filed online using WebFiling. In addition to most of your other information you can now file unaudited abbreviated and dormant company accounts - these make up the majority of accounts filed at Companies House.

WebFiling offers free downloadable document templates. These contain inbuilt checks so that you can be sure you haven't omitted any key information and your balance sheet really does balance.

Registered office address, directors and secretaries' details can be amended via Companies House WebFiling. You may register your annual return online using WebFiling. To get access to the Companies House WebFiling service you will need to have your company key and to be registered with their system with your own e-mail address.

Deadlines
All LLPs, whether trading or not, must send their accounts and the auditor’s report on those accounts (unless exempt from audit), to Companies House by the filing deadline. If the designated members submit the LLP’s accounts late the law imposes an automatic penalty.

The period allowed for filing your LLP’s accounts depends on whether you are filing your first accounts since incorporation or subsequent accounts: -

First Accounts
If your first accounts cover a period of more than 12 months, they must be delivered to Companies House within 21 months of the date of incorporation or 3 months from the end of the accounting reference period which ever is longer. If the first accounts cover a period of 12 months or less, they must be delivered within 9 months from the end of the accounting reference period.

Subsequent Accounts
In subsequent years you have 9 months from the end of the accounting reference period to file the accounts. However if you change the accounting reference period the filing time may be reduced.

If you are a designated member of an LLP, you are personally responsible for ensuring you deliver the LLP accounts before the time allowed runs out. Delivery means actual receipt at Companies House in the correct format. If they are late, a penalty is automatically imposed.

How Much are Late Filing Penalties?
The level of the penalty depends on when the accounts reach Companies House and is shown in the following table: -

Not more than one month - £150.00
More than one month but not more than three months - £375.00
More than three months but not more than six months - £750.00
More than six months - £1,500

For example a set of acceptable accounts for the accounting period ending 30 September 09 would need to be delivered by 30 June 2010 to avoid a late filing penalty. If they were not delivered to Companies House until 15 July 2010, they would incur a late filing penalty of £150.00.

The penalties will be doubled for late filing in two successive financial years beginning on or after 1 October 2008.

This means if your LLP has an accounting reference date of 30 September and the accounts for the period ending 30 September 09 were delivered late, as in the example above, and you delivered accounts for the subsequent period ending 30 September 2010 late then you would incur a £300 late filing penalty.

Important Notice
With your company' online filing key, the following documents, will be also posted to you upon formation of your company: a hard bound copy of corporate documents includes: a laminated copy of the certificate of incorporation of your company, a hard bound copy of the memorandum and articles of association, a hard bound copy of the minutes of the first meeting of directors, share certificates, and your company register.
