The second option of the company limited by guarantee formation for the non-UK customers is the fastest process with electronic documentation to get your non-profit business started, and printed corporate documents as well.

This package is the cheap and efficient way to begin business, as the UK registered non-profit company, and includes the provision of a registered office address, the cost of forwarding official post overseas for the duration of one year, and the provision of a nominee director for one year.

This is one the most popular package for the EU and international small & medium size businesses, who wish to appoint the nominee director.

There is a growing need of the UK based nominee directors who have vital knowledge of UK's and international tax planning principles and the national laws. As more and more foreign and offshore registered companies are opening up in the country, the need for those directors is increasing for the very important reason. There are double taxes levied on the foreign owned companies as against the domestically registered ones. A company with the nominee director will ensure that all legislative requirements are adhered to & takes care of the settlement of the annual fees, maintaining the registered office address, filling the annual return and so on.

You need to appoint a member (who can be a physical person, or it can be a corporate body). You will also need to provide information about the person with the significant control, if such person is different from a company member.

Your nominee director will not be listed as a person with significant control in any cases, there are no exemptions at all.

3. The hard bound copies of the company's registers;
4. The hard bound copies of the of the first meeting of the board of directors;
5. Two membership' certificates printed on the special layout security design paper;
6. The signed power of attorney;
7. The signed, undated resignation letter from a nominee director;
8. The agreement for the provision of the nominee service.

With this package we will also provide the following services: -

1. The provision of the registered office address for 12 months;
2. The government mail forwarding or scanning with forwarding to your e-mail;
3. The certificate of the registered office address;
4. The appointment of a nominee director, citizen of the United Kingdom for 12 months;
5. Monitoring changes in ownership of the company;
6. Ensuring that the company files statutory information promptly;
7. Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;

When your limited company will be formed and registered at Companies House, Companies Registrar tells to the HMRC that this has happened; this applies whether you start your business as the limited company. It also applies whether or not your company is active or has not started trading.

HMRC sends a newly formed company an introductory pack within six weeks of being told by Companies House that the new company exists. This pack contains corporation tax forms and explanatory notes for new companies. The pack is usually sent to your company's registered office, which may or may not be the same address that you trade from.

You should complete and send a completed form (new company details) to your corporation tax office as soon as possible. If your limited company is dormant, you should complete a dormant form instead.

It is important to complete these forms as HMRC uses the information you provide to work out your corporation tax paying and filing deadlines. They will send you a form to confirm these deadlines, unless you have told HMRC that your company is dormant.

If your new company has not yet started trading you need to tell HMRC as soon as possible if your company has been set up but is not yet trading or engaging in any business activity. In other words, your company is dormant.

Penalties for not telling HMRC your company is liable for corporation tax
If your company or organisation has corporation tax to pay but you do not receive a 'Notice to deliver a Company Tax Return' from HMRC, you still must tell HMRC it is liable for corporation tax. If you do not, your company or organisation may be charged a penalty. HMRC calls this a 'failure to notify' penalty.

Where the obligation to tell HMRC that your company or organisation is liable for corporation tax takes place on or after 1 April 2010, the penalty is based on the amount of tax that is unpaid or that your company or organisation is liable for. This is called the 'potential lost revenue' or 'PLR'.

Mandatory Identity Verification is required for all UK Incorporations. This is in addition to any usual Anti-Money Laundering Regulations that we have to comply with.

Being an ACSP, Coddan is undertaking Identity Verification for Companies House, in line with their new mandatory identity verification requirements. Identity verification is required for all directors, shareholders, members of the partnership and persons with significant control.

For clients, we provide Company Formation services to, our fee for Identity Verification and submission of information to the Companies House is £30.00 per person. The fee covers our admin fee and software fee for running the checks.
