When your company will be ready
The formation of a CIC company limited by shares usually takes as little as 1 to 2 days from the time that your application & payment are received by Coddan.
Companies registration can sometimes takes slightly longer. Although the majority of CIC companies are incorporating within a maximum of 2 days, there may be occasions where the process takes longer due to circumstances beyond our control.
The provision of the trading & inspection address
If your company is the active, the fee for the provision of the trading office address and the address for inspection of corporate documents is slightly higher.

In the case if you only need to have a registered office address for public records, & you will keep your company' registers, accountancy and VAT records at your own permission in England or Wales, please provide us the details of the SAIL (single alternative inspection location) address.
A limited company shall disclose: -
(a) The address of its registered office;
(b) Any inspection place; and
(c) The type of company' records which are kept at that office or place, to any person it deals with in the course of business who makes a written request to the company for that information.
The limited company shall send a written response to that person within five working days of the receipt of that request.
Where can you keep these records?
You may keep all or any of these records at the company's registered office. The company may choose an alternative location to make these records available for inspection.
The company can only have one alternative location to the registered office at any given time. That location must be in the same part of the UK as the registered office, e.g. a company registered in England and Wales can have an alternative inspection location in England and Wales only, but not in Scotland or Northern Ireland.
The company may choose to keep some records at its registered office and some at its alternative inspection location provided that all the records of a type are kept together.
Offence
Where a company fails, without reasonable excuse, to comply with any requirement in regulations, an offence is committed by: -
(a) The company; and
(b) Every member and officer of the company who is in default.
A person guilty of an offence is liable on summary conviction to: -
(a) A fine not exceeding level 3 on the standard scale; and
(b) For continued contravention, a daily default fine not exceeding one-tenth of level 3 on the standard scale.
For the purposes of this regulation a shadow director is to be treated as an officer of the company.
Requirement to display registered name at registered office and inspection place
3. (1) A company shall display its registered name at
(a) Its registered office; and
(b) Any inspection place.
(2) But paragraph (1) does not apply to any company which has at all times since its incorporation been dormant.
Requirement to display registered name at other business locations
4. (1) This regulation applies to a location other than a company's registered office or any inspection place.
(2) A company shall display its registered name at any such location at which it carries on business.
Manner of display of registered name
5. (1) This regulation applies where a company is required to display its registered name at any office, place or location.
(2) The registered name shall be so positioned that it may be easily seen by any visitor to that office, place, or location.
Registered name to appear in communications
6. (1) Every company shall disclose its registered name on: -
(a) Its business letters, notices and other official publications;
(b) Its bills of exchange, promissory notes, endorsements and order forms;
(c) Cheques purporting to be signed by or on behalf of the company;
(d) Orders for money, goods, or services purporting to be signed by or on behalf of the company;
(e) Its bills of parcels, invoices and other demands for payment, receipts and letters of credit;
(f) Its applications for licences to carry on a trade or activity; and
(g) All other forms of its business correspondence and documentation.
(2) Every company shall disclose its registered name on its websites.
Offence: -
10. (1) Where a company fails, without reasonable excuse, to comply with any requirement in regulations 2 to 9, an offence is committed by: -
(a) The company; and

The register of debentures - £15.99
Companies are obliged to make up the register of debenture holders when debentures are issued. If the company has tradable debt it will usually be a condition of the loan instrument that the company keep a register of debenture holders.
It can be kept at the registered office or where it is made up. If not at the registered office, the company must notify the location to the registrar of companies. Debenture holders and members can inspect this register free of charge; other may have to pay a fee up to the permitted maximum.
On request, copies of entries must be sent within ten days with maximum fees as for the register of members.
The register of mortgages and charges - £15.99
A charge (or mortgage) is the security that a company offers to support a loan. Most charges must be registered at Companies House, either by the borrower or - in most cases - by the lender or the lender's agent.
To register a charge, the details of the charge, together with the original document creating or providing evidence of the charge, must be delivered to Companies House within the specified time limit. Companies House will return the original charge document after the details have been registered.

All details of mortgages and charges that a company creates must be registered with Companies House. The details of the mortgage or charge and any documentation creating or giving evidence of it must be sent to the Registrar. Companies House as describes mortgages and charges: -

Debentures (or loan stock) exist as an alternative form of investing in a company that is more secure than investing in shares because interest payments must be made by the company and must be paid before dividends. Dividends, in contrast to debentures, are paid at the company's discretion. Debenture holders also become preferential creditors if the company which issued the debentures fails. A disadvantage is that debenture holders have no share in the company and therefore have no control over it.
If a company borrows money, it will give its creditor a document confirming the existence and terms of the loan. This document is called a debenture. Under the debenture, the amount borrowed is repayable at a future date.

The web filling options
Evolve to WebFiling Accounts
Accounts can now be filed online using WebFiling. In addition to most of your other information you can now file unaudited abbreviated and dormant company accounts - these make up the majority of accounts filed at Companies House.
WebFiling offers free downloadable document templates. These contain inbuilt checks so that you can be sure you haven't omitted any key information and your balance sheet really does balance.
Registered office address, directors and secretaries' details can be amended via Companies House WebFiling. You may register your annual return online using WebFiling. To get access to the Companies House WebFiling service you will need to have your company key and to be registered with their system with your own e-mail address.
Deadlines
Company directors and the company secretary are responsible for filing their company's annual return within 28 days of the made-up date.
Penalties
It is a criminal offence not to deliver the company's annual return within 28 days of the made-up date, for which company secretaries and directors may be prosecuted. You could be penalised up to £5,000 if you fail to send your annual accounts by the due date.
And if you are late filing your annual return as well, your company may be struck off and you could face a criminal charge.
Important Notice
With your company' online filing key, the following documents, will be also posted to you upon formation of your company: a hard bound copy of corporate documents includes: a laminated copy of the certificate of incorporation of your company, a hard bound copy of the memorandum and articles of association, a hard bound copy of the minutes of the first meeting of directors, share certificates, and your company register.

Mandatory Identity Verification is required for all UK Incorporations. This is in addition to any usual Anti-Money Laundering Regulations that we have to comply with.
Being an ACSP, Coddan is undertaking Identity Verification for Companies House, in line with their new mandatory identity verification requirements. Identity verification is required for all directors, shareholders, members of the partnership and persons with significant control.
