CLG formation with continuing professional support
The CLG ContinuityPro™ package is designed for organisations that want to establish a Company Limited by Guarantee while maintaining a continuing professional relationship with Coddan after incorporation.
This package includes everything provided under our CLG ProtectPro™ package, together with a named company secretarial service designed to provide the company's directors with an ongoing professional point of contact for relevant corporate administration.
Where the client appoints Coddan as the company's named secretary, we can assist with understanding Companies House and relevant HMRC administrative requirements, provide practical reminders regarding important corporate deadlines and offer guidance when company information or circumstances change.
The service is available to UK and overseas applicants and can accommodate one or more directors, individual or corporate members or guarantors, including mixed individual and corporate participation where applicable.
The following digital company documents will be provided following successful incorporation:
1. A Certificate of Incorporation;
2. The Memorandum and Articles of Association;
3. Other applicable digital incorporation documentation.
Important: The named company secretarial service provides continuing professional assistance and does not automatically include the filing of every future Companies House or HMRC document, return or application. Individual filings and additional services remain available separately when requested.
Where you appoint Coddan as the company's named secretary, we can act as a professional point of contact for the company's directors in relation to relevant corporate administration.
Our continuing support can include practical reminders regarding Companies House and administrative deadlines, guidance when company information or circumstances change, and assistance with understanding what Companies House or HMRC action may be required as the company's circumstances develop.
We can also assist with relevant communications concerning the company's corporate administration and help directors understand the appropriate next steps where a change, filing requirement or administrative matter arises.
Individual future filings, returns, applications and other additional services are not automatically included. Where you require Coddan to prepare or submit a particular document or filing, the relevant service can be requested separately.
The purpose of the named company secretarial service is to provide a continuing professional relationship with Coddan rather than simply completing the initial company formation.
We will incorporate your private company limited by guarantee using the information provided in your application and the registered office and director service address arrangements selected for your company.
You can appoint your own candidates as directors and members or guarantors, including corporate participants where applicable. Your specific company objects can also be provided as part of the formation application. Additional directors, members or guarantors, corporate participants and mixed individual and corporate participation do not automatically result in an additional formation charge.
Your application will be reviewed by an experienced member of the Coddan team before it is submitted electronically to Companies House. We check the information provided for obvious omissions, inconsistencies and errors and will contact you where clarification or additional information is required before submission.

Formation of a Company Limited by Guarantee normally takes 24–48 hours once we have received a complete application and the information required to proceed.
We will submit your completed incorporation application electronically to Companies House following our professional review, allowing the application to proceed efficiently through the Companies House registration process.
Companies House processing times can sometimes vary. Although many applications are processed within the normal timeframe, there may be occasions where incorporation takes longer because of circumstances outside Coddan's control or where Companies House requires further information.
If you require your CLG to be incorporated more urgently, a guaranteed same-day incorporation service can be requested separately, subject to the applicable requirements and service conditions.
As an Authorised Corporate Service Provider (ACSP), Coddan must comply with applicable identity-verification and customer due-diligence requirements when providing company formation services.
Directors must complete the applicable Companies House identity-verification requirements and, where applicable, PSCs may also have identity-verification requirements. UK and overseas applicants can use the available verification routes where eligible.
Where verification is required as part of your formation process, our compliance team will provide instructions regarding the information and identification documents required. The applicable process may depend on the circumstances of the individuals involved and the verification route available to them.
Completion of the required verification is an important part of the formation process. Delays in providing the required information or completing the applicable verification process may result in a delay to the incorporation service.
