This CLG FoundationPro™ package is designed for organisations that know a Company Limited by Guarantee is the appropriate structure and want their new CLG professionally established on the correct corporate foundation.

The package is suitable for UK and overseas applicants and covers the key elements of the initial CLG structure, including directors, members or guarantors, guarantee amount, company objects or purposes, SIC code selection and registered office requirements.

The formation fee includes the £100 Companies House incorporation fee. Following successful incorporation, the relevant company formation documents and initial corporate records will be provided to you electronically, including:

1. A Certificate of Incorporation;
2. Memorandum and Articles of Association appropriate to the formation;
3. Initial corporate registers and statutory company records;
4. Other formation documentation where applicable.

About the CLG incorporation procedure

We will prepare and incorporate your private Company Limited by Guarantee using the registered office information provided for the formation. You can appoint your proposed directors and identify the members or guarantors and the relevant guarantee amount.

You can provide your proposed company name, details of the directors, members or guarantors, guarantee amount, company objects or purposes and proposed activities through our online application process. The relevant SIC code can also be selected as part of the formation process.

Your application will be reviewed by an experienced member of the Coddan team before it is submitted electronically to Companies House. We check the information provided for obvious omissions, inconsistencies and errors and can contact you if clarification or additional information is required.

When your CLG will be ready

Formation of a Company Limited by Guarantee normally takes 24–48 hours once we have received a complete application and the information required to proceed.

We submit your completed incorporation application electronically to Companies House following our professional review. Companies House processing times can vary, so the final incorporation time may be longer if circumstances outside our control affect the application.

Following incorporation, we provide the initial formation documentation and corporate records included within the CLG FoundationPro™ package, together with initial post-incorporation guidance.

If you require your CLG to be incorporated more urgently, a guaranteed same-day incorporation service can be requested separately, subject to the applicable requirements and service conditions.

About identity verification and compliance requirements

As an Authorised Corporate Service Provider (ACSP), Coddan must comply with applicable identity-verification and customer due diligence requirements when providing company formation services. The applicable verification requirements depend on the people involved in the proposed company and their circumstances.

Directors must complete the applicable Companies House identity-verification process and, where applicable, PSCs may also have identity-verification requirements. UK and overseas applicants can use the available verification routes where eligible.

Where Coddan carries out the applicable verification process, you will receive instructions from our compliance team regarding the identification documents and information required. Depending on the verification route and your circumstances, this may include identity-document information and other verification information requested through the applicable secure process.

Completion of the required verification is an important part of the formation process. Delays in providing the required information or completing the applicable verification process may result in a delay to the incorporation service.

Due diligence requirements

Mandatory Identity Verification is required for all UK Incorporations. This is in addition to any usual Anti-Money Laundering Regulations that we have to comply with.

Being an ACSP, Coddan is undertaking Identity Verification for Companies House, in line with their new mandatory identity verification requirements. Identity verification is required for all directors, shareholders, members of the partnership and persons with significant control.

For clients, we provide Company Formation services to, our fee for Identity Verification and submission of information to the Companies House is £30.00 per person. The fee covers our admin fee and software fee for running the checks.
