This CharityReg Essential™ package is designed for founders, small community organisations and associations that already understand their intended charitable purpose and structure and want their Company Limited by Guarantee professionally established by Coddan together with essential support for the applicable charity-registration process.
The package is suitable for UK and overseas applicants and can accommodate one or more directors, individual or corporate members or guarantors, including mixed individual and corporate participation where applicable. You can provide your proposed charitable purposes and company objects as part of the formation and registration-support process, within the agreed scope.
The package combines the Companies House incorporation stage with essential charity-registration preparation and support. The formation fee includes the £100 Companies House incorporation fee. Following successful incorporation, the basic digital company documents will be provided to you electronically, including:
1. A Certificate of Incorporation;We will incorporate your Company Limited by Guarantee using the information and structure provided through the formation and registration-support application. You can appoint your own candidates as director, member or guarantor and, where applicable, identify the relevant person or persons with significant control (PSC).
You can provide your proposed company name, details of the directors, members or guarantors and your proposed charitable purposes and company objects through our online application process. Additional directors, members or guarantors, corporate participants and mixed individual and corporate participation do not automatically result in an additional formation charge.
Your application will be reviewed by an experienced member of the Coddan team before the incorporation application is submitted electronically to Companies House. We check the information provided for obvious omissions, inconsistencies and errors and can contact you if clarification or additional information is required.
Following incorporation, Coddan provides essential preparation and professional support for the applicable charity-registration process within the agreed scope. This can include preparation and review of relevant registration information and supporting documentation and professional support with the applicable charity-registration submission.
This package is intended for organisations that already understand their intended charitable purpose and structure and require a straightforward route combining company formation with essential charity-registration support. It does not include substantive legal advice on complex charity-law matters, complex constitutional restructuring, detailed specialist public-benefit analysis or matters outside the agreed registration-support scope.

Successful Companies House incorporation establishes the company as a separate legal corporate entity. The subsequent charity-registration process is separate and depends on the requirements of the applicable regulator.
For organisations seeking registration in England and Wales, the relevant charity-registration route is through the Charity Commission for England and Wales. The applicable route is different in Scotland and Northern Ireland. Charity registration is not automatic and remains subject to the requirements and decision of the relevant charity regulator.
As an Authorised Corporate Service Provider (ACSP) and Trust and Corporate Service Provider (TCSP), Coddan must comply with applicable identity-verification and customer due diligence requirements when providing company formation and related corporate services. The applicable verification requirements depend on the people involved in the proposed company and their circumstances.
Directors must complete the applicable Companies House identity-verification process and, where applicable, PSCs may also have identity-verification requirements. UK and overseas applicants can use the available verification routes where eligible.
Where Coddan carries out or supports the applicable verification process, you will receive instructions from our compliance team regarding the identification documents and information required. Depending on the verification route and your circumstances, this may include identity-document information and other verification information requested through the applicable secure process.
Completion of the required verification is an important part of the formation process. Delays in providing the required information or completing the applicable verification process may result in a delay to the incorporation service.
Identity verification and Companies House compliance requirements are separate from the charity regulator's assessment of the organisation. Completion of identity verification does not guarantee charity registration.
