This CIOReg Professional™ package is designed for founders, organisations, community groups and associations that have already decided to establish a Charitable Incorporated Organisation (CIO) in England and Wales and require more comprehensive professional assistance with the CIO establishment and registration process.

The package can accommodate a Foundation CIO or Association CIO, according to the structure you have selected, together with the applicable trustee and membership arrangements. You can provide your proposed CIO name, charitable purposes, trustees, members where applicable, governance arrangements and relevant organisational information as part of the establishment and registration-support process, within the agreed scope.

About the comprehensive CIO establishment and registration procedure

The information required will depend on the CIO structure selected and the circumstances of the organisation.

Your application will be reviewed by an experienced member of the Coddan team before the registration application is submitted. We manually review the proposed CIO structure and supporting information for obvious omissions, inconsistencies and errors and can contact you if clarification or additional information is required within the agreed registration-support scope.

Coddan provides comprehensive preparation and professional support for the Charity Commission registration process within the agreed scope. This can include preparation and review of relevant registration information and supporting documentation, administrative coordination and professional support throughout the registration process.

The service also includes professional support with the Charity Commission registration submission and related correspondence within the agreed scope. It does not include substantive legal advice on complex charity-law matters, complex constitutional restructuring, detailed specialist public-benefit analysis or matters outside the agreed registration-support scope.

When your CIO will be registered and what happens next

CIO registration timeframes are not guaranteed. The time required depends on the completeness and circumstances of the application and the Charity Commission's processing of the registration application.

We coordinate the completed registration application following our professional review and provide the relevant materials through the applicable submission process. The Charity Commission may request additional information or clarification before making its decision, and this can affect the overall processing period.

Successful registration with the Charity Commission establishes the organisation as a Charitable Incorporated Organisation. Unlike the Company Limited by Guarantee route, a CIO is not first incorporated as a separate company at Companies House before applying for charity registration.

For organisations seeking to establish a CIO in England and Wales, the relevant regulator is the Charity Commission for England and Wales. Scotland and Northern Ireland have different charity regulatory frameworks and routes. CIO registration is not automatic and remains subject to the requirements and independent decision of the Charity Commission.

Registration is the beginning of the CIO's operating lifecycle rather than the end of the process. Following registration, the CIO must continue to meet its applicable Charity Commission reporting, governance and record-keeping obligations.

About identity verification and compliance requirements

Depending on the verification route and your circumstances, this may include identity-document information and other verification information requested through the applicable secure process.

Completion of any required verification is an important part of the establishment process. Delays in providing the required information or completing the applicable verification process may result in a delay to the registration-support service.

Identity verification and customer due-diligence requirements are separate from the Charity Commission's assessment of the CIO. Completion of any required verification does not guarantee CIO registration.
