This CIC-LBG Governance Formation package is designed for organisations that know they want to establish a Community Interest Company limited by guarantee, but need greater professional consideration of the relationship between their directors, members or guarantors and the intended governance arrangements.
The package is suitable where you know who will be involved in the organisation but want Coddan to consider how those people are intended to participate, whether the directors and members or guarantors are the same people or whether there will be a wider membership, and how those relationships should be reflected in the appropriate CIC-LBG constitutional and governance framework.
The package includes the £115 Companies House CIC registration fee. Following successful incorporation, the core digital establishment and governance documents will be provided to you electronically, including:
1. A Certificate of Incorporation; We will prepare and implement your Community Interest Company limited by guarantee using the CIC-LBG constitutional framework appropriate to the organisation's intended membership and governance arrangements.
You can provide information about your proposed organisation, its community purpose and activities, the directors and members or guarantors and how you expect the organisation to operate through our online application process. Coddan considers these practical facts as part of the formation process rather than requiring you to determine the legal or technical treatment yourself.
The professional review considers the relationship between the proposed directors and members or guarantors, the intended membership arrangement and how members are expected to participate in decision-making. Where the directors and members are the same people, or where the organisation is intended to have a wider membership, the relevant circumstances are considered within the establishment process.
Coddan then selects and prepares the appropriate CIC-LBG constitutional framework and incorporates the agreed governance treatment into the formation and establishment material within the package scope.
Your application and the prepared formation material will be reviewed by an experienced member of the Coddan team before the incorporation application is submitted electronically. We can contact you if clarification or additional information is required to implement the proposed arrangements properly.
If you require assistance or general guidance with the information required for the CIC-LBG membership and governance formation process, we can arrange an initial consultation by email, telephone or video call.
If you require basic or general information regarding our online order forms, CIC incorporation procedures, fees or applicable company requirements, feel free to contact us on: +44 (0) 207 935 5171 or 0330 808 0089.
We prepare and submit your completed CIC-LBG incorporation application electronically following our professional review and consideration of the proposed membership and governance arrangements.
Coddan's preparation and submission process is distinct from the external consideration and registration process involving Companies House and the CIC Regulator. Completed registration timing therefore depends upon the applicable filing route, the application and external processing.
Speed is an implementation capability, not a substitute for correct preparation. Providing complete and accurate information and responding promptly to any request for clarification or required verification helps the formation process proceed efficiently.
As an Authorised Corporate Service Provider (ACSP), Coddan must comply with applicable identity-verification and customer due diligence requirements when providing company formation services. The applicable verification requirements depend on the people involved in the proposed CIC and their circumstances.
Directors must complete the applicable Companies House identity-verification process and, where applicable, persons with significant control (PSCs) may also have identity-verification requirements. UK and overseas participants can use available verification routes where eligible.
Where Coddan carries out the applicable verification process, you will receive instructions from our compliance team regarding the identification documents and information required. Depending on the verification route and your circumstances, this may include identity-document information and other verification information requested through the applicable secure process.
Completion of the required verification is an important part of the formation process. Delays in providing the required information or completing the applicable verification process may result in a delay to the incorporation service.
