The LLP Startup Records™” package is designed for customers who want their new LLP to begin with its opening records organised alongside the registration process. It provides a broader starting record than formation registration alone, bringing together the LLP’s initial membership information, opening decisions and compliance dates for practical use from the outset.

The package provides the following initial records and formation work:
1. LLP registration work for the accepted formation particulars;
2. Initial member record;
3. Initial designated-member record;
4. Membership certificates where appropriate;
5. First resolutions;
6. Opening compliance-date schedule.

About the LLP registration and initial records procedure

We will complete the accepted registration work for your proposed LLP and prepare the initial internal records around the factual starting position that you have approved.

The registration work covers the accepted LLP formation particulars, while the additional records bring together the opening member and designated-member position, applicable membership certificates, first resolutions and initial compliance dates.

You approve both the filing particulars and the factual starting record before Coddan completes the work. The resulting records evidence the accepted starting position of the LLP and are intended to provide an organised foundation for its initial administration.

When your LLP registration and initial records will be ready

Coddan will prepare the registration work and initial records once the required formation information and factual starting position have been accepted and approved.

The professional work covers the agreed registration and initial-record scope. The separate Companies House incorporation fee is applicable according to the filing route selected, and paper filing requires separately agreed Coddan work.

Companies House retains the incorporation decision. Its processing, requests for further information or other external actions may affect when the LLP is formally registered and when the completed registration record can be supplied.

About the information required for your LLP records

The initial records are prepared from the formation information and factual starting position approved for the LLP. This allows the opening member position, designated-member position, initial decisions and compliance dates to be recorded consistently with the accepted formation particulars.

The package assumes two straightforward UK individual members. Additional accepted UK individual members are charged separately at £35 + VAT each, while accepted UK body-corporate members are charged separately at £125 + VAT each.

The initial records evidence the LLP’s accepted starting position but do not replace a substantive LLP agreement, accounting or tax work, or separate legal, regulatory or operational documentation. They also do not themselves transfer assets, contracts or rights to the LLP.
