The “LLP Governance Essential™” package is designed for participants who have already settled how they want their new LLP to operate and want those arrangements formally organised from the outset. It combines the formation and opening-record work with preparation of the agreed internal governance framework within Coddan’s approved standard or adapted LLP agreement scope.
The package provides the following formation, records and governance work:
1. LLP formation and opening-record work within the agreed scope;
2. Review of the members’ settled governance instructions;
3. Preparation of the approved standard or adapted LLP agreement;
4. Preparation of the initial governance documents;
5. Recording of the agreed contributions and profit-share arrangements;
6. Recording of the agreed management, voting and authority arrangements;
7. One structured clarification round within the approved scope.
We will complete the formation and opening-record work for your proposed LLP and review the governance instructions that all members have settled and approved.
The agreed instructions are then used to prepare the LLP agreement and initial governance documents within Coddan’s approved standard or adapted agreement scope. This provides the LLP with a documented internal framework for the agreed working relationship between its members.
The governance arrangements must already be settled before the work begins. Each member must approve the instructions, and one structured clarification round is included for points that remain to be clarified within the approved scope.

Coddan will prepare the formation, opening records and governance documents once the required formation information and settled governance instructions have been received and approved.
The professional work covers the agreed formation, initial-record and governance scope. The separate Companies House incorporation fee is applicable according to the filing route selected, and paper filing requires separately agreed Coddan work.
Companies House retains the incorporation decision. Its processing, requests for further information or other external actions may affect when the LLP is formally registered and when the completed formation record can be supplied.
The governance documents are prepared from instructions that the members have already settled. These instructions should establish the intended contributions, profit shares, management arrangements, voting arrangements and authority positions before the governance work is undertaken.
The package assumes two straightforward UK individual members. Additional accepted UK individual members are charged separately at £35 + VAT each, while accepted UK body-corporate members are charged separately at £125 + VAT each.
The package does not include active negotiation, disputes, bespoke exit or investment terms, legal opinions or separate assignments, licences, transfers or professional advice. Where the members’ rights or instructions remain unresolved or fall outside the approved standard scope, the work requires a separate route.
