“AgreementPlus™” Completed/Adapted LLP Agreement Package Overview

The “AgreementPlus™” package is designed for members who have already agreed their contributions, profit shares, management arrangements, voting rights, authority and ordinary exit instructions and want those settled terms recorded in a completed or adapted LLP agreement within Coddan’s approved standard adaptation scope.

The package provides the following document preparation work:

1. Collection of the members’ settled instructions covering the agreed LLP arrangements.
2. Completeness check of the supplied instructions against Coddan’s approved standard clause set.
3. Identification of missing information or clarification points within the agreed scope.
4. One structured clarification round to address relevant questions and incomplete instructions.
5. Preparation of the completed or adapted LLP agreement reflecting the members’ accepted instructions.
6. Provision of the completed agreement for review and approval by all members.

About the AgreementPlus™ completed/adapted LLP agreement

Coddan will collect the members’ settled instructions and check them for completeness against the approved standard clause set before preparing the completed or adapted LLP agreement within the agreed scope.

The service is intended for members who have already agreed the relevant commercial arrangements, including contributions, profit shares, management, voting, authority and ordinary exit terms. One structured clarification round is included to address questions or missing information within the approved scope.

The professional outcome is a completed standard-scope LLP agreement reflecting the members’ accepted instructions. Every member must approve the instructions and final text. Coddan does not replace a solicitor’s advice on the legal effect or enforceability of the agreement.

When your completed/adapted LLP agreement will be prepared

Coddan will prepare the agreement once the members’ settled instructions and required supporting information have been supplied and are sufficiently complete for review against the approved standard clause set.

The professional fee is £225 + VAT. There is no Companies House filing fee for the agreement, and the service is a one-off document service with no automatic renewal.

The package includes one structured clarification round. Active negotiation, disputed rights, bespoke drafting and requests outside the approved standard adaptation scope are not included. Non-standard requirements must be considered separately before any additional work is undertaken.

About the information required for your completed/adapted LLP agreement

The service depends on the members providing complete and settled instructions covering the agreed contributions, profit shares, management arrangements, voting, authority and ordinary exit terms. All members must approve the instructions and the final agreement text.

Bespoke drafting, legal advice, complex tax or investment terms, negotiations, disputes, assignments, licences and other instruments remain separate services unless expressly accepted and quoted.
