“BespokeStruct™” Bespoke LLP Agreement/Review Package Overview

The “BespokeStruct™” package is intended for members whose governance, investment, control, exit, vesting, default or other requirements cannot be recorded accurately through Coddan’s approved standard LLP agreement clauses. The service establishes a defined bespoke-document route based on the members’ instructions, existing documents and the professional work required.

The package provides the following scoping and assessment work:

1. Collection and organisation of the members’ instructions and existing documents relevant to the proposed bespoke agreement or review.
2. Identification of governance, investment, control, exit, vesting, default or other requirements outside the approved standard agreement clauses.
3. Review of the supplied information to establish the proposed document requirements and outstanding questions.
4. Identification of drafting requirements, documentary gaps and dependencies requiring input from a solicitor, tax adviser or other appropriate professional.
5. Assessment of the work Coddan can accept within its document-service scope and identification of work requiring a separate professional.
6. Preparation of a written scope and quotation for accepted work or referral to a solicitor where appropriate.

About the BespokeStruct™ agreement and review service

Coddan will organise the supplied instructions and existing documents, identify the requirements that cannot be addressed accurately through the approved standard agreement clauses, and establish the appropriate route for the proposed bespoke agreement or review.

The service is intended for members whose requirements involve matters such as governance, investment, control, exit, vesting, default or other provisions that fall outside the standard adaptation scope. Coddan will identify relevant drafting requirements, information gaps and dependencies that may require solicitor, tax adviser or other professional input.

The professional outcome is a defined bespoke-document route with responsibility placed on the appropriate drafter or adviser. Depending on the accepted scope, Coddan will provide a written quotation for work it can undertake or refer the matter to a solicitor where the requested work requires legal drafting, advice or professional conclusions beyond Coddan’s document scope.

When your bespoke agreement or review work will proceed

Coddan will first review the supplied instructions and existing documents to identify the proposed work, relevant dependencies and the appropriate professional route. Any work Coddan accepts will proceed according to the scope and quotation agreed in writing.

Coddan’s professional fee starts at £450 + VAT where work is accepted. Solicitor and other professional fees are separate. The engagement is individually quoted and is a one-off service unless the written scope expressly states otherwise.

The package does not automatically include bespoke drafting, legal opinions, contentious negotiations, tax design, litigation, foreign-law work or separate commercial instruments. These matters remain outside the accepted scope unless the responsible professional expressly accepts them.

About the information required for your bespoke LLP agreement or review

The service depends on complete disclosure of the members’ instructions, existing agreements and other relevant documents. You must disclose any ongoing negotiations, disputes, external documents and other circumstances that may affect the proposed provisions or the work required.

Where requested provisions require legal or tax conclusions beyond Coddan’s document scope, you must obtain input from a solicitor, tax adviser or other appropriate professional. Legal opinions, contentious negotiations, tax design, litigation, foreign-law work and separate commercial instruments are excluded unless expressly accepted by the responsible professional.
