“Restoration Diagnostic™” Assessment Package Overview

The “Restoration Diagnostic™” package is a focused assessment service for a dissolved LLP where a former member, creditor or other interested participant needs the dissolution history, restoration eligibility, missing filings, property position and purpose of restoration reviewed before choosing the appropriate restoration route.

The package provides the following assessment work:

1. Review of the supplied dissolution history, register information, former LLP records and supporting evidence.
2. Assessment of the potential restoration route based on the dissolution circumstances, eligibility and stated purpose of restoration.
3. Review of missing filings, outstanding requirements and information gaps that may affect the proposed restoration.
4. Consideration of the disclosed property position and identification of potential property-related issues requiring further attention.
5. Assessment of whether administrative restoration or court restoration appears to be the applicable route, including whether a solicitor must lead the next stage.
6. Preparation of a written restoration route, dependency and cost recommendation identifying the appropriate next steps.

About the LLP restoration diagnostic

Coddan will examine the supplied register history, dissolution information, former LLP records and supporting evidence to assess the potential route for restoring the dissolved LLP.

The assessment is intended to distinguish administrative restoration from court restoration and identify missing filings, eligibility questions, property-related issues and other dependencies that may affect the next stage. The purpose for which restoration is sought will also be considered as part of the assessment. You remain responsible for providing the relevant dissolution facts, former LLP records and a clear explanation of the restoration purpose.

The professional outcome is a documented restoration route showing whether Coddan can coordinate the next step or a solicitor must lead it. The diagnostic recommends a potential route based on the information supplied; it does not itself restore the LLP or resolve Bona Vacantia issues, court proceedings or disputed rights.

When your LLP restoration diagnostic will be completed

Coddan will undertake the diagnostic assessment once the required dissolution facts, former LLP records, register history and supporting information have been supplied in a usable form for review. Any material information gaps may affect the assessment or the ability to recommend a suitable next route.

The fixed professional fee for the diagnostic is £195 + VAT. No restoration application fee is charged at this stage. The service is a one-off assessment with no automatic renewal.

The assessment identifies a potential restoration route and recommends the relevant next steps. Any subsequent administrative restoration, court proceedings, solicitor work, missing accounts, penalties, tax work, property recovery or other implementation work is separate and may incur additional fees. Companies House, the court, the Crown and professional advisers retain responsibility for their respective decisions.

About the information required for your LLP restoration diagnostic

The assessment depends on complete disclosure of the LLP’s dissolution circumstances, relevant register history, available former LLP records, supporting evidence and the purpose for which restoration is sought. You should also disclose any known missing filings, outstanding obligations, property interests or other matters that may affect the proposed restoration.

The diagnostic does not include the preparation or filing of a restoration application, missing accounts, penalty resolution, tax work, property recovery, court proceedings, solicitor services or resolution of disputed rights unless separately agreed and quoted. No restoration application fee is charged at the diagnostic stage; official fees and costs associated with any subsequent restoration route remain separate.

Where an administrative route appears available, the matter may proceed to the separate Administrative Restoration service. Where court restoration is required, the appropriate route is Court Restoration. The diagnostic does not guarantee eligibility or successful restoration.
