“Administrative Restoration™” Package Overview

The “Administrative Restoration™” package is intended for a dissolved LLP whose completed diagnostic confirms eligibility for administrative restoration and identifies the missing filings, consents and other prerequisites. The service provides coordinated restoration work through the confirmed statutory route, subject to an individually agreed written quotation.

The package provides the following services, subject to the approved scope:

1. Review of the completed Restoration Diagnostic™ and its findings concerning the proposed administrative restoration route.
2. Preparation of an individual written quotation defining the agreed scope of the administrative restoration work.
3. Coordination of the accepted Companies House administrative restoration application within the approved scope.
4. Identification and coordination of the missing filings, historic accounts, documents, consents and other prerequisites identified by the diagnostic.
5. Coordination of separately required accounts, supporting documents and Crown-related steps where expressly included in the agreed scope.
6. Identification of outstanding dependencies and coordination of the agreed restoration work through the confirmed statutory route.

About the LLP administrative restoration service

Coddan will coordinate the accepted Companies House administrative restoration work for a dissolved LLP where the completed diagnostic has confirmed that the administrative route may be available and the relevant prerequisites have been identified.

The service begins with the findings of the separate Restoration Diagnostic™. Coddan will issue a written quotation setting out the agreed professional scope and coordinate the accepted restoration work within that scope. Depending on the diagnostic findings and the agreed engagement, this may include coordinating outstanding filings, historic accounts, supporting documents, consents and relevant Crown-related steps.

The professional outcome is an eligible administrative-restoration application coordinated through the confirmed statutory route. You must provide the required historic records, satisfy the applicable eligibility conditions and pay all relevant official, penalty and professional charges. The service does not guarantee that the application will be accepted or that the LLP will be restored.

When your LLP administrative restoration work will be undertaken

Work will be undertaken after the Restoration Diagnostic™ has established that the administrative route may be available, the required information and historic records have been supplied, and the individual written quotation and scope have been accepted.

Coddan’s professional fee starts at £650 + VAT and is individually quoted. The £341 Companies House administrative-restoration fee, penalties, filing fees and third-party charges are separate. The engagement is a one-off service with no automatic renewal.

The timing and progress of the work depend on the completeness of the records, satisfaction of the statutory conditions, completion of required prerequisites and any outstanding dependencies. The diagnostic and administrative restoration service do not control the decisions of Companies House or any other relevant authority.

About the information required for your LLP administrative restoration

You must provide the LLP’s dissolution facts, historic records, relevant register information, required accounts, supporting documents, consents and other information identified by the diagnostic and agreed scope. You must also satisfy every applicable statutory eligibility condition and pay the relevant official, penalty and professional charges.

The £341 Companies House administrative-restoration fee is separate from Coddan’s professional fee. Penalties, filing fees and third-party charges are also separate. Accounts, tax returns, penalty resolution, Bona Vacantia property work, legal advice, court proceedings, solicitor work and other professional services are excluded unless expressly included in the written scope.

The administrative route must first be established through the separate Restoration Diagnostic™. If the LLP is not eligible for administrative restoration, the matter may require the separate Court Restoration route. Companies House and any other relevant authority determine whether the statutory conditions are met and whether the LLP is restored. Acceptance and successful restoration are not guaranteed.
