When your LLP will be ready

Registration of an LLP usually takes as little as four to six hours from the time that your application has been submitted to the Companies House.

We will file your application electronically with the Companies House, allowing the fastest possible registration, however companies registration' can sometimes takes slightly longer. About the money laundering regulations and registration of your company

To comply with current Money Laundering Regulations, we are required to identify the people who we provide service for and, therefore, ask for copies of the identification documents for the directors/shareholders and beneficial owners of all companies that we undertake to incorporate or companies that are transferred to our administration.

Explanation:About the registration with the HRMC

When your limited company is formed and registered at Companies House, Companies House tells HMRC that this has happened. This applies whether you start your business as a limited company or change from a sole trader or partnership to a limited company. It also applies whether or not your company is active or has started trading.

HMRC sends a newly formed company an introductory pack within six weeks of being told by Companies House that the new company exists. This pack contains corporation tax forms and explanatory notes for new companies. The pack usually sent to your company's registered office, which may or may not be the same address that you trade from.

You should complete and send a completed form (new company details) to your corporation tax office as soon as possible. If your company is dormant, you should complete a dormant form instead.

It is important to complete these forms as HMRC uses the information you provide to work out your corporation tax paying and filing deadlines. They will send you a form to confirm these deadlines, unless you have told HMRC that your company is dormant.

If your new company has not yet started trading you need to tell HMRC as soon as possible if your company has been set up but is not yet trading or engaging in any business activity. In other words, your company is dormant.

Penalties for not telling HMRC your company is liable for corporation tax
If your company or organisation has corporation tax to pay but you do not receive a 'Notice to deliver a Company Tax Return' from HMRC, you still must tell HMRC it is liable for corporation tax. If you do not, your company or organisation may be charged a penalty. HMRC calls this a 'failure to notify' penalty.

Where the obligation to tell HMRC that your company or organisation is liable for corporation tax takes place on or after 1 April 2010, the penalty is based on the amount of tax that is unpaid or that your company or organisation is liable for. This called the 'potential lost revenue' or 'PLR'.

Accounts can now be filed online using WebFiling. In addition to most of your other information you can now file unaudited abbreviated and dormant company accounts - these make up the majority of accounts filed at Companies House.

WebFiling offers free downloadable document templates. These contain inbuilt checks so that you can be sure you haven't omitted any key information and your balance sheet really does balance.

Registered office address, directors and secretaries' details can be amended via Companies House WebFiling. You may register your annual return online using WebFiling. To get access to the Companies House WebFiling service you will need to have your company key and to be registered with their system with your own e-mail address.

Deadlines
All LLPs, whether trading or not, must send their accounts and the auditor’s report on those accounts (unless exempt from audit), to Companies House by the filing deadline. If the designated members submit the LLP’s accounts late the law imposes an automatic penalty.

The period allowed for filing your LLP’s accounts depends on whether you are filing your first accounts since incorporation or subsequent accounts: -

First Accounts
If your first accounts cover a period of more than 12 months, they must be delivered to Companies House within 21 months of the date of incorporation or 3 months from the end of the accounting reference period which ever is longer. If the first accounts cover a period of 12 months or less, they must be delivered within 9 months from the end of the accounting reference period.

Subsequent Accounts
In subsequent years you have 9 months from the end of the accounting reference period to file the accounts. However if you change the accounting reference period the filing time may be reduced.

If you are a designated member of an LLP, you are personally responsible for ensuring you deliver the LLP accounts before the time allowed runs out. Delivery means actual receipt at Companies House in the correct format. If they are late, a penalty is automatically imposed.

How Much are Late Filing Penalties?
The level of the penalty depends on when the accounts reach Companies House and is shown in the following table: -

Not more than one month - £150.00
More than one month but not more than three months - £375.00
More than three months but not more than six months - £750.00
More than six months - £1,500

For example a set of acceptable accounts for the accounting period ending 30 September 09 would need to be delivered by 30 June 2010 to avoid a late filing penalty. If they were not delivered to Companies House until 15 July 2010, they would incur a late filing penalty of £150.00.

The penalties will be doubled for late filing in two successive financial years beginning on or after 1 October 2008.

This means if your LLP has an accounting reference date of 30 September and the accounts for the period ending 30 September 09 were delivered late, as in the example above, and you delivered accounts for the subsequent period ending 30 September 2010 late then you would incur a £300 late filing penalty.

Important Notice
With your company' online filing key, the following documents, will be also posted to you upon formation of your company: a hard bound copy of corporate documents includes: a laminated copy of the certificate of incorporation of your company, a hard bound copy of the memorandum and articles of association, a hard bound copy of the minutes of the first meeting of directors, share certificates, and your company register.

Mandatory Identity Verification is required for all UK Incorporations. This is in addition to any usual Anti-Money Laundering Regulations that we have to comply with.

Being an ACSP, Coddan is undertaking Identity Verification for Companies House, in line with their new mandatory identity verification requirements. Identity verification is required for all directors, shareholders, members of the partnership and persons with significant control.

For clients, we provide Company Formation services to, our fee for Identity Verification and submission of information to the Companies House is £30.00 per person. The fee covers our admin fee and software fee for running the checks.
