CODDAN CLG FORMATION

CLG ContinuityPro™ — formation, addresses and continuing support

Start an ordinary non-charitable England and Wales CLG with formation, Coddan’s EC3 registered office, the first appointed officer’s London service address and twelve months of named company-secretarial support. We prepare and submit the approved application, handle covered address correspondence and provide the continuing administration assistance listed below.

A personal manager with every formation order. Your contact helps by telephone and email during working hours; normal formation assistance does not require paid priority handling.

Help beyond the incorporation application

Every formation order includes normal personal-manager assistance. ContinuityPro also supplies a named company-secretarial contact for twelve months of practical corporate-administration assistance, relevant correspondence support, reminders and guidance when circumstances change.

A clear base-package price

£299.99 + VAT — £339.99 UK-resident base total payable. This includes the £100 official incorporation fee, £199.99 Coddan fee and £40.00 VAT. Non-UK-resident order forms do not add VAT. Checks and selected extras have separate charges.

Simple online ordering, with help

Give the proposed company details and service choices through the single-page order form. Your personal manager helps with questions, information, documents, approval and next steps during working hours. Online access is separate from human availability and official processing.

Choose support with a clear boundary

The package includes formation, the listed address services and named support. Future filings, accounts and tax work have separate instructions and charges. A formal company-secretary appointment requires company authority and an accepted instruction; a named contact does not automatically become the appointed secretary.

HMRC-supervised TCSP and registered ACSP

Coddan CPM Limited is supervised by HMRC for anti-money-laundering purposes and registered with Companies House as an ACSP. Customer checks and Companies House verification are separate. Check the published ACSP list.

A different combination? Talk to Coddan

Explain the organisation, people, address requirements and any prepared articles. Coddan confirms suitable work and charges before you proceed. A written service agreement, engagement letter or schedule is available for the accepted instruction. An initial enquiry creates no obligation to order; keep identity evidence and confidential codes out of the initial email.

Want a named contact after the company is registered? CLG ContinuityPro™ — £299.99 + VAT suits founders seeking formation, company and first-officer addresses, and 12 months of continuing secretarial support. Coddan prepares, reviews and submits your approved CLG application, with personal-manager help during formation and digital incorporation documents after registration. Continuing support adds practical corporate-administration assistance, relevant Companies House and HMRC correspondence support, reminders and guidance when circumstances change. The London EC3 office, first-officer London service address and covered-post scanning and portal uploads are included for 12 months. Explore formation help and continuing support.
UK-resident base total: £339.99. £100 Companies House fee + £199.99 Coddan service fee + £40.00 VAT on Coddan’s fee only. Non-UK-resident forms do not add VAT. Renewal components are £45 registered office, £15 per person standard service address and £100 secretarial support, each for 12 months; VAT follows the resident form. Extra individuals’ standard addresses cost £15 each for 12 months. A named contact is not automatically the formally appointed company secretary. Confirmation statements, accounts, tax returns, other filings, required checks, physical forwarding, printed or additional records and further drafting are separately instructed. See the separate checks service. Companies House decides registration. If ongoing help is unnecessary, compare ProtectPro. Discuss the support you need; a written service agreement is available.

A company formed, with a continuing contact to turn to

What does CLG ContinuityPro™ include?

CLG ContinuityPro™ combines professional formation of an ordinary non-charitable company limited by guarantee in England and Wales with Coddan’s London EC3 registered office, the first appointed officer’s London service address and twelve months of the listed named company-secretarial support. It suits founders who want company and individual correspondence arrangements together with a continuing contact for practical administration questions. Coddan clarifies the instructions, prepares suitable documents, reviews the application and handles the submission you approve. Later filings, accounts and tax work are separately instructed; buying the package does not itself appoint Coddan as company secretary.

Illustration: A new membership body has a small committee sharing administrative work. It wants Coddan to form the company, provide its company and first-officer address arrangements and supply a named contact for questions, relevant correspondence, reminders and changes. The committee still approves decisions and separately instructs any filing, accounts or tax work.

This package adds the listed twelve-month support service to formation and address provision. It is not an automatic annual-filings, accounts or tax bundle, and directors retain their company responsibilities.

CLG ContinuityPro™: the essentials

The service: Start an ordinary non-charitable England and Wales CLG with formation, Coddan’s EC3 registered office, the first appointed officer’s London service address and twelve months of named company-secretarial support. We prepare and submit the approved application, handle covered address correspondence and provide the continuing administration assistance listed below.

Have ready: proposed name, purposes, directors, initial guarantor-members, guarantees, relevant control information and remaining addresses. Identify the organiser, who can approve and the contact arrangements. A CLG has guarantor-members rather than shareholders; ordinary incorporation does not itself create charitable status.

Coddan’s work: clarify details, prepare suitable articles and the prescribed memorandum, review the application, obtain the necessary approval and submit the agreed application electronically. Digital copies of the certificate, memorandum and articles follow successful registration.

Base price: £299.99 + VAT; recorded UK-resident base example £339.99. Checks and selected extras are separate. UK-resident forms add VAT on Coddan’s fee; non-UK-resident forms do not add VAT.

Completion and continuing services: Companies House registers the company. Keep the incorporation documents, use the agreed address and correspondence arrangements and act on relevant company information. Address and support service periods are twelve months; the company and its documents do not expire with an address-service period.

What CLG ContinuityPro™ includes

Prepare your organisation for formation

Coddan prepares and reviews the incorporation information from the proposed name, purposes, people, guarantees and relevant control details you supply. An initial consultation by email, telephone or video is available, with working-hours personal-manager assistance.

Suitable company articles

Suitable articles and the prescribed memorandum are prepared for approval. You can supply purposes for suitable Coddan articles or discuss prepared documents and particular arrangements. Further drafting is separately agreed.

Arrange the addresses and applicable checks

London EC3 registered office plus the first appointed officer’s London service address, with covered company and individual correspondence scanned free and uploaded to your Dedicated Manager Portal. Included address services last twelve months. Guidance on Companies House verification is included; the separately charged per-person checks service is explained below. Initial minutes, membership certificates and prepared registers are not automatically included.

Fast incorporation through Coddan

In our experience over twenty years, Companies House usually issues the incorporation certificate within a few hours of our submission of a ready ordinary electronic application. Preparation, required checks and approval come first; see the process below.

Clear costs for the selected work

The base headline is £299.99 + VAT, including the £100 official fee. The UK-resident base example is £339.99. Review the itemised price, service periods, renewals and separate charges below before selecting additional work.

Digital documents after registration

Receive digital copies of the Certificate of Incorporation, memorandum and articles. Keep accessible copies for the company’s records and later administration. Printed sets and authentication are separately selected or agreed.

Only services listed in the selected package’s “What’s included” schedule are included. Availability of a related service does not make it part of this package. Coddan prepares and reviews the accepted work; the organiser supplies accurate information, obtains participant decisions and coordinates the necessary approval.

ContinuityPro also includes twelve months of named company-secretarial support: practical corporate-administration assistance, relevant Companies House and HMRC correspondence support, reminders and guidance when circumstances change. The dedicated support section below explains this service and its boundary.

Your base price, service periods and renewal charges

£299.99 + VAT — £339.99 UK-resident base total payable

£100 Companies House statutory incorporation fee + £199.99 Coddan service fee + £40.00 VAT on Coddan’s fee. In this arrangement VAT is not calculated on the £100 official fee. Non-UK-resident order forms do not add VAT.

What does the base price cover, and what renews?

The base package covers the stated formation work, included company and first-officer address services and twelve months of listed named support. Read the initial fee and VAT breakdown above and the separate renewal components below. Required checks, extra individuals’ addresses and selected additional work can change the order total; additional work and charges are agreed before that work proceeds. Renewal prices apply to the relevant services and people, rather than a new incorporation. A stated renewal charge does not establish automatic renewal or a formal secretary appointment, and the company and its incorporation documents do not expire with a service period.

Review the selected-order charges before payment.

Registered-office renewal

£45 for twelve months.

Director service-address renewal

£15 per person for twelve months.

Secretary-service renewal

£100 for twelve months for the listed service.

These are the confirmed Package 4 renewal components. UK-resident order forms add VAT; non-UK-resident order forms do not add VAT. The per-person address charge depends on the people whose service is required. A renewal price does not establish an automatic renewal or a formal secretary appointment.

Address and continuing-support fees cover twelve months. Coddan’s stated fee policy is non-refundable, subject to applicable statutory rights. Clients may change an address at any time; contact Coddan about the details and any work you want us to undertake. A written agreement or schedule identifying accepted work, periods and charges is available.

Paid per-person checks, physical forwarding, printed or authenticated documents, further drafting, same-day incorporation and paid priority handling are separate. Future filings, accounts, tax work, membership certificates, minutes and prepared registers are not automatically included.

Use the existing form for company details and selected services. The headline and UK-resident example above describe the base package; extra work changes the selected-order charges.

Company office and individual address: know the coverage

Which company and individual addresses are included?

ContinuityPro includes a London EC3 registered office for the company and a London service address for its first appointed officer, with twelve-month address-service periods. The registered office serves the company; an individual service address serves the named person’s correspondence needs. Covered company and included individual correspondence is scanned free and uploaded to the Dedicated Manager Portal under the respective address services. Further individuals’ addresses, alternative locations, physical forwarding and wider mail handling have their own arrangements. Address services do not make people anonymous or replace residential information that must be supplied.

The registered office is the company’s official address. Companies House explains the registered-office requirements and confirms that this address is public.

The first appointed officer’s London service address is included for twelve months. Checkout prevents that appointee adding the included option again with the correct address-inclusive package. Other individuals needing the standard service address are charged £15 per person for twelve months. UK-resident forms add VAT; non-UK-resident forms do not add VAT.

Identify the individuals who require address services rather than counting appointments as addresses. The company address and the individual correspondence address do different jobs. A service address is separate from home, but it does not make the officer anonymous or replace the other information the individual must supply. Read the official explanation of personal information on the register.

Covered correspondence is professionally handled, scanned free and uploaded to your Dedicated Manager Portal under the selected address service. Access and notification arrangements follow that service. Physical forwarding and wider mail handling are separately arranged; the service is not an unrestricted forwarding or general business-mail bundle.

If you choose another registered office in England and Wales, the director service address remains at Coddan’s official London office address; it does not automatically move with the company’s registered office. Alternative director service addresses cost £45–£90 per year depending on location and are arranged with Coddan in advance. These location choices are handled through an enquiry rather than extra online-form selectors.

For another registered-office location, ask Coddan to confirm the location, accepted correspondence coverage, charges and renewal arrangements before choosing it. Tell your manager which company and individual addresses you want; the two address choices should be considered separately.

What the twelve-month continuing support does

A named contact for administration

Ask about routine corporate administration, relevant Companies House and HMRC correspondence, reminders and changes in company information or circumstances. Explain the company’s actual question or correspondence so the contact can help with the listed service.

A separate instruction for actual filings

A question, reminder or discussion does not itself prepare or submit every return or change. Confirmation statements, accounts, tax work and individual filings are separately instructed and priced. Formal secretary appointment requires company authority and an accepted instruction.

Named company-secretarial support

Named company-secretarial support means access to an identified contact for the practical administration assistance listed in the accepted service. Under ContinuityPro, this includes relevant Companies House and HMRC correspondence support, reminders and guidance when company information or circumstances change, for twelve months. It adds continuing assistance after incorporation to the normal formation help available with every package. It does not include unlimited work, an automatic compliance programme or a prepaid allowance of filings, accounts or tax returns.

If a letter or proposed change needs additional professional work, describe it to the named contact. Coddan establishes the accepted task, asks for the relevant information and approval and agrees any separate charges before proceeding. Correspondence support is not a tax-advice or tax-return preparation service.

Formal company-secretary appointment

A formal company-secretary appointment is an appointment to the company’s secretary role, distinct from an arrangement for a named administration-support contact. With Coddan, an appointment requires company authority and an accepted instruction; the package name, named contact or price alone does not make that appointment. Directors retain responsibility for the company’s decisions and obligations. A written service agreement or schedule is available to identify the accepted work and arrangements.

For example, an organiser can ask about a change in officers or a Companies House letter; any required filing is then considered as its own instruction. This separates useful continuing help from an assumption that every resulting piece of work is prepaid.

Prepare the organisation and suitable formation documents

Explain what the organisation will do, who its legal members will be, who will direct it and how decisions should be made. Supply the proposed name, guarantees, addresses, relevant control information and any existing rules. Founders retain their decisions; Coddan helps turn the agreed information into suitable formation documents.

Quality preparation for your organisation

Coddan considers the purposes, membership, voting and appointment arrangements when preparing suitable articles and the incorporation information. Describe the intended organisation in ordinary language; your manager helps clarify outstanding points before approval.

Quality review, documents and completion

Our team reviews the application for apparent omissions and inconsistencies, asks for clarification and obtains the necessary approval before submission. The digital certificate, memorandum and articles give the new company an accessible incorporation record; your manager helps with the accepted formation’s next steps.

Use suitable established Coddan articles, provide purposes for inclusion in a suitable version, bring adviser-prepared articles or discuss particular membership and governance requirements. Further customisation or drafting is separately agreed. Tell Coddan about prepared articles so the handling, accepted work and charges can be confirmed before proceeding.

The online form accommodates up to five directors and five guarantor-members without an additional appointment charge in the recorded service. Individual or corporate guarantor-members can be considered where applicable. Mention other arrangements before ordering; form capacity is not a promise that every structure or instruction is eligible.

For fuller organisational instructions, see the detailed formation-instructions route on the main CLG entrance. Suitable straightforward instructions can still start online. Incorporation does not itself transfer an existing association’s activities, contracts, funds or assets.

From your instructions to documents and address services

  1. Your organiser gives instructions. Identify the customer, payer and person authorised to coordinate details and approve the work. Supply company purposes and accurate participant information; individuals complete their own required personal checks.

  2. Agree the company and address arrangements. Confirm the EC3 company office, identify the first appointed officer for the included London service address and tell Coddan about other people needing addresses. Identify the continuing-support contact arrangements and accepted scope.

  3. Coddan prepares and reviews. We clarify gaps, prepare suitable articles and memorandum, review the application and obtain the necessary approval. Required checks and outstanding approvals are completed before submission.

  4. Coddan submits the ready application. Our team handles the agreed electronic submission through Companies House-integrated software. Companies House decides whether to register the company and may ask a question before doing so.

  5. Receive documents and use the agreed services. After registration, retain the included digital certificate, memorandum and articles. Use the agreed covered-correspondence and portal arrangements, and establish the company’s initial administration. Your named secretarial support is available within its listed twelve-month scope.

Allow time to gather information, prepare suitable documents, complete required checks and approve the application. These stages are separate from the few-hours-after-submission experience described above. An incomplete order or outstanding check is not a ready incorporation application.

Need a particular date? Tell Coddan before ordering so readiness and the available service can be discussed. Same-day incorporation and paid priority handling are separate selected options with their scope and itemised charge confirmed before proceeding; standard incorporation is included.

Electronic formation and covered correspondence, with human help

Professionally prepared electronic incorporation

Give the company details and approve the agreed work. Coddan prepares, reviews and submits electronically; completing an online order is not itself Companies House registration.

Electronic documents after registration

Digital copies of the certificate, memorandum and articles follow successful incorporation. Retain accessible copies for the company; printed or authenticated sets follow separate instructions.

Covered scanned correspondence

Covered company and included individual correspondence is scanned free and uploaded to your Dedicated Manager Portal under the selected address service. Physical forwarding is separately arranged.

Online information and personal-manager help

The single-page form brings company details and service choices together. Working-hours human assistance supports questions, documents and approval; online access does not mean staff or official processing are available at all times.

Convenient access, with clear next steps

Use the agreed portal and contact arrangements to access supplied material and discuss questions. The named continuing-support service adds the listed administration help for twelve months; extra work has its own instruction.

Companies House verification and Coddan customer checks

The separate checks service costs £30 per person. If the individual already has a Companies House Personal Code, this covers KYC. If they do not have a Personal Code, the same £30 covers both KYC and Companies House identity verification, including Coddan’s associated confirmation submission. The processes remain distinct; there is no second £30 charge for the combined checks. UK-resident order forms add VAT; non-UK-resident order forms do not add VAT.

Companies House identity verification and AML customer checks

Companies House identity verification establishes an individual’s identity for Companies House purposes; Coddan’s AML customer checks are a separate process for accepting the instruction. Tell Coddan about accepted verification already completed and any existing Personal Code so the required work can be identified. The free official verification route remains available and does not replace Coddan’s AML checks. For Coddan’s supported Companies House service, the individual completes the requested Credas checks; Coddan reviews the evidence, seeks clarification where needed and submits ACSP confirmation when satisfied. Companies House issues the Personal Code, and applicable director and PSC submissions remain separate tasks. Membership alone does not mean every guarantor requires Companies House verification. The per-person charging arrangement is explained above.

official verification route is free

The organiser, payer and individual undergoing checks may be different people. Paying or coordinating does not authorise someone to complete another person’s checks or receive their confidential information. Identity evidence and confidential codes follow the appropriate agreed process, not an initial enquiry email.

Documents, company records and later work

Which documents and later tasks are included?

After successful incorporation, ContinuityPro supplies digital copies of the Certificate of Incorporation, memorandum and articles. Keep accessible incorporation documents and establish the company’s member, decision and accounting records. Included address handling and named support do not themselves prepare or submit every later filing. Printed or authenticated documents, initial minutes, membership certificates, prepared registers, confirmation statements, accounts and tax work are separately selected or agreed. Directors retain responsibility for company decisions and obligations; Coddan obtains the information and approvals needed for the work it accepts.

Confirmation-statement preparation and filing

When separately instructed, Coddan reviews the relevant company information with you, prepares the statement, obtains the required approval and handles agreed submission. Some changes require separate filings. This work is not automatically included in CLG ContinuityPro™.

Annual accounts preparation and filing

Supply financial records for the accepted accounts service. Coddan can prepare suitable dormant or active accounts within the agreed scope, or handle an agreed filing of accounts prepared by your accountant, with the necessary directors’ approval. Accounts, tax work and filing have separate charges.

Discuss the company-secretarial and annual services your CLG needs. You can arrange suitable work as the company’s needs arise, without buying every continuing service at formation.

If Companies House raises a question or supplied information needs correction, contact your manager to establish the application’s status and the next step. Any additional drafting or corrective work is agreed for the actual requirement. If an address changes, contact Coddan about the details and any work you want undertaken.

Choose the combination that fits your organisation

CLG ProtectPro™

CLG ProtectPro™ — You need the company and first-officer address services but do not require the named continuing-support service.

CLG AddressPro™

CLG AddressPro™ — You need the company office and post service, with individual addresses separately arranged.

CLGEssential™

CLGEssential™ — You already have a suitable company registered office and need ordinary formation without these ongoing services.

Compare all four CLG packages. The incorporation work is the same underlying professional formation service. A larger package supplies additional address or support services; it does not create a more compliant company or automatically include bespoke drafting.

If the organisation needs charitable status, a different jurisdiction or particular governance arrangements, discuss the organisation and its options before an ordinary formation order. An existing CLG should request its actual outstanding task rather than purchase another incorporation.

You can also use the official incorporation route directly where eligible. The official online CLG route accepts individual guarantors and applications not seeking exemption from “Limited”, with supporting articles upload. You prepare and submit the application yourself; this package purchases Coddan’s work and its stated address/support services.

CLG ContinuityPro™: questions before ordering

What does the named support add?

It adds twelve months of practical corporate-administration assistance, relevant Companies House and HMRC correspondence support, reminders and guidance when circumstances change, beyond the normal formation assistance available with every package.

Does Coddan automatically become the appointed secretary?

No. Formal company-secretary appointment requires company authority and an accepted instruction. The named contact and price alone do not make that appointment.

Are confirmation statements and accounts prepaid?

No. Future filings, accounts and tax work are separately instructed and priced. An included reminder or discussion does not itself prepare, approve or submit the resulting filing.

What are the Package 4 renewal charges?

The confirmed components are £45 for the registered office, £15 per person for the director service address and £100 for the secretary service, each for twelve months. UK-resident forms add VAT; non-UK-resident forms do not add VAT.

Do all committee members get an address?

The first appointed officer’s London service address is included. Other individuals requiring the standard service address are charged £15 per person for twelve months, with VAT according to the resident order form. Committee size is not an address allowance.

Can support replace the directors’ decisions?

No. Directors retain responsibility for the company’s decisions and obligations. Coddan provides the accepted listed assistance, asks for relevant information and approvals and agrees separate work where needed.
