Essential LLP Formation is a focused incorporation service for two straightforward UK individual members who have already agreed the proposed business, member roles, ownership and control arrangements. It is intended for customers whose LLP structure is settled and who require professional assistance with preparing and submitting the standard electronic incorporation application to Companies House.
The package provides the core professional work required to prepare and submit the LLP incorporation application, including:
1. Review of the proposed LLP name and the formation information supplied.
2. Review of the filing particulars for two straightforward UK individual members.
3. Preparation of the electronic LLP incorporation application.
4. Human checking of the prepared application before submission.
5. Submission of the authorised electronic incorporation application to Companies House.
6. Supply of the digital Certificate of Incorporation following Companies House acceptance.
The stated package price includes the £100 Companies House digital incorporation fee. VAT is charged separately. One additional straightforward UK individual member may be considered for the approved £35 + VAT supplement, subject to acceptance.
Coddan prepares the electronic incorporation application using the formation information supplied for your proposed LLP. The service is based on a structure that has already been settled, including the proposed business, member roles, ownership and control arrangements.
Before submission, Coddan checks the prepared application. The Participants must provide accurate information and supporting evidence, complete the applicable identity and Know Your Customer (KYC) checks, approve the filing particulars and authorise submission.
Following submission, Companies House independently considers the application. If the filing is accepted, Coddan supplies the digital Certificate of Incorporation. The package is limited to forming the LLP itself; it does not determine whether an LLP is the appropriate legal structure or organise the business after incorporation.
Coddan undertakes the professional preparation, pre-submission checking and submission stages once the required formation information has been provided, the applicable checks have been completed and the Participants have approved and authorised the application.
The package price is £122 + VAT, including the £100 Companies House digital incorporation fee. VAT is shown separately. Any additional-member supplement, identity-verification charges, address services or other separately requested services are not included in this price unless expressly agreed.
Companies House controls the acceptance and processing of the incorporation application. Processing times, requests for further information and other external actions are outside Coddan’s control. Submission does not guarantee that the application will be accepted or that incorporation will be completed by a particular date.
The Participants must complete the identity-verification and Know Your Customer (KYC) checks applicable to their circumstances and the proposed formation. The required information and identity evidence must be provided to support the applicable checks before the relevant filing requirements can be completed.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. Identity-verification charges are separate from the Essential LLP Formation package price. Please review the LLP identity-verification requirements before proceeding.
This package is intended for two straightforward UK individual members. Overseas participants, corporate members or arrangements involving layered ownership require the international LLP formation route.
The package does not include a registered office or member service address, an LLP agreement, asset or contract transfers, banking arrangements, tax registration, accounts or separate legal, tax, accounting or other professional advice. These requirements must be considered and arranged separately where applicable.
