International Readiness™

1
package

Buy Now Cross-border formation starts with evidence, not assumptions.
International Readiness — £125 + VAT. Recommended for non-UK individuals, overseas corporate participants or ownership chains that need to be tested before an LLP formation instruction can be accepted. Coddan organises the participant, ownership, identity, address, purpose, source and documentary facts, identifies missing evidence and records whether the proposed formation can proceed, needs conditions or requires a different professional route. The professional outcome is a written readiness outcome that identifies the next acceptable formation step. You must disclose the complete ownership and control chain, supply usable evidence and answer any CDD, EDD or sanctions questions; the assessment is not a tax, foreign-law or banking opinion.

The fixed £125 + VAT is Coddan’s professional fee; no Companies House formation fee is charged at this assessment stage. This is a one-off assessment. Where the case is accepted and the frozen conditions are met, the £125 professional fee may be credited against an accepted formation instruction placed within 30 days. Translation, certification, legalisation, identity verification, professional advice and third-party checks remain separate unless expressly quoted. If the evidence is already accepted, compare International LLP Formation. Review the ordinary UK route at UK LLP formation. Coddan decides whether the instruction fits its formation scope; regulators, verification providers and third parties retain their own decisions.

Buy Now Your international facts are clear. Now form the LLP.
International LLP Formation — £295 + VAT. Recommended for an overseas-participant case that has passed Coddan’s readiness, ownership, identity, evidence and risk checks and can proceed through the accepted formation route. Coddan completes the accepted international formation review, prepares the incorporation particulars, coordinates the required participant evidence and submits the LLP filing through the approved route. The professional outcome is an incorporated LLP with its accepted international evidence route recorded. Every participant must complete the required identity and KYC steps, approve the filing particulars and satisfy all conditions imposed during readiness review; acceptance is not automatic.

The fixed £295 + VAT is Coddan’s professional fee. The Companies House fee is separate at £100 for standard software incorporation or £156 where same-day filing is available and accepted. This is a one-off formation service with no automatic renewal. Foreign-law opinions, tax residence, banking, translations, certification, apostille, legalisation and complex corporate-chain work remain separate. Need the evidence position checked first? Compare International Readiness. More complex cases use Complex International LLP. Formation scope is explained on the UK LLP formation page. Companies House—not Coddan—decides whether the incorporation is accepted.

Complex International™

Buy Now More countries, more entities, more moving parts—one scoped route.
Complex International LLP — from £495 + VAT. Recommended for an international LLP proposal involving layered ownership, several jurisdictions, foreign corporate participants, enhanced evidence or other facts that fall outside the fixed international formation scope. Coddan maps the participants, jurisdictions, control chain and documentary dependencies, identifies required professional inputs and issues a written scope and quotation for the formation work it can accept. The professional outcome is a controlled formation plan with accepted responsibilities, conditions and separately owned dependencies. You must provide the complete group and ownership evidence and obtain any required foreign-law, tax, regulatory or documentary clearance before Coddan proceeds.

Coddan’s professional fee starts at £495 + VAT and is confirmed in writing after assessment. The £100 incorporation fee and all third-party charges are separate. The service is individually scoped; it creates no automatic renewal or open-ended commitment. Advice, translations, certification, notarisation, apostille, legalisation, enhanced verification, banking and professional work are excluded unless expressly accepted and quoted. A less complex accepted case may use International LLP Formation. Unsettled cases begin with International Readiness. No quotation or professional clearance guarantees Companies House, bank, regulator or third-party acceptance.

International LLP formation and acceptance

Form a UK LLP with Non-UK or International Members

Establish the evidence, ownership and acceptance route before Coddan prepares the UK LLP incorporation filing.

A non-UK address or overseas member does not create a different type of LLP. It can, however, change the identity, corporate-authority, beneficial-ownership, sanctions, documentary and professional checks required before Coddan can accept an instruction.

Readiness assessment: £125 + VAT. Accepted formation: £295 + VAT for up to two straightforward overseas individual members, or from £495 + VAT for a corporate or complex international case. The applicable Companies House fee and any verification, address, registry, certification, translation or professional costs are separate.

Use International and non-UK LLP formation when an international fact changes the formation work

This page covers the additional acceptance and documentary work created by a non-UK individual, an overseas body corporate, a foreign ownership chain or another international risk or evidence fact. The ordinary LLP foundation—name, jurisdiction, registered office, members, designated status, PSC position and incorporation particulars—remains the job of the UK LLP formation page.

Use the international route

  • one or more proposed members live outside the UK;
  • a proposed member is an overseas body corporate;
  • ownership or control passes through foreign entities or several layers;
  • foreign documents need authentication or translation assessment; or
  • the facts require enhanced due diligence or professional clearance.

Use the ordinary UK LLP formation route

Use UK LLP formation where the proposed LLP has up to two straightforward UK individual members, a transparent ownership and control position, and no material international evidence or enhanced-due-diligence issue.

Review ordinary UK LLP formation and organisation

Acceptance before incorporation

The readiness assessment gives the proposed route a clear decision

International formation should not begin with an assumption that every participant, document or ownership chain can be accepted. Coddan first examines the supplied facts sufficiently to decide what can happen next.

Accepted route

Coddan identifies the accepted service scope, formation price, known separate costs and the information required before submission.

Missing-evidence route

Coddan identifies the material missing evidence or clarification and, where possible, the documentary or professional route needed to continue.

Referral or refusal

Coddan may refer a question to an appropriate professional, decline the proposed scope or refuse the application where the acceptance requirements are not met.

The £125 + VAT assessment is credited against an accepted International and non-UK LLP formation formation instruction completed within 30 days. It is payment for the readiness decision and is not a promise that Coddan, Companies House, a bank or another professional will accept the case.

Evidence follows the participant, ownership chain and risk

There is no single international checklist that fits every case. Coddan asks for evidence proportionate to the proposed members, beneficial owners, activities, jurisdictions, authority arrangements and documentary reliability.

International LLP evidence matrix
you or fact Evidence that may be required Why it matters Service boundary
Non-UK individual member Accepted passport or identity evidence, residential-address evidence, liveness evidence, Companies House personal code where currently required, occupation and business-purpose information. Identity, address, role, purpose and filing particulars must be established. The formation price does not include the separate identity-verification service unless expressly stated.
Overseas corporate member Recent registry extract, constitutional documents, registered-office and registration particulars, directors or officers, incumbency evidence, signing authority and authorised representative details. Coddan must establish the entity’s existence, relevant particulars, authority and those acting for it. Registry fees, certification, translation and external professional work are separate.
Ownership and control chain Ownership chart, intermediate-entity evidence, beneficial-owner information, voting or control rights and the instructed PSC analysis. The legal and beneficial ownership must be sufficiently transparent for acceptance and the LLP’s registrable PSC position. Disputed, opaque or legally uncertain control may require a solicitor or other specialist.
Purpose and expected activity Business rationale, intended activities, expected counterparties, relevant jurisdictions and anticipated use of the LLP. The proposal must be lawful, understandable and within Coddan’s documented risk appetite. Regulated, restricted or unclear activity may require evidence, professional clearance or refusal.
Risk-dependent source evidence Source-of-funds or source-of-wealth information, supporting financial records or transaction evidence where the assessed risk requires it. Enhanced due diligence may be required to understand the origin of funds or wealth and the proposed relationship. This evidence is not demanded identically from every overseas applicant.
Foreign-language or foreign-issued document A suitable translation and, only where required for the particular use, certification, notarisation, apostille or further legalisation. Coddan must be able to understand and rely on the evidence used for the accepted route. Not every foreign document needs every stage. The required route depends on the issuing country, document and intended recipient.

Coddan may request further or refreshed evidence where the supplied material is incomplete, inconsistent, expired, difficult to authenticate or insufficient for the assessed risk.

International acceptance is risk based—not nationality based

Coddan applies UK sanctions requirements, customer due diligence, enhanced due diligence where required, documentary-authenticity controls and its documented risk appetite. A politically exposed person, higher-risk jurisdiction or unusual ownership feature is assessed according to the applicable obligations and facts; it is not converted into a generic promise of acceptance or an automatic public refusal list.

Screening and risk understanding

  • participant, beneficial-owner and control information;
  • sanctions and politically exposed person screening;
  • jurisdictions, activities, counterparties and purpose;
  • document reliability and authority; and
  • source evidence where the risk requires it.

When Coddan may pause, refer or refuse

  • a participant or beneficial owner cannot be satisfactorily identified;
  • ownership, control, purpose or source information is withheld or materially inconsistent;
  • documents cannot be satisfactorily authenticated;
  • the proposal is prohibited or outside Coddan’s risk appetite;
  • a false address, false statement or concealment request is identified; or
  • required professional clearance is not obtained.

Identity verification is a dependency with its own specialist route

Companies House treats individual LLP members as director-equivalent roles for identity-verification purposes. PSCs have their own verification and personal-code obligations, with timing depending on the role and when it began. Companies House currently lists verification for corporate LLP members as a later implementation stage.

What International and non-UK LLP formation establishes

International and non-UK LLP formation identifies the people, roles and codes relevant to an accepted formation instruction and whether a separate verification route must be completed before the intended filing can proceed.

What the identity-verification owner handles

The detailed evidence, liveness, review, ACSP submission, personal-code and failure-resolution process belongs to Coddan’s specialist LLP identity-verification ecosystem.

Review LLP identity verification through Coddan

Foreign documents take the shortest appropriate evidential route

An overseas registry extract or authority document may be usable as issued, may need a certified translation, or may need certification, notarisation, an apostille or further legalisation for a particular recipient. The route is determined by the document, issuing jurisdiction, intended use and recipient—not by adding every documentary stage to every case.

1. Identify

Establish the document, issuer, language, date and purpose.

2. Test

Check what Coddan and any recipient need in order to understand and rely on it.

3. Route

Use only the translation, certification, notarial or legalisation stages actually required.

4. Disclose

Confirm the known third-party and coordination costs before the additional work is commissioned.

International and non-UK LLP formation identifies the documentary dependency. The specialist document-certification, translation, notarisation, apostille and legalisation ecosystem covers the detailed service and execution route.

Three routes from readiness to accepted formation

The assessment establishes whether Coddan can accept the proposed work and which formation route applies. International evidence, verification and third-party work remain visible rather than being concealed inside a formation headline.

Required first stage

International LLP Readiness Assessment

How the complete cost is constructed

Coddan separates the professional fee, VAT, government fee and circumstance-dependent work so that an international applicant can see what is fixed and what remains dependent on evidence.

The readiness assessment is charged once. Coddan will not charge the same accepted complexity fact twice merely because it affects more than one internal check. If new facts materially change the scope, Coddan identifies the additional work before proceeding.

Complexity is priced once, at the point it changes the work

These approved modifiers guide the quotation. They are not an automatic menu to be stacked without regard to the work already included in a quoted corporate or complex formation fee.

From international facts to an accepted filing instruction

Each stage has a defined decision. Coddan does not submit first and attempt to resolve identity, ownership, authority or documentary questions afterwards.

  1. Stage 1

    Describe the proposed LLP

    Provide the members, jurisdictions, ownership chain, intended activity, designated-member plan and initial PSC position.

  2. Stage 2

    Receive the evidence route

    Coddan identifies the participant, corporate, ownership, source and documentary evidence needed for the proposed case.

  3. Stage 3

    Complete readiness review

    Coddan applies the relevant acceptance, sanctions, CDD, EDD, authority and document controls and records the next decision.

  4. Stage 4

    Accept, clarify, refer or refuse

    The outcome defines whether formation can proceed, what remains missing, what needs professional clearance or why Coddan cannot act.

  5. Stage 5

    Confirm scope and costs

    For an accepted file, Coddan confirms the formation route, official fee, separate verification or address work and known third-party dependencies.

  6. Stage 6

    Prepare and submit

    After accepted information, evidence, authority, payment and required verification are complete, Coddan prepares and submits the instructed filing.

Coddan confirms an expected working window case by case after acceptance. Companies House, foreign registries, professional advisers and document authorities retain control of their own processing and decisions.

Convenience proved by the route

A clearer international route before formation money is committed

The usual administrative friction is uncertainty: which overseas documents matter, who must be identified, whether an ownership chain is acceptable and which costs sit outside the incorporation fee. Coddan’s readiness stage brings those questions forward.

Guided information collection

Coddan’s structured online information route gives the applicant a quick way to provide the initial participant and ownership facts. “Quick” describes that bounded information-provision stage—not the acceptance or registration outcome.

A recorded readiness decision

An acceptance, missing-evidence, referral or refusal decision makes the next administrative step more straightforward because the applicant knows what Coddan can do and what remains outside the service.

Proportionate document routing

Coddan identifies the required translation or authentication route rather than assuming that every foreign document needs every possible stage. This reduces unnecessary administration and cost.

Separated costs and responsibilities

The professional fee, official fee and circumstance-dependent work are separated before an accepted instruction proceeds. External authorities and professionals still control their own requirements, timing and decisions.

The online connection is protected through HTTPS/TLS encryption, commonly called SSL. Personal information is handled under Coddan’s published privacy policy and applicable UK data-protection requirements. These controls support the route; they are not a promise that any online system is completely risk free.

The status behind Coddan’s role

The relevant evidence is not a collection of promotional badges. It explains why Coddan can prepare a formation instruction, apply its regulated-business acceptance controls and provide an authorised identity-verification route within the approved service scope.

Formation work since 2005

Coddan has provided formation services and used commercial formation software since 2005, including LLP incorporation across England and Wales, Scotland and Northern Ireland.

Formation agent

Coddan prepares and submits accepted LLP formation information through the available filing route. Companies House remains responsible for examination and registration.

HMRC-supervised TCSP

Coddan operates as a trust or company service provider supervised by HM Revenue & Customs for anti-money-laundering purposes. Supervision is not approval of an applicant, package or commercial outcome.

Companies House-registered ACSP

Coddan CPM Limited is registered as an Authorised Corporate Service Provider and may provide approved identity-verification work. Registration does not amount to Companies House endorsement or guarantee acceptance.

Formation administration does not replace specialist advice

Coddan checks, prepares, coordinates and routes the accepted administrative work. Where a conclusion belongs to a lawyer, tax adviser, accountant, bank or another regulated professional, the formation route must preserve that responsibility.

Within Coddan’s accepted scope

  • formation acceptance and administrative checks;
  • incorporation-information preparation and submission;
  • identity and documentary dependency recognition;
  • approved coordination with relevant professional routes; and
  • handover to the selected governance, accounts or compliance service.

Refer to the responsible professional

  • individual or structure-specific international tax conclusions;
  • foreign-law, enforceability or disputed-ownership opinions;
  • regulated-activity, investment or fund analysis;
  • audit, insolvency or complex accounting conclusions; and
  • banking or payment-provider eligibility decisions.

Registration is not the end of the LLP route

When Companies House registers the LLP, the entity exists. Its internal governance, records, accounts, tax administration and continuing filings still need the appropriate ownership and service route. International and non-UK LLP formation identifies those destinations without implying that they are all included in the formation price.

Members and PSCs

Member roles, designated status, corporate members and substantive PSC questions belong to LLP members, designated members, corporate members and PSCs.

Agreement and governance

The standard, adapted, bespoke, review or solicitor route for the LLP agreement belongs to LLP agreements and governance.

Addresses and records

A UK registered office, service addresses and records services remain separately selected Registered office, service addresses and LLP records services.

Accounts

Accounting records and annual accounts require their own evidence, responsibility and professional route.

Review LLP annual-accounts services

Continuing compliance

Confirmation statements and the continuing filing calendar are not automatically included in International and non-UK LLP formation formation.

Review LLP confirmation-statement services

Current official position used for this service

The legal and filing position was checked against current authoritative guidance before this page was prepared. Requirements can change, so the live filing and identity position must be checked again at instruction and before you rely on the service or submit a filing.

The next appropriate step

Establish international readiness before selecting the formation route

Begin with the £125 + VAT readiness assessment if the proposed LLP includes a non-UK person, overseas body corporate, foreign ownership chain or material international-documentary fact. If the case is accepted, Coddan will identify the appropriate formation scope and the separate costs that genuinely apply.

Begin the international readiness assessment Return to ordinary UK LLP formation

Assessment and formation remain subject to complete information, evidence, payment, applicable verification, professional clearance where required and Coddan’s acceptance. Companies House controls registration.
