LLP Formation & Records™ is an incorporation and initial records package for two straightforward UK individual members who have already agreed the proposed business, member roles, ownership and control arrangements. It is designed for Participants who want to establish their Limited Liability Partnership (LLP) and receive an initial organisational record pack to support the first stage of its administration.
The package includes the core LLP incorporation service provided under Essential LLP Formation, together with the preparation and digital delivery of an initial organisational record pack, including:
1. Review of the proposed LLP name and formation information.
2. Preparation, human pre-submission checking and submission of the electronic LLP incorporation application.
3. Supply of the digital Certificate of Incorporation following Companies House acceptance.
4. Preparation of an initial written member decision or first minutes, based on the decisions confirmed by the Participants.
5. Preparation of a member and designated-member information schedule.
6. Preparation of two membership certificates as administrative evidence of the recorded membership information.
7. Preparation of an initial governance and filing checklist.
8. Digital delivery of the prepared initial organisational record pack.
The £100 Companies House digital incorporation fee is included in the stated £249 + VAT package price. The package assumes two straightforward UK individual members. One additional accepted UK individual member may be considered for the approved £35 + VAT supplement, subject to acceptance.
The initial record pack provides an administrative starting point; it is not an LLP agreement, an asset-transfer instrument or a complete operating system. Identity-verification charges, address services, printed or couriered materials, bookkeeping, accounts, tax work, banking and subsequent statutory changes are separate.
Coddan prepares the electronic LLP incorporation application using the formation information supplied and confirmed by the Participants. The service assumes that the proposed business, member roles, ownership and control arrangements have already been agreed.
Following preparation and human pre-submission checking, Coddan submits the authorised application to Companies House. If Companies House accepts the filing, Coddan supplies the digital Certificate of Incorporation and prepares the initial organisational records included in the package. The written member decision or first minutes must reflect the decisions and authority confirmed by the Participants.
The initial record pack comprises a written member decision or first minutes, a member and designated-member information schedule, two membership certificates and an initial governance and filing checklist. These documents support initial administration but do not replace an LLP agreement or provide bespoke governance arrangements. A membership certificate records administrative evidence; it does not itself create or transfer membership, beneficial ownership or an asset.
The package includes digital delivery only. Printed documents, courier services, ongoing administration and subsequent record updates are not included. There is no recurring service or automatic renewal.
Coddan undertakes the professional preparation and submission stages once the required formation information has been provided, the applicable checks have been completed and the Participants have approved and authorised the application. Preparation of the initial record pack depends on the Participants confirming the relevant member information, designated-member status, authority and decisions to be recorded.
The package price is £249 + VAT and includes the £100 Companies House digital incorporation fee. VAT is charged separately. Any approved additional-member supplement, identity-verification charges, address services, printed or couriered materials and other separately requested services are not included unless expressly agreed.
Companies House independently decides whether the incorporation application is accepted and controls its processing. Requests for further information, processing times and other external actions may affect when the LLP is formally registered. Submission does not guarantee incorporation or registration by a particular date.
The Participants must provide accurate formation information and supporting evidence, complete the applicable identity-verification and Know Your Customer (KYC) checks, confirm the member and designated-member particulars, approve the filing information and authorise submission.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. Identity-verification charges are separate from the LLP Formation & Records™ package price. Please review the LLP identity-verification requirements before proceeding.
This package assumes two straightforward UK individual members. Overseas participants, corporate members or arrangements involving layered ownership require the international LLP formation route.
The package does not include registered-office or member service-address facilities, an LLP agreement, bespoke governance drafting, asset or contract transfers, bookkeeping, accounts, tax work, banking or subsequent statutory changes.
