LLP Formation & Governance is an incorporation, initial records and governance-documentation package for two straightforward UK individual members who have already settled their proposed business arrangements. It is intended for members who have agreed their contributions, economic rights, management arrangements, voting provisions and authority, and whose instructions fit Coddan’s approved standard agreement scope.
The package includes the core LLP incorporation and initial records services provided under LLP Formation & Records, together with preparation of an approved standard or adapted Limited Liability Partnership (LLP) agreement, including:
1. Review of the proposed LLP name and formation information.
2. Preparation, human pre-submission checking and submission of the electronic LLP incorporation application.
3. Supply of the digital Certificate of Incorporation following Companies House acceptance.
4. Preparation of an initial written member decision or first minutes, based on the decisions confirmed by the members.
5. Preparation of a member and designated-member information schedule and two membership certificates.
6. Preparation of an initial governance and filing checklist.
7. Provision of a governance questionnaire to record the members’ settled instructions.
8. Review of the completed questionnaire and instructions to assess whether they fit the approved standard agreement scope.
9. Preparation of one accepted standard or adapted LLP agreement within the approved scope, following human acceptance.
10. Digital delivery of the initial records and prepared agreement.
The £100 Companies House digital incorporation fee is included in the stated £379 + VAT package price. The package assumes two straightforward UK individual members. The approved £35 + VAT supplement is available for each additional accepted straightforward UK individual member, subject to acceptance.
Coddan prepares the electronic LLP incorporation application using the formation information supplied by the members. The package assumes that the proposed business, member roles, contributions, economic rights, management arrangements, voting provisions and authority have already been agreed.
Following preparation and human pre-submission checking, Coddan submits the authorised incorporation application to Companies House. If Companies House accepts the filing, Coddan supplies the digital Certificate of Incorporation and prepares the initial organisational records included in the package.
For the governance stage, Coddan issues a questionnaire to capture the members’ settled instructions and reviews the completed information against the approved standard agreement scope. Following human acceptance of the instructions, Coddan prepares one standard or adapted LLP agreement within that scope. The members remain responsible for making the commercial decisions, providing consistent information and reviewing and approving the document.
The package records the arrangement agreed by the members; it does not negotiate the arrangement for them or provide a legal opinion. The initial record pack and agreement do not constitute a complete operating system or include the implementation of separate asset transfers or other post-incorporation transactions.
Coddan undertakes the professional preparation and submission stages once the required formation information has been provided, the applicable checks have been completed and the members have approved and authorised the application. Preparation of the initial records and LLP agreement also depends on the members confirming the relevant information, decisions and settled governance instructions.
The package price is £379 + VAT and includes the £100 Companies House digital incorporation fee. VAT is charged separately. Any approved additional-member supplement, identity-verification charges, address services, printed or couriered materials and other separately requested services are not included unless expressly agreed.
Companies House independently decides whether the incorporation application is accepted and controls its processing. Requests for further information, processing times and other external actions may affect when the LLP is formally registered. Submission does not guarantee incorporation or registration by a particular date.
The timing of the governance-documentation stage depends on the completeness and consistency of the members’ instructions and whether those instructions fit the approved standard scope. If they do not, separately quoted bespoke or solicitor-led work may be required.
The members must provide accurate formation information and supporting evidence, complete the applicable identity-verification and Know Your Customer (KYC) checks, confirm the filing particulars and authorise submission. They must also confirm the member information, designated-member status, authority and decisions to be recorded in the initial organisational documents.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. This package assumes two straightforward UK individual members. Overseas participants, corporate members or arrangements involving layered ownership require the international LLP formation route.
Disputes, active negotiation between members, bespoke deadlock or exit provisions, compulsory transfers, vesting arrangements, asset transfers, regulated activity, foreign-law matters, tax conclusions and legal opinions are excluded. If the members’ instructions fall outside the approved standard agreement scope, bespoke or solicitor-led work must be quoted separately.
The package does not include registered-office or member service-address facilities, printed or couriered materials, bookkeeping, accounts, tax work, banking or subsequent statutory changes. Any separately required legal, tax, accounting, regulatory, documentary or operational work must be arranged independently.
