LLP Formation & First-Year Administration is an incorporation, governance and defined first-year administrative support package for a straightforward UK LLP. It is designed for members who want to establish their LLP, prepare initial organisational records, document their settled governance arrangements and maintain an organised administrative framework during the first defined service period.
The package includes the core formation and governance work provided under LLP Formation & Governance, together with the agreed first-year administrative services, including:
1. Review of the proposed LLP name and formation information.
2. Preparation, human pre-submission checking and submission of the electronic LLP incorporation application.
3. Supply of the digital Certificate of Incorporation following Companies House acceptance.
4. Preparation of the initial written member decision or first minutes, member and designated-member information schedule, two membership certificates and initial governance and filing checklist.
5. Provision of a governance questionnaire and review of the members’ settled instructions.
6. Preparation of one accepted standard or adapted LLP agreement within the approved scope, following human acceptance of the instructions.
7. Establishment of a defined first-year filing calendar identifying the agreed administrative deadlines.
8. Monitoring of the agreed deadlines during the defined service period.
9. Preparation of the first confirmation statement and coordination of its filing, based on the information and approvals supplied by the members.
10. Provision of routine record-maintenance prompts during the service period.
11. One scheduled administrative review based on the records and information made available to Coddan.
12. Digital delivery of the prepared records and relevant administrative communications.
The £100 Companies House digital incorporation fee is included in the stated £549 + VAT package price. VAT is charged separately. The Companies House confirmation-statement fee, currently £50, is separate and payable when due.
The package covers the first defined service period only. It does not renew automatically or continue indefinitely. Any continuation requires a separate affirmative offer and acceptance at the applicable price.
Coddan prepares the electronic LLP incorporation application using the formation information supplied by the members. The package assumes a straightforward UK LLP with settled member roles, contributions, economic rights, management arrangements, voting provisions and authority, and two straightforward UK individual members.
Following preparation and human pre-submission checking, Coddan submits the authorised application to Companies House. If Companies House accepts the filing, Coddan supplies the digital Certificate of Incorporation and prepares the initial organisational records and one standard or adapted LLP agreement within the approved scope. The members must confirm their information and decisions, provide consistent instructions and review and approve the prepared documents.
For the first-year administrative service, Coddan establishes the agreed filing calendar, monitors the agreed deadlines, prepares the first confirmation statement and coordinates its filing, provides routine record-maintenance prompts and conducts one scheduled administrative review. These activities are based on the defined service scope and the information made available by the members.
The members remain responsible for reporting changes promptly, supplying requested records and approvals on time, and paying official or separately agreed charges when due. The administrative framework is intended to support the agreed first-year requirements; it does not constitute a complete system covering every legal, accounting, tax or operational obligation that may apply to the LLP.
Coddan undertakes the professional preparation and submission stages once the required formation information has been provided, the applicable checks have been completed and the members have approved and authorised the application. Preparation of the initial records and LLP agreement also depends on the members confirming the relevant information, decisions and settled governance instructions.
The first-year administrative service operates during the defined service period. The filing calendar, agreed deadline monitoring, first confirmation-statement preparation and filing coordination, routine record-maintenance prompts and one scheduled administrative review are provided within that period and the agreed package scope.
The package price is £549 + VAT and includes the £100 Companies House digital incorporation fee. VAT is charged separately. The Companies House confirmation-statement fee, currently £50, is not included and must be paid when due. Identity-verification charges, address services and other separately requested services or charges are additional unless expressly agreed.
Companies House independently decides whether the incorporation application and subsequent filings are accepted and controls its processing. Requests for further information, processing times and other external actions may affect when a filing is completed. Coddan’s preparation, monitoring and coordination do not guarantee acceptance or completion by a particular date.
The package does not renew automatically or indefinitely. Any continuation of administrative support beyond the first defined service period requires a separate affirmative offer and acceptance at the applicable price.
The members must provide accurate formation information and supporting evidence, complete the applicable identity-verification and Know Your Customer (KYC) checks, confirm the filing particulars and authorise submission. They must also confirm the member information, designated-member status, authority and decisions to be recorded in the initial organisational documents.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. This package assumes a straightforward UK LLP with two UK individual members. Overseas participants, corporate members or arrangements involving layered ownership require the international LLP formation route.
Annual accounts, partnership and member tax returns, bookkeeping, payroll, Value Added Tax (VAT) services, regulated work, banking, insurance, legal advice, asset transfers and event-driven filings are excluded. Material changes may require a separate service or professional review. The package does not include every legal, accounting, tax or operational requirement that may apply to the LLP.
Companies House and other relevant bodies retain control over their own filing, processing and acceptance decisions. The members remain responsible for their obligations and for providing Coddan with timely, accurate information throughout the defined service period.
