LLP Formation & Agreement is an incorporation package for two straightforward UK or non-UK resident individual members who can provide their own compliant UK registered office. It is designed for Participants who have settled their proposed LLP structure and want the partnership formed with a standard agreement template as a written starting point for the members.
The package provides the core professional work required to prepare and submit the electronic LLP incorporation application, together with a standard LLP agreement template, including:
1. Review of the proposed LLP name and formation information.
2. Review of the filing information supplied for two proposed individual members.
3. Preparation of the electronic LLP incorporation application.
4. Human pre-submission checking of the prepared application.
5. Submission of the authorised electronic incorporation application to Companies House.
6. Supply of the digital Certificate of Incorporation following Companies House acceptance.
7. Provision of one standard Limited Liability Partnership (LLP) agreement template.
The £100 Companies House digital incorporation fee is included in the stated £149 + VAT package price. VAT is charged separately. The Participants must supply their own compliant UK registered office. No registered office, member service address or SAIL address is included.
Coddan prepares the electronic LLP incorporation application using the formation information supplied for the proposed LLP. The package is intended for two straightforward individual members who have provided the required information and can complete the applicable identity, Know Your Customer (KYC) and acceptance checks.
Before submission, Coddan checks the prepared application. The Participants must provide accurate information and supporting evidence, approve the filing particulars and authorise submission. If Companies House accepts the incorporation filing, Coddan supplies the digital Certificate of Incorporation.
The package also includes one standard LLP agreement template to give the members a written starting point. The template is not an adapted agreement and does not include negotiation of the members’ arrangements, bespoke governance provisions or a legal opinion. The members remain responsible for determining their arrangements and deciding whether the template meets their requirements.
The service is focused on incorporation and provision of the standard agreement template. It does not include separate asset-transfer, banking, tax, accounting, regulatory or operational work.
Coddan undertakes the professional preparation, pre-submission checking and submission stages once the required formation information has been provided, the applicable checks have been completed and the Participants have approved and authorised the application.
The package price is £149 + VAT and includes the £100 Companies House digital incorporation fee. VAT is charged separately. Identity-verification charges, enhanced due diligence, foreign-document work, certification, translation, courier charges and any separately requested services are not included unless expressly agreed.
Companies House independently decides whether the incorporation application is accepted and controls its processing. Any processing time, request for further information or other external action is outside Coddan’s control and may affect when the LLP is formally registered. Submission does not guarantee acceptance or incorporation by a particular date.
There is no recurring service or automatic renewal. Any additional or ongoing service must be arranged separately.
The Participants must provide accurate formation information and supporting evidence, complete the applicable identity-verification, KYC and acceptance checks, approve the filing particulars and authorise submission. Non-UK resident individuals qualify only where their identities, evidence, ownership, control and intended business are accepted within the standard scope.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. Identity-verification charges are separate from the LLP Formation & Agreement package price. Enhanced due diligence and foreign-document work, including certification, translation and courier charges, are also separate. Non-UK resident Participants whose identities, evidence, ownership, control or intended business fall outside the standard scope require the international LLP formation route.
The package does not include a registered office, member service address or SAIL address. It also excludes asset transfers, banking, tax work, accounts and professional advice. Incorporation does not itself transfer property, securities, intellectual property, contracts, goodwill or beneficial ownership to the LLP. Any separately required legal, tax, regulatory, documentary or operational work must be dealt with independently.
