The “LLP Formation, Agreement & Aldershot SAIL” package combines the formation of a UK Limited Liability Partnership (LLP), a standard LLP agreement template and an initial records-location service at Coddan’s Aldershot location. It is designed for two straightforward UK or non-UK resident individual members who can provide their own suitable registered office in England and Wales and want specified LLP records maintained at a separate Single Alternative Inspection Location (SAIL).
The package provides the following services within the defined scope:
1. Review of the proposed LLP name and formation information.
2. Preparation and human pre-submission checking of the electronic incorporation application for two accepted individual members.
3. Submission of the standard electronic incorporation application to Companies House.
4. Provision of the digital Certificate of Incorporation following Companies House acceptance.
5. Supply of one standard LLP agreement template as a starting document.
6. The first 12 months of the accepted Aldershot SAIL and defined records-location service.
7. Coordination of the initial LL AD02 and LL AD03 records-location notifications where required.
8. Inclusion of the £100 Companies House digital incorporation fee within the package price.
The Participant must provide a suitable registered office in England and Wales, supply accurate formation information and supporting evidence, complete applicable identity, know-your-customer (KYC) and acceptance checks, approve the filing particulars, and identify and approve the records to be maintained at the Aldershot SAIL.
Coddan reviews the proposed LLP name and formation information, prepares the electronic incorporation application for two accepted individual members, completes the human pre-submission check and submits the application to Companies House. If Companies House accepts the filing, Coddan supplies the digital Certificate of Incorporation.
The package also includes one standard LLP agreement template. This template provides the members with a written starting point; it is not a bespoke or adapted agreement, a negotiated settlement, a review of the members’ individual circumstances or a legal opinion.
For the records-location service, Coddan provides the accepted Aldershot SAIL for the first 12 months and coordinates the initial LL AD02 and LL AD03 notifications where required. The Participants must identify and approve the records to be maintained at that location and keep Coddan informed of relevant changes.
The SAIL is a records destination, not the LLP’s registered office. The package does not include a registered office, member service addresses or general business mail services. Participants who require a registered office should consider the London registered-office package.
The package is intended for straightforward cases involving two individual members whose identities, evidence, ownership, control arrangements and intended business are acceptable within the standard scope. Non-standard overseas evidence or ownership complexity may require the international LLP formation route.
Coddan can proceed with the professional preparation and submission stages once the required formation information and supporting evidence have been provided, the applicable checks have been completed, and the filing particulars are ready and approved.
The package price is £189 + VAT and includes the £100 Companies House digital incorporation fee. The first 12 months of the Aldershot SAIL and defined records-location service are also included at a discounted rate within the package. The package does not renew automatically or provide an indefinite SAIL service.
Any continuation of the SAIL and records-location service requires affirmative acceptance. The current standalone renewal price is £49 + VAT annually. Any service outside the defined package scope may require separate agreement and charges.
Companies House independently decides whether to accept the incorporation application and relevant filings. Processing times, requests for further information and other actions by Companies House are outside Coddan’s control and may affect when the LLP is formally registered.
The Participants must provide accurate information and evidence and complete all applicable identity-verification, know-your-customer (KYC) and acceptance checks required for the proposed LLP and its members. Where identity verification is applicable, it must be completed through the appropriate route before the relevant requirements can be satisfied.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. Identity-verification charges, enhanced due diligence and non-standard overseas-document work are not included in the package price. Certification, translation and courier charges are also separate where required.
The Aldershot SAIL service is limited to the agreed records-location scope. General business mail, unrestricted mail forwarding, storage outside the agreed records scope, inspection work beyond the defined service and member service addresses are excluded. Bespoke LLP agreement drafting, professional legal advice, banking, tax work, accounts and asset transfers are also excluded.
Maintaining a SAIL does not remove the LLP’s separate obligation to maintain a compliant registered office in England and Wales. Incorporation does not itself transfer property, securities, intellectual property, contracts, goodwill or beneficial ownership to the LLP; any required transfers or related legal, tax, regulatory or operational work must be arranged separately.
