The “LLP Formation, London Office & Two Member Addresses” package combines UK Limited Liability Partnership (LLP) formation, a standard LLP agreement template, a London registered office and London service addresses for two individual members. It is designed for straightforward formations where the two accepted individual members require both a statutory address for the LLP and separate addresses for official correspondence addressed to each member.
The package provides the following formation and address services:
1. Review of the proposed LLP name and formation information;
2. Preparation and human pre-submission checking of the electronic incorporation application for two accepted individual members;
3. Submission of the electronic incorporation application to Companies House;
4. Provision of the digital Certificate of Incorporation following Companies House acceptance;
5. Supply of one standard LLP agreement template as a starting document;
6. The first 12 months of the accepted London registered-office service, including receipt of qualifying statutory LLP correspondence within the approved service terms;
7. The first 12 months of London service-address use for two accepted individual LLP members;
8. Inclusion of the £100 Companies House digital incorporation fee within the package price.
The Participants must provide accurate formation information, supply residential and identity information privately where required, complete applicable identity-verification and know-your-customer (KYC) checks, approve the public filing information and comply with the relevant address-service terms.
Coddan reviews the proposed LLP name and formation information, prepares the electronic incorporation application for two accepted individual members and completes a human pre-submission check. Once the required information and checks are complete and the filing particulars have been approved, Coddan submits the application to Companies House and supplies the digital Certificate of Incorporation following acceptance.
The package includes one standard LLP agreement template to provide the members with a written starting point. The template is not a bespoke or adapted agreement, negotiated settlement or legal opinion. Any required bespoke drafting, adaptation or professional advice must be arranged separately.
Coddan also provides the accepted London registered office and two London member service addresses for the first 12 months. The registered office serves as the LLP’s statutory address in England and Wales and covers qualifying statutory LLP correspondence within the approved service terms. Each member service address is intended for official correspondence addressed to that individual member.
The registered office and member service addresses perform different functions. The registered office is the LLP’s statutory address; the member service addresses are for official correspondence addressed to the respective members. Neither service automatically provides a trading address, general business-mail service or unrestricted mail forwarding.
The package is intended for two straightforward UK or non-UK resident individual members accepted within the standard scope. Additional members, corporate members, enhanced overseas evidence or complex participant arrangements are not included and may require separate charges or assessment through the international LLP formation route.
Coddan can complete the professional preparation and submission stages once the required formation information and supporting evidence have been provided, applicable checks have been completed, and the incorporation details are ready and approved for filing.
The package price is £224 + VAT and includes the £100 Companies House digital incorporation fee. The first 12 months of the London registered-office service and two member service addresses are included. The two member service addresses add a combined discounted £30 to the first-year package price.
The address services do not renew automatically or indefinitely. Continued use requires affirmative acceptance. The current standalone annual renewal prices are £79 + VAT for the standard London registered office and £39 + VAT for each member service address, giving a combined annual renewal cost of £157 + VAT for all three services. Any additional services or work outside the agreed scope may incur separate charges.
Companies House independently decides whether to accept the incorporation application. Its processing times, requests for further information and other external actions are outside Coddan’s control and may affect when the LLP is formally registered. Other third parties also retain their own acceptance decisions.
The Participants must provide accurate formation information and complete applicable identity-verification, know-your-customer (KYC) and acceptance checks. Residential and identity information must be supplied privately where required for the relevant checks. The Participants must also approve the public filing information and comply with the address-service terms.
Coddan can support the applicable identity-verification process as an ACSP where that route is selected and available for the case. Please review the applicable LLP identity-verification requirements before submission. Any identity-verification charges, enhanced overseas evidence or additional due-diligence work outside the standard package scope are separate.
A member service address determines where official correspondence addressed to that member is received. It does not establish the member’s residence, authority, beneficial ownership or PSC status. The relevant roles, identity-verification requirements and filing information must be considered separately.
The package excludes general business mail, additional member service addresses, mail forwarding or courier charges outside the defined terms, corporate members, bespoke LLP agreement drafting and professional work outside the agreed scope. Banking, tax and accounting work are also separate.
Incorporation does not itself transfer property, securities, intellectual property, contracts, goodwill or beneficial ownership to the LLP. Any separately required legal, tax, regulatory, documentary or operational work must be dealt with independently.
