Multiple Members Do Not Automatically Make a CLG Complicated

A Company Limited by Guarantee can be established with one or multiple members / guarantors. Having several members does not, by itself, mean that your CLG requires a more complex formation route or a higher-level package.

The important consideration is how your membership is structured and what your organisation needs alongside its formation. Your members may be individuals, corporate participants, or a mixture of both, and they may be based in the UK or overseas, where applicable.

Several Members A CLG can be structured around multiple individual members or guarantors.
Mixed Participation Individual and corporate members can form part of the same structure where appropriate.
UK & Overseas Membership structures can include UK and overseas participants, subject to applicable requirements.

The number of members is only one part of the decision. The appropriate CLG solution should also take account of your registered office, corporate governance, membership records, documentation and any continuing compliance or company secretarial requirements.

CLG Membership Explained

What Is a CLG Member / Guarantor?

A Company Limited by Guarantee does not have shareholders in the same way as a company limited by shares. Instead, it has members who agree to contribute a specified amount if the company is wound up, subject to the company's constitution and applicable legal requirements.

These members are commonly described as guarantors because of the guarantee they provide. The guarantee is a commitment to contribute the agreed amount if the circumstances requiring it arise; it is not share capital and does not represent ownership of shares in the company.

Member A person or organisation participating in the CLG's membership structure.
Guarantor A member who undertakes the agreed guarantee contribution in accordance with the company's constitution.
Guarantee The agreed amount that the member undertakes to contribute if the relevant circumstances arise.

Member does not mean shareholder. A CLG is structured around membership and guarantees rather than ordinary share ownership. Understanding this distinction helps you provide the correct information when establishing or changing your CLG.

If your proposed CLG will have several members or guarantors, their participation should be considered as part of the company's overall constitutional and corporate structure.

Membership Structure

Who Can Be a CLG Member?

A CLG can be structured with individual members, corporate members or a combination of participants, depending on the organisation's intended structure and constitutional requirements. Members may also be based in the UK or overseas, where applicable.

The important point is to identify who is intended to participate in the company and how their membership should be reflected in the company's corporate records and governance arrangements.

Individual Members Individuals can participate as members / guarantors of the CLG, subject to the company's constitutional arrangements and applicable requirements.
Corporate Members A company or other appropriate corporate organisation may participate as a member where the proposed structure permits it.
Mixed Membership A CLG may have a mixture of individual and corporate members where appropriate to its intended organisational structure.
UK-Based Members Members based in the UK can form part of the company's membership structure.
Overseas Members Overseas individuals or corporate participants may be considered as part of a UK CLG's membership structure, subject to applicable requirements.
Multiple Members There is no need to treat every member as a separate formation project when the participants form part of the same CLG structure.

Understanding CLG Roles

Members vs Directors

Members and directors perform different roles within a Company Limited by Guarantee. A CLG can have multiple members or guarantors, multiple directors, or individuals who hold both roles, depending on the organisation's structure.

Understanding the distinction helps you organise the proposed CLG correctly and identify which information, responsibilities and corporate records relate to each role.

Can one person hold both roles? Yes. An individual can potentially be both a member and a director. Yes. The two capacities should still be treated separately in the company's records.
UK or overseas participation UK, overseas or mixed participation may be possible, subject to applicable requirements. UK, overseas or mixed director structures may be possible, subject to applicable requirements.
Corporate participation Corporate membership may be possible where applicable. A corporate director is a separate corporate role with its own applicable requirements.

One person can potentially hold both roles. Being a member does not automatically make someone a director, and appointing someone as a director does not automatically make them a member. The company's structure and governing documents should therefore identify the relevant roles clearly.

The company's Articles of Association provide the framework for its internal governance and membership arrangements. Existing CLG — Add Members

An existing Company Limited by Guarantee may need to add new members or guarantors as its organisation develops. The appropriate approach depends on the company's Articles of Association, existing membership structure and the circumstances of the proposed appointment.

Adding members is therefore not simply a matter of entering another name. The company's corporate records, membership documentation and any applicable Companies House requirements should be considered together.

Identify the new member, their membership status, guarantee commitment and any relevant corporate or international information.

Update Corporate Records

Adding a member does not necessarily require a Companies House filing. The appropriate record-keeping and filing requirements depend on the nature of the change and the company's circumstances. The company's internal statutory records should therefore be considered alongside any information that Companies House requires.

Guarantee & Membership

Guarantee Amounts & Member Commitments

When a Company Limited by Guarantee is formed, each member / guarantor agrees to contribute a specified guarantee amount if the company is wound up, subject to the company's constitutional arrangements and applicable legal requirements.

The guarantee is different from share capital. A member's agreed guarantee represents their commitment to contribute the specified amount in the circumstances covered by the guarantee; it is not an investment in shares or ordinary share ownership.

Agreed Guarantee The amount each member agrees to contribute under the company's guarantee arrangements.
Member Commitment The guarantee represents a member's commitment rather than share ownership or share capital.
Multiple Members Where a CLG has several members, the relevant guarantee information should be recorded consistently within the company's structure.

The guarantee is generally a limited commitment. The member's liability is normally limited to the amount they have agreed to guarantee, subject to the company's Articles and the circumstances in which the guarantee becomes enforceable.

When preparing a new CLG with multiple members, the proposed guarantee arrangements should be considered alongside the membership structure, Articles of Association and incorporation information. This helps ensure that the company's constitutional framework accurately reflects the intended organisation.
