This is broader than changing company objects alone. The service addresses the company's constitutional framework and the corporate approvals and filings required to implement the change.

The Constitutional Transition

The service is designed to move the company from its existing Model Articles to a Coddan-prepared CLG constitutional framework incorporating the client's agreed objects.

What does CC04 do?

CC04 provides the formal Companies House notification of a change to the company's objects. It forms part of the statutory filing process when an existing CLG changes its registered company objects.

What CC04 does not do

Submitting CC04 does not, by itself, replace the company's wider corporate documentation. Depending on the change, the company may also need the appropriate corporate approval, resolutions and updated constitutional documentation.

The Wider Objects Amendment Process

An objects change should be treated as a corporate process rather than simply a form submission.

We consider the existing company objects, Articles and the constitutional information relevant to the proposed change.

You provide what you already know about the intended change. If proposed objects or constitutional requirements are already prepared, they can be provided; where the organisational requirement is clear but the constitutional treatment is not, Coddan determines the appropriate route within scope.

We prepare the relevant resolutions, amended or new constitutional documentation and Companies House forms required for the selected service.

The appropriate corporate approval documentation is prepared for the company's required decision-making process; the form of approval depends on the constitutional change and the company's governing arrangements.

We coordinate the applicable Companies House filing, including CC04 where the service requires notification of a change to company objects.

Following the filing process, we provide confirmation and the resulting corporate documentation applicable to the service.
