Start With Your Company's Situation

Does Your CLG Need a New Constitution — or a Change to Its Existing One?

The right solution depends on whether you are establishing a new Company Limited by Guarantee or changing the constitutional arrangements of an existing company. Coddan provides defined services for both situations, so you can address the specific change your CLG actually needs.

New CLG

You are forming a new Company Limited by Guarantee

You may already know the objects or purposes you want your organisation to have and want those requirements properly reflected as part of the incorporation process.

Relevant solutions: CLGEssential™ and CLG AddressPro™.

Existing CLG

Your existing CLG needs its constitutional arrangements changed

Your company may need different objects, or it may have outgrown its Model Articles and require a more appropriate constitutional framework reflecting its current or intended organisation.

Relevant solutions: CLG ObjectsPro™ and CLG CharterPro™.

Not sure which situation applies? You do not need to identify the filing or constitutional document yourself before contacting us. We can discuss your company's circumstances and help identify the appropriate Coddan solution.

Start With Your Company Situation

New CLG or Existing CLG?

The right solution depends first on whether you are forming a new Company Limited by Guarantee or already have a UK CLG that needs its objects or constitutional framework changed. Start with your company's current position, then select the solution that matches it.

Pathway 1 New Company

I Need to Form a New UK CLG

If you are establishing a new Company Limited by Guarantee, your starting point is the company's formation information and the objects you want the new CLG to have. You can then choose between the standard formation solution and the additional AddressPro option.

Choose your new CLG solution:

CLGEssential™

New CLG formation with your agreed company objects.

CLG AddressPro™

New CLG formation with your objects and AddressPro solution.

£159.99
+ VAT
Order AddressPro™

Choose this pathway if: you do not yet have the UK CLG and want to establish a new company.

Pathway 2 Existing Company

I Already Have a UK CLG

If your Company Limited by Guarantee is already registered, you do not need another formation package. Instead, identify what needs to change in the company's existing constitutional position and select the appropriate solution.

Choose your existing CLG solution:

CLG ObjectsPro™

Change the company objects of your existing CLG.

CLG CharterPro™

Replace Model Articles with a customised Coddan CLG constitutional framework.

Choose this pathway if: your CLG already exists and you need to change its objects or move beyond its existing Model Articles.

Identify the Constitutional Change

What Actually Needs to Change?

Before choosing a service, it helps to identify whether the change concerns your company's objects, Articles of Association, or both. These are different parts of your company's constitutional framework and may require different corporate documentation and Companies House procedures.

01

Company Objects

Your company's objects describe the purposes or activities for which the CLG is established. If your organisation's intended activities have changed, its existing objects may need to be amended.

Typical solution:
CLG ObjectsPro™ — change the objects of an existing CLG and manage the associated corporate and Companies House process.

02

Articles of Association

The Articles establish the rules by which the company is governed and operated. An existing CLG using Model Articles may require a more appropriate framework as its organisation develops.

Typical solution:
CLG CharterPro™ — move from Model Articles to a customised Coddan CLG constitutional framework.

03

Objects + Articles

Sometimes an organisation needs its stated objects and its constitutional framework to be considered together, particularly when an existing CLG is moving away from Model Articles.

Typical solution:
CLG CharterPro™ — customised Coddan CLG Articles incorporating the client's agreed objects and required corporate approvals and filings.

The important distinction: changing your company objects is not the same as replacing or amending the rules contained in your Articles of Association. The appropriate service depends on the constitutional change your CLG actually requires.

Existing CLG • Objects Amendment

Your Existing CLG Needs Different Company Objects

If your Company Limited by Guarantee is already registered but its current objects no longer reflect the organisation's intended activities or purposes, the constitutional position may need to be updated. CLG ObjectsPro™ provides a structured service for managing the objects amendment and the associated corporate and Companies House documentation.

When This Solution Fits

Change the objects without starting a new company

Your CLG may have developed, changed its activities or adopted a different organisational purpose since incorporation. If the existing objects no longer accurately reflect the company's intended purposes, you may need to update them.

You provide the proposed new objects. Coddan manages the standard corporate documentation and Companies House filing process required for the change.

Specialist Solution £175 + VAT

CLG ObjectsPro™

Existing CLG Objects Amendment

  • Review of the proposed new company objects
  • Preparation of the appropriate director/board documentation
  • Preparation of the members' resolution
  • Preparation of the amended constitutional documentation
  • Preparation of Form CC04
  • Companies House filing and filing coordination
  • Post-registration confirmation and updated documentation

Corporate Resolutions
Revised Documentation
CC04
Companies House

CC04 is part of the process — not the whole service. The service covers the relevant corporate documentation and coordination of the constitutional change, together with preparation and submission of the Companies House notification.

Existing CLG • Constitutional Upgrade

Replace Model Articles With a Customised CLG Constitution

If your existing Company Limited by Guarantee operates under Model Articles but those standard provisions no longer provide the constitutional framework you need, CLG CharterPro™ provides a structured route to replace them with a Coddan-prepared CLG Articles framework incorporating your agreed company objects and appropriate organisational provisions.

When This Solution Fits

Your existing Model Articles no longer reflect the organisation you are building

An existing CLG may develop beyond the circumstances in which it was originally incorporated. You may want its Articles to reflect its agreed objects, organisational arrangements and the way the company is intended to operate.

This is broader than changing company objects alone. The service addresses the company's constitutional framework and the corporate approvals and filings required to implement the change.

Constitutional Solution £185 + VAT

CLG CharterPro™

Existing CLG Constitutional Upgrade

  • Review of the company's existing Model Articles
  • Consideration of the client's proposed objects and requirements
  • Preparation of the appropriate director/board resolution or documentation
  • Preparation of the members' resolution
  • Preparation of new Articles based on the Coddan CLG model
  • Incorporation of the client's agreed company objects
  • Preparation of relevant Companies House filing documentation
  • Submission and filing coordination with Companies House
  • Post-registration confirmation and constitutional documentation

Companies House Filing

What Is CC04 — and When Is It Required?

Form CC04 is the Companies House form used to notify a change to the objects of a company limited by guarantee. It is an important part of the filing process, but the form itself is only one element of the wider corporate change.

01

What does CC04 do?

CC04 provides the formal Companies House notification of a change to the company's objects. It forms part of the statutory filing process when an existing CLG changes its registered company objects.

02

What CC04 does not do

Submitting CC04 does not, by itself, replace the company's wider corporate documentation. Depending on the change, the company may also need the appropriate corporate approval, resolutions and updated constitutional documentation.

The Wider Objects Amendment Process

An objects change should be treated as a corporate process rather than simply a form submission.

This is why CLG ObjectsPro™ is more than a CC04 filing service. The package brings together the relevant corporate documentation, resolutions, preparation of the CC04 notification and Companies House filing coordination as one defined service.

Our Process

From Existing Constitution to Updated Company Records

A constitutional change involves more than submitting a form. We organise the relevant corporate documentation, approvals and Companies House filings according to the type of change your CLG requires.

01

Review

We consider the existing company objects, Articles and the constitutional information relevant to the proposed change.

02

Confirm

You provide or confirm the proposed objects and the constitutional requirements you want the company to adopt.

03

Prepare

We prepare the relevant resolutions, amended or new constitutional documentation and Companies House forms required for the selected service.

04

Approve

The appropriate director or board documentation and members' resolution are prepared for the company's required corporate approval process.

05

File

We coordinate the applicable Companies House filing, including CC04 where the service requires notification of a change to company objects.

06

Confirm

Following the filing process, we provide confirmation and the resulting corporate documentation applicable to the service.

The exact process depends on what is changing. An objects amendment follows a different route from replacing Model Articles with a customised CLG Articles framework. We therefore match the documentation and filing process to the service you select.

If you are unsure which route applies to your existing CLG, contact our team before placing your order.

Before We Start

What We Need From You

The information required depends on whether you are forming a new CLG, changing the objects of an existing company or replacing its existing Articles. Providing complete and accurate information at the beginning helps us prepare the appropriate documents and avoid unnecessary delays.

New CLG

Information for a New CLG Formation

For CLGEssential™ or CLG AddressPro™, you will generally need to provide the information required to establish the new company and confirm the objects you want the CLG to have.

  • Proposed company name
  • Company objects or purposes
  • Details of the proposed directors
  • Details of the proposed members or guarantors
  • Registered office information as required by the selected service
  • Other incorporation information requested through the application process
Existing CLG

Information for an Objects Change

For CLG ObjectsPro™, the key starting point is your existing company information and the new objects you want the company to adopt.

  • Existing company name and Companies House details
  • Current company objects or relevant constitutional information
  • The proposed new company objects
  • Details required for the appropriate corporate resolutions
  • Member or guarantor information where required for the approval process
  • Any additional information relevant to the proposed change
Existing CLG • CharterPro™

For CLG CharterPro™, we need to understand the company's existing constitutional position and the framework you want the company to adopt.

  • Existing company name and Companies House details
  • Current Model Articles or other existing Articles information
  • Your proposed company objects
  • Details of the company's intended organisational framework
  • Information required to prepare director/board documentation
  • Information required for the members' resolution
  • Any specific constitutional requirements you want us to consider

  • Details of previous or current company objects
  • Relevant corporate resolutions or supporting documentation
  • Other documents specifically requested by our team

Know the Scope

Standard Service vs Complex Constitutional Requirements

Our four packages are designed to cover defined CLG formation and constitutional requirements. Some organisations, however, have governance arrangements or constitutional objectives that go beyond a standard package and therefore need further assessment before work begins.

Standard Package Scope

When a Standard Package Is Appropriate

A package will generally be appropriate where your requirements fit the defined CLG formation or constitutional service and the necessary information and approvals can be handled using the standard Coddan framework.

  • Formation of a standard Company Limited by Guarantee
  • Client-provided company objects for a new CLG
  • Change of objects for an existing CLG
  • Replacement of Model Articles using the Coddan CLG framework
  • Standard director and members' resolutions
  • Standard Companies House filing requirements
  • Routine corporate documentation associated with the selected package
Further Assessment

When Your Requirements May Need More Review

Additional assessment may be appropriate where the proposed constitution involves unusual governance arrangements, extensive bespoke provisions or requirements that cannot reasonably be addressed through the standard Coddan CLG framework.

  • Highly bespoke constitutional provisions
  • Unusually complex governance or decision-making arrangements
  • Special rights, restrictions or bespoke member arrangements
  • Constitutional structures involving several interconnected entities
  • Requirements extending substantially beyond a standard CLG framework
  • Specialist legal or regulatory requirements requiring separate professional advice
  • Requests for extensive drafting outside the selected package scope

Why We May Need to Assess the Requirement First

Constitutional documents form part of a company's formal corporate framework. Where a requirement falls outside the standard package, it is better to identify that before documents are prepared rather than attempt to fit a complex requirement into an unsuitable template or filing process.

Step 1

Tell us what your organisation needs.

Step 2

We consider the proposed constitutional requirements.

Step 3

We confirm whether the standard package is suitable.

Step 4

We explain the appropriate next step before additional work is undertaken.

We do not want you to purchase the wrong package. If your requirements appear to fall outside the standard scope, contact us before ordering. We can review the circumstances and explain whether one of the four packages is suitable or whether a separately assessed service is more appropriate.

Discuss your requirements with Coddan before placing an order:

Professional Support

Why Use a Professional CLG Constitutional Service?

More Than a Companies House Form. A constitutional change affects the company's formal records, corporate approvals and constitutional documents. The filing is only one part of the process.

01

The Right Documents

An objects change or constitutional upgrade may require more than the Companies House form itself. We prepare the relevant corporate resolutions and constitutional documentation associated with the selected service.

02

Corporate Approvals

Constitutional changes normally sit within the company's corporate decision-making framework. The appropriate director or board documentation and members' approval can therefore form an important part of the process.

03

Filing Coordination

Companies House filings form part of a wider process. We coordinate the applicable filing documentation and submission rather than treating the Companies House form as the entire service.

04

Consistent Company Records

The objective is not simply to submit a filing. The resulting constitutional documents and corporate records should correspond with the change being made to the company.

05

Less Administrative Friction

Working with one professional service for the documentation and filing coordination can reduce the need to identify, prepare and coordinate each part of the process separately.

06

A Defined Service Scope

Each Coddan package is designed around a specific CLG situation, helping you choose a defined service rather than paying for an unnecessarily broad or unsuitable solution.
