The registered office is the CLG’s official company address and receives its official correspondence. A director’s service address is for correspondence addressed to that director. The two may be the same permitted address, but the company and each person have different address records and responsibilities.

This distinction is particularly important for CLGs with directors or members based in different countries. The company can maintain one registered office in its chosen registration jurisdiction while its directors and members have their own personal or service-address arrangements.

What happens when a Company Limited by Guarantee has completed its purpose?

When a CLG has completed its purpose and is no longer required, completing its activities does not by itself remove the company from the register. The organisation must consider the appropriate closure and dissolution procedure, including its outstanding affairs, assets, liabilities and applicable Companies House requirements. Where the CLG is also a registered charity, separate Charity Commission requirements may also need to be considered.

How Does the Constitutional Framework Fit Your CLG?

Companies House Model Articles provide a standard constitutional framework for a Company Limited by Guarantee and can accommodate companies with one or multiple directors. The question is not whether Model Articles can support several directors, but whether the standard framework reflects how your particular CLG is intended to operate.

If the CLG needs particular voting rules, membership arrangements or objects, its standard Articles may need review.
