Company Limited by Guarantee or CIO?

A Charitable Incorporated Organisation (CIO) is another incorporated structure specifically designed for charities in England and Wales. Unlike a charitable company limited by guarantee, a CIO is registered with the Charity Commission rather than Companies House. The appropriate structure depends on your organisation's objectives, governance, membership and intended activities.

A charitable CLG and a CIO are different legal structures, so the choice should be considered before you begin the incorporation process. A CLG may be appropriate where a company structure and Companies House framework fit the organisation's plans, while a CIO provides an incorporated charity structure registered through the Charity Commission.

What happens when a Company Limited by Guarantee has completed its purpose?

When a CLG has completed its purpose and is no longer required, completing its activities does not by itself remove the company from the register. The organisation must consider the appropriate closure and dissolution procedure, including its outstanding affairs, assets, liabilities and applicable Companies House requirements. Where the CLG is also a registered charity, separate Charity Commission requirements may also need to be considered.

A registered office is a statutory requirement for a UK company. It provides the official address to which certain formal company communications and documents can be sent and is recorded on the public Companies House register. It is important, however, to understand what a registered office actually represents — and what it does not automatically provide.

A Statutory Corporate Address — Not Necessarily a Physical Office

Your registered office is the company's official registered address. It is used for the receipt of statutory correspondence and service of documents and is displayed on the public corporate register. The registered office does not, by itself, mean that the company maintains employees, conducts day-to-day operations or receives customers at that location.

Where the CLG also needs to decide where its records are kept or how directors receive official correspondence, the registered office, a director service address and a SAIL (Single Alternative Inspection Location) perform different jobs. The appropriate arrangement depends on what the organisation needs the address or location to do; a SAIL is not automatically required, and an existing arrangement that performs the required function can remain appropriate.

A Director Service Address for Official Correspondence

The CLG's registered office receives correspondence for the company. A director service address is for official correspondence addressed to a director. It can be the registered office or another permitted address. Ask how mail will reach the director and whether the service renews; the address does not change the director's legal identity or responsibilities.

The practical choice is an address that can receive the director's official post reliably. A separate service address may also mean a home address is not used as the public correspondence address, but its first job is to function for the director.
