What Does “Non-Profit” Actually Mean?

If you want to establish a non-profit organisation in the UK, the first important point is that “non-profit” is not itself a Companies House company type. It describes what an organisation is intended to achieve or how it is intended to operate, rather than automatically identifying the legal structure that should be used.

Non-Profit, Not-for-Profit and Similar Terms in the UK

Terms such as non-profit, not-for-profit, NPO, NGO and community organisation are commonly used to describe an organisation's purpose, activities or operating model. These terms do not, by themselves, identify a specific UK company structure.

This is particularly important for people establishing an organisation in the UK from overseas. A term that is familiar in one country may describe a different legal or organisational concept in the UK. The name used to describe the organisation should therefore not be treated as the answer to the company-structure question.

Where a Company Limited by Guarantee May Be Appropriate

Where a non-profit organisation requires a private company without share capital, a Private Company Limited by Guarantee (CLG) can provide an appropriate UK corporate structure.

Unlike a company limited by shares, a CLG does not have shareholders or share capital. It has members who give a guarantee, normally for a specified amount, in accordance with the company's constitutional arrangements.

Important: a CLG does not automatically become a charity.
