Fast and Reasonable CLG Company Limited by Guarantee Formation

Company Limited by Guarantee Formation

Establish the Company Limited by Guarantee Your Organisation Actually Needs

A straightforward way to establish a Company Limited by Guarantee around your organisation's actual objects, directors and members or guarantors — professionally handled by Coddan from the initial application through Companies House incorporation.

Simple does not mean generic.

You do not need to fit your organisation into a standard one-director or one-member template. Tell us what the company is being established to do, provide the details of your proposed directors and members or guarantors, and we will manage the formation process around the information you provide.

1

Your Organisation's Objects

Provide the objects for which your CLG is being established. You can include them in your application or send them to us separately.

2

Your Directors & Members

Provide the details of your proposed directors and members or guarantors. Multiple and corporate participants can be accommodated.

3

Coddan Manages the Formation

We review the information provided, assist with the applicable requirements and submit the incorporation application to Companies House.

Companies House identity verification: Where identity verification applies to your directors or other relevant individuals, Coddan can help you understand and complete the appropriate verification route as part of the formation process. International applicants can use the same formation service; their circumstances do not require a separate CLG package.

Formation normally within 24–48 hours. A guaranteed same-day formation option can also be requested where the required information and verification are completed in time.

Before You Order

Important: Is a Company Limited by Guarantee the Structure You Need?

If you already know that a Company Limited by Guarantee is the right structure for your organisation, you can move directly to our formation packages. If you are still deciding, consider the purpose and membership structure before submitting your application.

A Company Limited by Guarantee is designed around members or guarantors rather than shareholders.

It can be appropriate for organisations such as NGOs, NBOs, non-profit organisations, clubs and membership organisations where the company's constitutional arrangements are built around its objects and membership. The company can have one or multiple directors and one or multiple members or guarantors, including corporate members where appropriate.

1

Organisations & Membership Bodies

A CLG can suit an organisation established for defined purposes where members or guarantors participate in the company's governance rather than holding shares.

2

Specific Objects & Governance

Your CLG can be established around the objects you provide, with its directors, members or guarantors and constitutional arrangements reflecting the organisation you intend to operate.

3

Specialist Structures

Charitable incorporation, CIC structures and other specialist arrangements can involve additional requirements. Tell us what you are trying to establish before choosing a standard formation route.

Not every non-profit or community project requires the same legal structure. A CLG should not be treated as a generic “non-profit company”. A CIC, a charitable company and a conventional company limited by guarantee can have different purposes and regulatory requirements. If you already know that a CLG is appropriate, Coddan can proceed with the formation around your stated requirements. If your intended structure requires a specialist route, we can discuss that before incorporation.

Coddan Perspective: straightforward formation does not mean a standardised organisation.

Once you have decided that a Company Limited by Guarantee is the appropriate structure, you can provide your company name, objects and the details of your proposed directors and members or guarantors. We can then help you navigate the incorporation and applicable Companies House requirements.

Already know that a Company Limited by Guarantee is right for your organisation?

Your Organisation Comes First

Designed Around Your Organisation, Not a Generic CLG

A Company Limited by Guarantee should reflect the organisation it is being established to operate. Coddan's formation process allows you to provide your intended objects, directors and members or guarantors so that the incorporation is prepared around your requirements.

Your organisation does not have to fit a pre-defined CLG template.

Tell us what the organisation is being established to do and provide the details of the people or entities who will participate in it. We can incorporate a CLG with one or multiple directors, one or multiple members or guarantors, corporate members or guarantors, or a combination of individual and corporate participants.

1

Your Objects

Provide the specific objects for which the CLG is being established. You can submit them with your application or send them to us separately.

2

Multiple Directors

One director or several directors can be accommodated. The number of directors does not automatically determine which formation package you need.

3

Members & Guarantors

A CLG can have multiple individual members or guarantors, including corporate members or guarantors where appropriate.

4

Mixed Participation

Individual and corporate participants can be combined where your organisation requires that type of membership arrangement.

Your structure does not automatically make the formation more expensive. Coddan does not apply an automatic formation surcharge simply because your CLG has additional directors, multiple members or guarantors, corporate members or guarantors, or mixed individual and corporate participants.

Where your requirements go beyond the core formation service, we can identify the appropriate route.

Specialist professional services can be arranged where required, including bespoke Articles, a legal opinion, an application for exemption from using “Limited” in the company name, or specialist charitable incorporation requirements. These are additional services because they involve additional work — not because your CLG has a more involved membership structure.

Coddan Perspective: The simplest formation is not necessarily the most standardised one. It is the one where the organisation's purpose, participants and required arrangements are understood from the beginning, and the formation process is managed accordingly.

What You Need to Provide

What We Need From You to Establish Your CLG

You do not need to prepare a complicated formation file before contacting us. Once you know what your organisation is intended to do, we can guide you through the information required to establish the Company Limited by Guarantee.

1
Company

Your Proposed Company Name

Provide your proposed CLG name. If you want to use a name that requires an exemption from “Limited”, tell us at the application stage so the appropriate route can be considered.

2
Purpose

Your Organisation's Objects

Tell us what the CLG is being established to do. You can provide your proposed objects during the online application or send them to us separately for consideration.

3
People

Directors & Members

Provide the details of your proposed directors and members or guarantors. Multiple participants, corporate members and mixed individual and corporate arrangements can be accommodated.

4
Address

Your Address Requirements

Decide whether you will provide your own registered office and director service addresses or use Coddan's available address services and digital mail-handling options.

We can discuss the formation before you submit your application.

If you are unsure how your proposed objects should be presented, how your members or guarantors should be arranged, or which address services you require, you can discuss your circumstances with Coddan by telephone, email or video call before proceeding.

Identity verification is handled as part of the wider Companies House process.

The applicable identity-verification requirements depend on the individuals and corporate roles involved. Coddan can help you understand the relevant route and provide professional assistance where required. This applies equally to UK and overseas applicants.

Important: The number of directors or members does not by itself determine the formation package. Additional directors, members or guarantors, corporate participants and your stated company objects are not treated as automatic package upgrades.

Have the basic information ready?

Start Your CLG Formation Application
Flexible CLG Structure

Your Directors, Members and Guarantors — No Artificial Structural Limits

Your Company Limited by Guarantee does not need to be reduced to a one-director, one-member formation simply because that is easier to process. Coddan can accommodate the structure your organisation actually requires.

The people participating in your CLG are part of its structure — not a reason to force you into a different package.

Companies House requires a Company Limited by Guarantee to have at least one member or guarantor. That member or guarantor can also be a director. Where your organisation requires more participants, Coddan can incorporate CLGs with multiple directors and multiple individual or corporate members or guarantors.

1
Directors

One or Multiple Directors

We can incorporate your CLG with one director or multiple directors. Additional directors do not automatically require a higher formation package.

2
Members

Multiple Members or Guarantors

A CLG can have multiple individual members or guarantors. You can provide the required participant details as part of your formation application.

3
Corporate

Corporate Members or Guarantors

Corporate entities can participate as members or guarantors where appropriate. Coddan can assist with the relevant corporate information and KYC requirements.

4
Mixed

Individual + Corporate Participants

Your CLG can accommodate a combination of individual and corporate members or guarantors where that reflects the organisation you are establishing.

More participants do not automatically mean a more expensive formation. Coddan does not apply an automatic surcharge simply because your CLG has additional directors, multiple members or guarantors, corporate members or guarantors, or a mixed membership structure.

Each participant still needs to meet the applicable Companies House and verification requirements.

The flexibility of the formation structure does not remove the underlying legal and identification requirements. Where identity verification, KYC or corporate information is required, Coddan can help you navigate the appropriate process before the incorporation application is submitted.

Coddan Perspective: the right CLG structure is determined by the organisation you are establishing and the people or entities participating in it — not by an arbitrary package limit on the number of directors or members.

Companies House & Identity Verification

Director Identity Verification and the Companies House Formation Process

Company formation and applicable identity verification are connected parts of the Companies House process. Coddan helps you understand what needs to be completed for your proposed directors and other relevant individuals before the incorporation application progresses.

Identity verification is part of the wider Companies House compliance process — it is not a separate product from your formation.

Depending on the circumstances of the individuals involved, the applicable verification route may be completed through the GOV.UK identity-verification route or through an authorised Corporate Service Provider (ACSP). Coddan can help coordinate the appropriate route as part of the wider formation journey.

1
Prepare

Provide Your Formation Details

Provide the company name, objects, registered office arrangements and details of the proposed directors and members or guarantors.

2
Verify

Complete Applicable ID Verification

The relevant individuals complete the applicable Companies House identity-verification route. Coddan can provide professional assistance where the process requires support.

3
Review

Coddan Reviews Your Order

Your order is not treated as an automatic submission. An experienced Coddan team member reviews the information provided for omissions, inconsistencies and obvious errors.

4
Submit

Proceed with Companies House

Once the required information and applicable verification steps are complete, Coddan can submit the incorporation application to Companies House for processing.

What about the Companies House Personal Code?

Where a Personal Code is issued following successful identity verification, it can be required for the relevant Companies House procedures associated with the individual's corporate role. Coddan can help you understand where the code fits into the wider formation and compliance process.

UK or overseas director? The formation service is not divided into separate UK and international packages. Overseas applicants can use the same CLG formation routes, with the applicable identity, identification and KYC requirements considered according to their circumstances.

Coddan Perspective: online formation should not mean automatic submission.

Your formation information is reviewed by an experienced member of our team before submission. Where questions arise about identity verification, directors, members or guarantors, or the information required for incorporation, you can receive professional assistance before the application is progressed.

Ready to combine your CLG formation with the applicable verification process?

Choose Your CLG Formation Package
International Applicants

Non-UK Directors and Overseas Applicants

You do not have to live in the UK to establish a UK Company Limited by Guarantee. Non-UK residents can establish a UK CLG without being UK residents, provided the applicable Companies House requirements are satisfied.

Establishing from Overseas

Establishing a UK CLG from Overseas

You do not generally need a UK residential address, UK visa or UK bank account simply to incorporate the company. Directors must still provide the required residential and service-address information as part of the Companies House registration process.

Verification & Requirements

Identity Verification and UK Company Requirements

Companies House requires directors and, where applicable, PSCs to complete the relevant identity-verification requirements. Overseas applicants can learn more about international director identity verification and the available Companies House verification routes, including verification through an Authorised Corporate Service Provider (ACSP). The company must also have an appropriate registered office address in the same UK jurisdiction in which it is registered, and the required company information must be supplied to Companies House.

Coddan Perspective: Being an overseas founder does not by itself make CLG formation complicated. We can help you understand the information, address arrangements and applicable verification requirements before your incorporation application is submitted.

Before You Order

Before You Start: Three Things to Check

A few simple checks before you order can help make sure your proposed CLG, address arrangements, and identity-verification requirements are ready for the formation process.

1
Address

Do You Have an Appropriate Registered Office?

Your CLG must have an appropriate registered office address in the relevant UK jurisdiction. If you do not already have one, Coddan can provide registered office options as part of Package 2 or as a separate service.

2
Verification

Can Your Directors Complete the Applicable Verification?

Directors must complete the applicable Companies House identity-verification requirements and, where applicable, PSCs also have verification requirements. Overseas applicants may have additional considerations depending on their circumstances and available verification route.

3
Structure

Is a CLG the Right Legal Vehicle?

A Company Limited by Guarantee is designed for particular organisational, membership and governance purposes. If your proposed activities are primarily general commercial trading, a private company limited by shares or another structure may be more appropriate.

Not sure about one of these points? You can discuss your proposed CLG, organisational objects, participants and formation requirements with Coddan before submitting your order.

Choose Your Level of Support

Choose Your CLG Formation & Support Package

Our four formation packages are designed around the level of professional support you want — from straightforward Company Limited by Guarantee incorporation to a continuing relationship with Coddan for your company's registered address, director service address and corporate administration.

Need your CLG formed quickly?

24–48 hour standard formation is normally available once the required information and applicable verification requirements are complete. Guaranteed same-day formation can also be requested where the relevant requirements are completed within the applicable working-day timeframe.

Choose the package that matches the support you need — not the complexity of your organisation.

You can establish a CLG with multiple directors, members or guarantors, corporate participants or your own specific objects without automatically moving into a higher package. The packages differ principally in the additional services and ongoing support you choose.

Package 1

Package 2

Package 4

CLG + Named Secretarial Service

£299.99 + VAT

Add a named Coddan company secretarial relationship for continuing professional support between your company, Companies House and HMRC.

Start with the level of support you need today. You can add further professional services during formation or after incorporation. You do not need to purchase every service at the beginning, and choosing a basic formation package does not prevent you from returning to Coddan later when your organisation's requirements change.

Need something beyond a standard formation package?

Specialist services remain available separately, including guaranteed same-day incorporation, bespoke or substantially customised Articles, a legal opinion, an application for exemption from using “Limited” in the company name, document legalisation, apostille and other post-incorporation services.

Important: The packages are not different types of Company Limited by Guarantee. They are different levels of Coddan's formation and professional support. Your company's objects, number of directors, number of members or guarantors, corporate membership or international participation do not by themselves determine which package you must purchase.

A straightforward CLG does not have to be an expensive CLG.

Choose the formation package that matches the support you actually need. We do not automatically charge more because your CLG has multiple directors, members or guarantors, corporate participants, mixed membership or specific organisational objects. Additional professional services are available separately when they are genuinely required.

Compare the packages and choose the level of support that suits your organisation.

Every package is designed to establish your Company Limited by Guarantee. The difference is the level of address, mail-handling and continuing professional support you choose to have from Coddan.

Your organisation's structure does not determine the package. You can have one or multiple directors, one or multiple members or guarantors, corporate members or guarantors, or mixed individual and corporate participation without automatically moving to a more expensive package. Start with the formation package that fits your circumstances, then add a registered office, director service address, mail handling, Companies House filing, document legalisation, compliance, or secretarial support when you need it.

Package 2 — Registered Office

Package 3 — Director Address

Package 4 — Named Secretary

For organisations wanting a named Coddan company secretarial relationship and a professional bridge between the company, its directors, Companies House and HMRC.

Services available with any package when required.

Additional services do not require you to upgrade your formation package. Depending on your circumstances, these can include Companies House filings and changes, Confirmation Statement preparation and filing, address services, certificates, document notarisation or apostille, company seals or stamps, tax and payroll-related registrations, annual compliance services and other professional corporate services.

Package 4 does not mean “everything included”. The Named Company Secretarial Service is the distinguishing feature of Package 4. It provides an ongoing professional relationship for the company's administration. Individual filings and additional services remain available when required and can be instructed separately.

Straightforward Formation

Why Your CLG Formation Does Not Need to Be Complicated

A Company Limited by Guarantee can have a specific purpose and a carefully considered membership structure without making the formation process unnecessarily difficult. The key is knowing what information is required and having the right professional support behind the application.

Simple for you does not mean automatic for us.

You provide the basic information about your organisation, its proposed name, objects, directors and members or guarantors. Coddan then reviews the information, identifies obvious omissions or inconsistencies and manages the relevant formation process rather than simply passing your order straight through an automated filing system.

1
Tell Us

Start With Your Purpose

You do not need to arrive with a finished legal constitution. Provide the objects for which your organisation is being established and tell us what you want the CLG to achieve.

2
Structure

Provide Your Participants

Give us the details of your proposed directors and members or guarantors. Multiple and corporate participants can be accommodated without turning them into artificial package upgrades.

3
Review

Coddan Checks the Application

Your order is reviewed by an experienced member of our team before submission, helping identify obvious errors, omissions or inconsistencies before the incorporation application is sent to Companies House.

4
Support

Ask Questions When You Need To

UK and international clients can receive personal assistance by telephone, email or video call when questions arise during formation, verification or the post-incorporation process.

Straightforward does not have to mean slow.

Once we have received the required information and the applicable identity-verification requirements have been completed, we can normally arrange your CLG incorporation within 24–48 hours. If timing is critical, a guaranteed same-day formation service is also available for an additional fee, subject to the application being complete and the relevant requirements being satisfied within the applicable working-day timeframe.

Professional support is available without forcing you into a higher package.

An initial discussion about your proposed objects, directors, members or guarantors is part of the formation relationship. Additional professional services are available when genuinely required, but the existence of a more involved organisational structure does not automatically make the basic formation more expensive.

Coddan Perspective:

The objective is not to make your organisation look “simple” on paper. It is to make the process of establishing the organisation straightforward for you while ensuring that the information behind the incorporation is properly understood and professionally handled.
More than 180,000 CLG companies formed since 2005. Coddan has supported entrepreneurs, organisations and businesses with UK company formation and corporate administration for more than two decades, combining online filing technology with professional review and practical guidance.

Address & Mail Management

Registered Office, Director Address & Digital Mail Handling

Your company's official address arrangements can be part of the formation from the beginning. Choose the level of address and correspondence support that fits your organisation, with professional London address options and digital access to scanned correspondence where included.

A registered office does not have to mean simply placing your organisation at a shared address.

Coddan provides a choice of registered office and director service address arrangements, including London options and other locations where available. Depending on your requirements and budget, more specific or distinctive address arrangements can also be considered.

1
Company Address

Registered Office Address

Choose a Coddan registered office address for your CLG, including available London, Manchester, Birmingham, Aldershot, Edinburgh or Belfast options.

2
Director

Director Service Address

Add a professional director service address where you do not want to use a private residential address for the relevant Companies House public record.

3
Digital Access

Mail Scanning & Manager Portal

Packages 2 and 3 include free mail scanning with scanned correspondence uploaded to your Dedicated Manager Portal for convenient digital access.

Choose the address arrangement that fits your organisation.

You can use your own suitable address arrangements or select Coddan's professional address services. Where your requirements call for a particular location or a more distinctive business address, discuss the available arrangements with us before ordering.

What happens to correspondence?

Where mail scanning is included, incoming correspondence can be processed by the Coddan team and scanned copies made available through your Dedicated Manager Portal. This gives you a practical way to access important correspondence without relying entirely on physical mail forwarding.

Package connection: Package 1 is designed for clients who already have suitable address arrangements. Package 2 adds a Coddan registered office with free mail scanning and Manager Portal access. Package 3 adds the director service address while retaining the registered office and digital mail-handling benefits.

Coddan Perspective: your address is part of your company's practical infrastructure.

The right address arrangement can help separate company correspondence from personal premises and make the day-to-day administration of the CLG easier. You can start with the arrangements you need now and add further address or mail-handling services later if your circumstances change.

Specialist Formation Routes

Specialist CLG Requirements We Can Handle

Most Company Limited by Guarantee formations can follow our straightforward formation route. Some organisations, however, need an additional professional step because of their intended objects, proposed name or constitutional requirements. We can discuss these requirements before incorporation and identify the appropriate route.

Specialist does not mean impossible — it means the formation requires something beyond the core service.

The additional work is identified separately rather than being hidden inside an unnecessarily expensive formation package. Your basic CLG structure, number of directors or members, corporate participation and stated objects do not automatically make your formation a specialist case.

1
Priority

Guaranteed Same-Day Formation

If your organisation needs to be incorporated urgently, we can arrange a guaranteed same-day formation service for an additional fee. The application must be complete, the required information supplied and all applicable identity-verification requirements completed within the relevant working-day timeframe.

2
Constitution

Bespoke or Customised Articles

If your organisation requires substantially customised constitutional provisions or specialist governance arrangements beyond the normal formation route, we can discuss a separate bespoke Articles service.

3
Legal

Legal Opinion or Specialist Review

Where you require a formal legal opinion or specialist review of a proposed structure, objects or constitutional arrangement, this can be considered as a separate professional service.

4
Company Name

Exemption from Using “Limited”

Certain CLGs may qualify to omit “Limited” from the company name where the statutory requirements are met. We can handle the additional application process for a separate fee.

Intending to establish a charitable company?

A charitable company follows a different route from an ordinary CLG formation. Where charitable status is intended, the proposed organisation and its objects need to be considered through the appropriate Charity Commission process before the company is incorporated. Once the required approval or documentation is available, the Companies House incorporation can proceed using the appropriate supporting documentation.

Property or community management CLG?

Property and community management organisations can require a more specific constitutional approach. Coddan can discuss the property, management purpose and proposed objects with you and use the appropriate formation route and Articles for the intended organisation.

What does not automatically make your CLG specialist?

Having multiple directors, multiple members or guarantors, a corporate member or guarantor, mixed individual and corporate participation, overseas directors or members, or specific organisational objects does not by itself require a bespoke package. These arrangements can be accommodated within the normal formation service where no additional specialist work is required.

Transparent additional services. If your formation requires specialist work, we identify that requirement separately rather than using it as a reason to move you into a more expensive standard package. You can discuss the requirement with us before placing the order.

Coddan Perspective: a straightforward CLG should remain straightforward. Where something genuinely requires additional professional work, we would rather identify it clearly at the beginning than hide it behind a generic “premium formation” package.

Have a specialist requirement for your CLG?

Discuss Your CLG Requirements
After Incorporation

What Happens After Your CLG Is Incorporated

Incorporation is the beginning of your organisation's corporate life — not the end of the service. Once Companies House has registered your CLG, there are practical responsibilities, statutory deadlines and possible changes to manage as the organisation develops.

You can start with the formation service you need today and add professional support when you need it.

Coddan can continue assisting with Companies House administration, statutory filings, company changes, registered office arrangements, director service addresses and company secretarial support after incorporation. You are not required to purchase every service at the formation stage.

Your CLG will have continuing Companies House obligations. If you want Coddan to handle the Confirmation Statement, you can instruct us to prepare and file it on your behalf.

3
Changes

Changes to Your Organisation

Directors, members, guarantors, company addresses and other corporate details can change. Coddan can assist with the relevant filing and administrative process when required.

4
Continuing Support

Company Secretarial Assistance

You can use individual filing services when needed or establish an ongoing named secretarial relationship with Coddan for continuing professional support.

We can help you keep track of what happens after incorporation.

Depending on the level of support you choose, Coddan can assist with monitoring your company's administrative requirements, providing reminders and helping you understand when a filing, company change or other corporate action may be required.

Additional professional services remain available after incorporation.

Depending on your organisation's needs, these may include Confirmation Statement filing, Companies House changes, certificates, document legalisation and apostille, registered office and director service address arrangements, annual compliance support, tax and payroll registrations, and other corporate administration services.

Want Coddan to remain involved?

Our Named Company Secretarial Service is designed for organisations that want an ongoing professional relationship rather than a one-off filing provider. Coddan can act as a practical bridge between the company and its directors and the relevant Companies House and HMRC administrative processes. Individual filings, including a Confirmation Statement, remain separately instructed when required.

Your support level can change with your organisation. You can begin with the basic CLG formation and return to Coddan later for address services, statutory filings, annual compliance or continuing company secretarial support. Your original formation package does not lock you into a particular level of service.

Coddan Perspective: establishing your CLG is only the first corporate milestone. The real value of professional support is having somewhere to turn when the organisation needs to make changes, meet Companies House requirements or manage its ongoing administration.

Establish your CLG today — and keep professional support available for tomorrow.

Beyond Incorporation

Coddan as Your Continuing Corporate Services Partner

Establishing your Company Limited by Guarantee is only the beginning. As your organisation develops, Coddan can remain available to assist with the practical corporate administration, Companies House procedures and professional services that may arise throughout the life of your company.

You do not have to find a new provider every time your CLG needs something.

The same professional relationship can continue from incorporation into the company's ongoing administration. You can instruct Coddan for an individual requirement when it arises, or establish a more comprehensive ongoing relationship if your organisation needs continuing support.

1
Companies House

Corporate Changes & Filings

When your CLG changes its directors, members, guarantors, addresses or other registered details, Coddan can assist with the relevant Companies House procedures.

2
Compliance

Ongoing Corporate Compliance

We can assist with the continuing administrative cycle of your CLG, including reminders, statutory requirements and Confirmation Statement preparation and filing when specifically instructed.

3
Corporate Services

Practical Services as You Grow

Registered office arrangements, director service addresses, certificates, document legalisation, apostille and other corporate services can be added when your organisation needs them.

4
Named Support

Continuing Secretarial Relationship

Where you want an ongoing professional point of contact, our Named Company Secretarial Service can provide a continuing bridge between your organisation, its directors, Companies House and HMRC.

Use only the services you need. Your relationship with Coddan does not have to begin with a comprehensive compliance package. You can start with formation, request individual services as circumstances arise and increase the level of support later if the organisation becomes more active or its administration becomes more demanding.

One relationship can cover different stages of your organisation's corporate life.

Your requirements may change after incorporation. You may appoint or resign directors, change members or guarantors, move your registered office, require new certificates, alter your corporate arrangements or need assistance with statutory filings. Coddan can provide the relevant service when required rather than treating incorporation as the end of the relationship.

Professional support without unnecessary commitment. A continuing relationship does not mean every service is automatically included. Individual filings and specialist services are instructed when required, while the Named Company Secretarial Service is available for organisations that want Coddan to remain more closely involved in their ongoing corporate administration.

Coddan Perspective: choosing a professional formation provider should not mean starting again with a different provider every time your organisation changes. We can help establish your CLG, support its administration and remain available as its corporate requirements evolve.

Establish your CLG with a professional relationship that can continue beyond incorporation.

Additional Professional Services

Additional Services Available During or After Formation

Your CLG formation package provides the core incorporation service and the level of support you select. Other professional services can be added when required — either during the formation process or later as your organisation develops.

You do not need to buy everything at the beginning.

Start with the formation and support you actually need. If your organisation later requires a registered office, additional Companies House filing, document legalisation, annual compliance support or another corporate service, you can instruct Coddan when the requirement arises.

1
Corporate Addresses

Address & Mail Services

Add a registered office, director or member service address, mail forwarding, mail scanning or other correspondence-handling arrangements when your organisation requires them.

2
Companies House

Filing & Company Changes

We can assist with relevant Companies House filings and corporate changes, including director, member, guarantor, address and other statutory updates as required.

3
Documents

Certificates & Legalisation

Request certificates, company documents, notarisation, apostille or other document legalisation services where your CLG needs formal corporate documentation for UK or international use.

4
Ongoing Support

Compliance & Secretarial Services

Add Confirmation Statement filing, annual compliance support, company secretarial assistance, statutory monitoring or a named secretarial relationship as your organisation develops.

Business administration services can also be arranged where appropriate.

Depending on your circumstances, additional support can include corporation tax administration, payroll registration, registration of company directors for Self Assessment and other related corporate or tax administration services.

Specialist formation services remain available separately.

If you require a guaranteed same-day incorporation, substantially customised or bespoke Articles, a legal opinion, or an application for exemption from using “Limited” in the company name, these can be discussed and arranged as separate professional services.

Additional service does not mean mandatory package upgrade. You can request an individual service regardless of which CLG formation package you originally selected. The purpose of the four packages is to make the main formation and support choices clear — not to restrict access to the wider Coddan corporate services range.

During formation or later — the choice is yours. Some services make sense to arrange at incorporation, while others only become relevant once your CLG is operating. We can provide the appropriate service when you need it rather than asking you to pay for future requirements in advance.

Coddan Perspective: a well-designed CLG formation service gives you a clear starting point without putting unnecessary limits on what you can ask us to handle later. Establish the organisation first, then build the professional support around its actual needs.

Discuss Your Requirements

What happens after you place your order?

Your order is not simply sent automatically to Companies House. An experienced Coddan team member reviews the information provided, checks for obvious omissions or inconsistencies and helps identify anything that needs clarification before submission. This professional review is designed to keep the process moving efficiently, rather than sacrificing accuracy for speed.

Personal support is available throughout the process.

UK and international clients can receive assistance by telephone, email or video call during formation, applicable identity verification and post-incorporation administration. If your organisation later requires additional corporate services, you can return to Coddan without having to start the relationship again.
