Is CharityReg Northern Ireland the right formation route?

Choose this package when you need a company limited by guarantee and Northern Ireland charity-registration support. Tell Coddan about your proposed purposes, existing documents and any contact with CCNI. If a company already exists, ask about the work needed before ordering another formation.

✓ Northern Ireland company route ✓ Your existing position considered ✓ Ask before ordering

CCNI preparation and the available charity-registration stage

Coddan prepares the agreed charity-registration information and supporting documents and assists with submission at the stage available under CCNI arrangements. Tell your manager about any Expression of Intent, invitation or existing application. Check the current application stage and your deadline before relying on a submission date; CCNI decides charity registration.

✓ Application preparation ✓ Existing CCNI contact considered ✓ Submission stage checked

Checks, Northern Ireland addresses and additional services

Your personal manager explains the applicable AML customer checks and separate Companies House identity-verification requirements. Supply a suitable Northern Ireland registered office or separately arrange an address service. Paid checks, addresses and additional services are not automatically included in the £895 package price; discuss the work and charges before ordering.

✓ Applicable checks explained ✓ Northern Ireland address requirements ✓ Additional services agreed separately

Companies House normally processes a straightforward standard software application within 24 hours after submission; complex or particular routes can take longer. This does not determine a charity-registration date.

Normal personal-manager help comes with every formation order during working hours. Paid priority handling is separate. Charity registration and HMRC tax recognition are separate matters; tax work is not automatically included.

Need a Northern Ireland registered office, additional documents or continuing administration? Discuss the work with Coddan before ordering. These services have their own agreed scope and charges; a written service agreement is available for formation and separately agreed additional services.

Is CharityReg Northern Ireland right for your charitable company formation?

What does company formation and Northern Ireland charity-registration assistance include?

CharityReg Northern Ireland is for forming a charitable company limited by guarantee and preparing for the separate Charity Commission for Northern Ireland (CCNI) process. Companies House incorporation creates the company. CCNI separately decides charity registration; a company number does not establish that registration.

Your personal manager helps clarify the information needed. Coddan prepares and reviews the agreed company documents and submits the incorporation application after your approval and applicable checks. We also prepare the agreed Northern Ireland charity-registration information and supporting documents and assist with submission when the applicable CCNI arrangements allow it. You supply accurate organisational facts and the necessary decisions and approvals.

Preparation and the opportunity to submit a charity application are different stages. Discuss the current CCNI position and any deadline before relying on a submission date.

If the company already exists, explain its current documents and registration history. You may need preparation or application support without forming a second company.

What Coddan prepares for incorporation and CCNI charity registration

Coddan reviews the proposed structure and supplied charitable-purpose information, prepares the agreed company documents and helps assemble the relevant Northern Ireland application material.

What are an Expression of Intent and CCNI call-forward?

An Expression of Intent tells CCNI about an organisation seeking charity registration and provides contact details for its call-forward process. It is not the charity-registration application. Call-forward is CCNI's invitation to apply at the available stage, not a decision to register the charity.

Preparing purposes, governing documents and supporting information beforehand helps the organisation get ready to apply. Coddan prepares the agreed material and assists with the applicable submission within the accepted instruction. Tell your manager about any existing Expression of Intent, invitation, application, CCNI request or deadline so the current position can be checked before a competing application is started. Do not assume that submitting an Expression of Intent is included unless expressly agreed. CCNI decides the application; no invitation, priority treatment or registration date is promised.

CCNI currently reports a temporary pause in invitations during its online-systems upgrade. Check its current arrangements with Coddan before relying on a submission date. Preparation can progress, but no immediate application submission or charity-registration date is promised.

Northern Ireland registered office, articles and charity-governance arrangements

What is a Northern Ireland registered office, and is it included?

A registered office is the company's official address for receiving communications and notices. A company incorporated in Northern Ireland must have an appropriate registered office in Northern Ireland, and the address appears on the public company register. It is distinct from an individual director's service address and does not itself establish charity registration.

Supply a suitable Northern Ireland registered office or ask Coddan about a separately arranged address service before incorporation. CharityReg Northern Ireland does not automatically include a registered office, individual service address, mail forwarding or continuing address subscription. Your personal manager can clarify the suitable service, scope and separate charges.

What are charitable purposes and public benefit?

Charitable purposes state what the organisation exists to achieve. In Northern Ireland, its purposes must be exclusively charitable: each must fall within the legal descriptions of charitable purpose and be for the public benefit. Public benefit concerns the benefit to the public from carrying out those purposes. Being non-profit or incorporating a company is not enough by itself.

Explain the intended activities, who will benefit and how the organisation will operate. Coddan uses your facts and approved arrangements to prepare the agreed Northern Ireland application information and supporting documents. The founders approve the purposes and governing arrangements; proposed trustees provide the information and decisions relevant to their responsibilities. CCNI assesses charity registration independently.

What are the governing document and articles of association?

A governing document is the organisation's rulebook: it sets out its purposes, how it is run and how decisions are made. For a charitable company, the articles of association are its governing document. They address matters such as membership, director and trustee appointments, decision-making and the use of assets.

Give Coddan any existing constitution, draft articles or adviser-prepared documents and explain the arrangements the founders want to approve. Coddan prepares the agreed company documents within the accepted formation instruction and the agreed supporting charity-registration material. Further drafting or changes outside that instruction require separate agreement.

How do charity trustees, company directors and guarantor-members differ?

Charity trustees are responsible for the charity's overall control and management. In a charitable company, its directors also act as charity trustees and have company-law duties. Guarantor-members hold membership rights under the articles and company law and undertake the stated guarantee. A person may hold both capacities, but membership alone does not make that person a director or charity trustee.

Tell Coddan the proposed roles and who may approve the work. An organiser may coordinate information without authority to decide for every founder, and payment alone does not confer that authority. Eligibility must be checked for the actual director and trustee appointments; PSC status depends on the control arrangements and is separate.

Company incorporation, CCNI registration and HMRC recognition remain separate matters. A company number or tax reference does not replace a CCNI registration decision.

CCNI registration guidance

What CharityReg Northern Ireland includes

  • Company limited by guarantee formation, memorandum/articles and core incorporation documentation within the accepted service.
  • Professional pre-submission review, approval and Companies House incorporation submission.
  • Essential preparation of Northern Ireland charity-registration information and supporting documents within the accepted service.
  • Professional assistance with the applicable CCNI submission, following its arrangements and the accepted instruction.
  • The £100 Companies House incorporation fee within the recorded package price.
  • Digital PDF copies of the certificate of incorporation, memorandum and articles after successful company registration.
  • Applicable Companies House identity-verification guidance, distinct from paid verification.
  • Normal personal-manager assistance during formation and an initial email, telephone or video consultation.

The service accommodates individual or corporate guarantor-members where applicable. Directors, trustees, members and PSCs have different roles; the actual structure and eligibility requirements must be checked rather than assuming one role satisfies another.

Digital company documents and separately agreed services

Paid checks, registered-office and individual address services, physical forwarding, printed or authenticated sets, further drafting, priority handling, HMRC recognition, accounts and continuing administration are separate unless expressly selected or agreed.

What do the digital incorporation documents establish?

After successful incorporation, the included digital PDFs comprise the certificate of incorporation, memorandum and articles of association. The certificate confirms the company's legal existence and incorporation details; the memorandum records the subscribers' agreement to form it; the articles set its governing rules. These company documents do not establish CCNI charity registration or HMRC charity recognition.

Keep the digital set for the company's records and tell your personal manager about any particular document request. Membership certificates, minutes, prepared registers, printed or authenticated sets, notarisation and apostille are not automatically included. Coddan can identify the relevant purpose, format, available work and separate charges.

Company formation and Northern Ireland charity-registration assistance do not automatically enrol the company in an annual address or secretarial subscription. No future filing, renewal or new project is included merely because it concerns the same organisation.

CharityReg Northern Ireland price, VAT and identity-check charges

The recorded package charge is £895 + VAT, including the £100 Companies House incorporation fee. A package price is different from the selected order total: checks and other selected work can add charges. Additional work and charges are agreed before that work proceeds.

VAT is added on Coddan services through UK-resident online order forms; non-UK-resident forms do not add VAT. If applying from overseas, explain the applicant location and intended company jurisdiction so the appropriate order route can be identified.

The separate checks service costs £30 per person. If the individual already has a Companies House Personal Code, it covers KYC. Without a Personal Code, the same £30 covers KYC and relevant Companies House identity verification, including Coddan’s associated confirmation submission. The processes remain distinct; there is no second £30 for the combined checks.

How do AML customer checks differ from Companies House identity verification?

AML customer checks are Coddan's customer due diligence for its anti-money-laundering obligations. Companies House identity verification is a separate process for individuals in relevant company roles, such as directors and PSCs. Being a guarantor-member or charity trustee alone does not make every person subject to that company-role verification. The required checks depend on the actual roles and status.

Accepted existing Companies House verification and the free official route remain available; they do not replace Coddan's AML checks. If Coddan carries out Companies House verification, we review the evidence and submit the ACSP confirmation when satisfied; Companies House issues the individual's Personal Code. Verification and the code's use for a company role are separate steps. Follow the secure process for identity evidence and confidential codes.

Online instruction · Professional preparation · Company incorporation and Northern Ireland charity registration

How your company formation and CCNI charity application progress

Give accurate instructions and agree the organisation’s decisions. Coddan clarifies, prepares and reviews the accepted work; company incorporation and charity registration have separate outcomes.

A practical online instruction

  • About 5–10 minutes to enter straightforward details with information ready; checks, document preparation and approvals can take longer.
  • Personal-manager assistance with the accepted instruction, questions and next steps.
  • Included digital PDF certificate, memorandum and articles after successful company incorporation.
  • £100 official incorporation fee included within the recorded package price.

From instructions to the relevant applications

  1. Confirm the Northern Ireland route and tell Coddan about existing company or CCNI contact, application status and deadlines.
  2. Provide accurate company information, an appropriate registered office, proposed purposes, participants and governing arrangements; complete applicable checks.
  3. Coddan prepares and reviews the agreed incorporation documents, obtains approval and submits the ready application to Companies House.
  4. After incorporation, keep the digital company documents and work with Coddan on the relevant CCNI information and supporting material.
  5. Progress the accepted CCNI instruction at the stage available under its arrangements. Regulator questions require accurate information from the organisation; CCNI independently decides registration.

Keep your contact available for questions and approvals. Tell Coddan about a funder or launch deadline before relying on an outcome date. No company or charity-registration date is guaranteed.

Questions before ordering Northern Ireland charitable company formation

Can I rely on immediate CCNI submission?

No. Discuss the stage available and any existing regulator contact with Coddan before relying on an application date.

Can company preparation proceed while the charity stage is delayed?

Company and application preparation can be considered within the accepted instruction. The company incorporation and charity-regulator stages have different requirements and timing.

Does the company certificate make us a registered charity?

No. Companies House registration and CCNI registration have separate decisions and identifiers.

What if CCNI has already contacted us?

Tell Coddan what has been received and the application position so the relevant preparation or response can be identified. Use the secure route for confidential access details.

Are printed documents and tax services included?

The stated incorporation documents are digital PDFs. Printed or authenticated sets, HMRC work and ongoing administration are separate unless expressly selected or agreed.

Do I need to work out the technical service before asking?

No. Describe the organisation, the documents or regulator request and the deadline. Coddan can identify suitable work and charges without an enquiry committing you to an order.
