Companies House normally processes a straightforward standard software application within 24 hours after submission; complex or particular routes can take longer. This does not determine a charity-registration date.

Normal personal-manager help comes with every formation order during working hours. Paid priority handling is separate. Charity registration and HMRC tax recognition are separate matters; tax work is not automatically included.

When CharityReg Professional™ fits

What does broader preparation mean for CharityReg Professional?

Starting a charity doesn't have to be complicated. Coddan CPM Ltd's Charity Company Package takes the guesswork out of fully compliant charity registration, guiding you through the key stages of setting up a new charitable company in England and Wales—from incorporation at Companies House to applying with the Charity Commission. The package includes a prestigious Central London address for your company's registered office and directors' service address, meeting the legal requirement for a real, physical UK location on public records. Whether you're ready to set up a charitable company or just figuring out where to begin, this straightforward package keeps everything above board, on time, and properly filed—so you can focus on the cause that matters most.

Broader preparation means helping bring together the charitable purposes, governing arrangements and supporting application information that are not yet sufficiently developed for the proposed England and Wales charitable company. Professional suits founders who need more help developing that material than the substantially prepared plans suited to Essential.

Explain the proposed activities, beneficiaries, decisions already made and matters still open. Coddan helps clarify requirements and prepares the agreed company and charity-registration material. The founders retain their decisions and approve the documents; Coddan handles the accepted Charity Commission instruction through to its decision.

Professional is not a different standard of legal compliance. Essential also includes preparation, review and personal-manager help. Choose the work needed for your circumstances, or describe what remains undecided before ordering.

Charitable company incorporation and charity registration with CharityReg Professional

Arrange your charitable company formation in England and Wales with help preparing its purposes, governing arrangements and application information. Coddan prepares and reviews the agreed company application for your approval, handles its submission to Companies House and supports the accepted Charity Commission application through to its decision.

Preparing your charitable company incorporation application

Tell us what the organisation will do, who it will benefit and who its proposed directors and guarantor-members will be. Your personal manager helps clarify the information needed. Coddan helps develop the agreed purposes and governing arrangements, prepares the company documents and reviews the application before you approve it.

Company registration with Companies House

After your approval and completion of the applicable checks, Coddan submits the agreed incorporation application to Companies House. Companies House decides whether to incorporate the company. Successful incorporation creates the company and gives it a company number; it does not establish Charity Commission registration.

Digital documents after company incorporation

After successful incorporation, you receive the included certificate of incorporation, memorandum and articles of association as digital PDFs. These record the company’s incorporation and governing arrangements. Your personal manager can help identify any separately agreed printed, authenticated or additional company documents you need.

Charity registration with the Charity Commission

Coddan prepares the required Charity Commission application forms and supporting information within the accepted instruction. We deal with the Commission’s correspondence and help prepare answers to its application questions through to its decision. You provide accurate organisational facts and the necessary decisions and approvals. The Commission decides whether to register the charity.

Required forms, preparation and regulator correspondence

What does charitable company incorporation and charity-registration assistance include?

Company incorporation creates the company at Companies House. Charity registration is a separate Charity Commission process, subject to its registration requirements. CharityReg Professional combines preparation of the charitable company limited by guarantee application with assistance on the accepted charity-registration instruction; it is not a CIO formation service.

Coddan clarifies the proposed purposes, activities and governing arrangements, prepares and reviews the agreed company documents, obtains approval and handles the agreed Companies House submission. We prepare the required Charity Commission application forms and supporting information, deal with its correspondence and answer its application questions through the accepted instruction to its decision. Keep the nominated contact available to provide accurate facts, founder decisions and approvals. Each authority decides its own application; purchasing assistance does not guarantee either outcome.

Tell Coddan if the charitable project itself changes or if you need a different instruction, appeal or specialist work. We confirm the work and any additional charges before proceeding rather than treating every new requirement as an automatic inclusion.

Make the governing arrangements workable before submission

What are charitable objects and articles of association?

Charitable objects state what the charity is set up to achieve; its purposes must be charitable and for the public benefit. Articles of association are the charitable company's governing rules, including how its members and directors take decisions. The objects form part of those articles.

Describe the intended activities and beneficiaries, who may become a member, how directors or trustees will be appointed and how important decisions will be made. Give Coddan any existing constitution, draft articles or adviser-prepared documents so we can identify the preparation needed and prepare the agreed material for approval.

How do charity trustees, company directors and guarantor-members differ?

In a charitable company, its directors are also its charity trustees: they govern the charity and have duties under both company and charity law. Guarantor-members hold membership rights under the articles and company law and undertake the company's stated guarantee. The same person may hold both capacities, but membership alone does not make someone a director or trustee.

Tell Coddan the intended roles and who may approve the purposes, governing arrangements and submission. An organiser may coordinate information without authority to decide for every founder, and paying for the order does not itself give that authority. PSC status depends on the actual control arrangements and must be considered separately.

If a charitable company already exists, its application or documents may need work rather than another incorporation. Explain the existing company number and regulator history before choosing a new-formation order.

Charitable-company guidance

What the package includes

  • Company limited by guarantee formation, memorandum/articles and core incorporation documentation within the accepted service.
  • Professional review of the proposed structure and formation information, approval and Companies House submission.
  • Preparation of required charity-application forms and relevant supporting information, with consideration of purposes, objects and governance within scope.
  • Dealings with the Charity Commission and answers to its application questions through the accepted instruction to its decision.
  • The £100 Companies House incorporation fee within the recorded package price.
  • Digital PDF copies of the certificate of incorporation, memorandum and articles after successful company registration.
  • Applicable Companies House identity-verification guidance, distinct from paid verification.
  • Normal personal-manager assistance during formation and an initial email, telephone or video consultation.

The service accommodates individual or corporate guarantor-members where applicable. Directors, trustees, members and PSCs have different roles; the actual structure and eligibility requirements must be checked rather than assuming one role satisfies another.

Documents, addresses and work outside the base offer

Paid checks, registered-office and individual address services, physical forwarding, printed or authenticated sets, further drafting, priority handling, HMRC recognition, accounts and continuing administration are separate unless expressly selected or agreed.

What do the digital incorporation documents establish?

After successful incorporation, the included digital PDFs comprise the certificate of incorporation, memorandum and articles of association. The certificate confirms the company's legal existence and incorporation details; the memorandum records the subscribers' agreement to form it; the articles set its governing rules. These documents do not establish Charity Commission registration or HMRC charity recognition.

Keep the digital set for the company's records and tell your personal manager about any particular document request. It does not automatically include membership certificates, minutes, prepared registers, printed or authenticated sets, notarisation or apostille. Coddan can identify the relevant purpose, format, available work and separate charges.

Formation and registration support do not automatically enrol the company in an annual address or secretarial subscription. No future filing, renewal or new project is included merely because it concerns the same organisation.

Recorded price and separately selected checks

The recorded package charge is £795 + VAT, including the £100 Companies House incorporation fee. A package price is different from the selected order total: checks and other selected work can add charges. Additional work and charges are agreed before that work proceeds.

VAT is added on Coddan services through UK-resident online order forms; non-UK-resident forms do not add VAT. If applying from overseas, explain the applicant location and intended company jurisdiction so the appropriate order route can be identified.

The separate checks service costs £30 per person. If the individual already has a Companies House Personal Code, it covers KYC. Without a Personal Code, the same £30 covers KYC and relevant Companies House identity verification, including Coddan’s associated confirmation submission. The processes remain distinct; there is no second £30 for the combined checks.

How do AML customer checks differ from Companies House identity verification?

AML customer checks are Coddan's customer due diligence for its anti-money-laundering obligations. Companies House identity verification is a separate process for individuals in relevant company roles, such as directors and PSCs. Being a CLG guarantor-member alone does not make every member subject to that verification. The required checks depend on the actual roles and status.

Accepted existing Companies House verification and the free official route remain available; they do not replace Coddan's AML checks. If Coddan carries out Companies House verification, we review the evidence and submit the ACSP confirmation when satisfied; Companies House issues the individual's Personal Code. Verification, the code and its use for the relevant company role remain separate steps. Follow the secure process for identity evidence and confidential codes.

Questions before ordering

What does Professional add beyond Essential?

Broader preparation of purposes, governance and application information, required Charity Commission forms and dealings with the Commission, including answers to its questions. Essential still includes its stated preparation, review and manager help.

Do we need to draft all the forms ourselves?

No. You provide the accurate organisational facts and make the relevant decisions. Coddan prepares the required forms within the accepted instruction and helps clarify questions.

Does start-to-finish support guarantee registration?

No. Coddan handles the accepted application work; the Charity Commission independently decides whether to register the organisation.

What if we already have a company?

Tell Coddan its current position. You may need registration preparation, document work or a different instruction rather than another formation.

Are printed documents and tax services included?

The stated incorporation documents are digital PDFs. Printed or authenticated sets, HMRC work and ongoing administration are separate unless expressly selected or agreed.

Do I need to work out the technical service before asking?

No. Describe the organisation, the documents or regulator request and the deadline. Coddan can identify suitable work and charges without an enquiry committing you to an order.

Choose the service or discuss your organisation first

Ready to proceed? Start the order for the route and work described here. If you have existing documents, an undecided arrangement or a regulator request, explain it before ordering. An enquiry does not commit you to a purchase.
