From your instructions to company incorporation and charity-registration assistance

  1. Choose Essential and give your proposed company details
Start the online order if the England and Wales route and preparation scope fit. Tell us the proposed charitable purposes, activities, beneficiaries and participants, and about any existing documents. Ask before ordering if a company already exists or broader preparation is needed.
  2. Coddan prepares and reviews the incorporation application
Your personal manager helps clarify outstanding information. Coddan prepares the agreed company documents and reviews the application. The appropriate founders approve their arrangements, and applicable checks are completed before submission.

Is CharityReg Essential right for your charitable company formation?

What does “substantially prepared” mean for CharityReg Essential?

For CharityReg Essential, substantially prepared means you can explain the proposed charitable purposes, who will benefit, the intended company structure and the core information about those involved. You do not need to arrive with perfect articles or a completed incorporation application: Coddan clarifies the supplied information and prepares and reviews the agreed company documents for your approval. Tell us about existing activities, funds, property, contracts or governing documents before ordering, so we can confirm whether Essential fits the work you need.

Starting a charitable company doesn’t have to feel like navigating a legal maze. Coddan CPM Ltd’s Basic Charity Company Incorporation package streamlines the key stages of setting up a new charitable company in England and Wales—registering your Private Company Limited by Guarantee with Companies House efficiently and correctly from the outset. The CharityReg Essential™ package starts at £495 + VAT, offering a straightforward entry point for those who want to set up a charitable company with confidence. Where required, guidance is also available towards Charity Commission, OSCR, or Charity Commission for Northern Ireland registration — the separate step needed to unlock HMRC reliefs like Gift Aid. For organisations ready to do real good, this Charity Company Package lays the proper legal groundwork.

You do not have to prepare and submit the company application without help. Coddan reviews the supplied facts, prepares the accepted company documents and supports the agreed charity-registration preparation. The founders make the organisation’s decisions and approve the documents.

If the purposes, membership or governing arrangements need broader preparation, discuss CharityReg Professional or explain what remains undecided. If a company already exists, ask about the work it needs rather than automatically ordering incorporation again.

What CharityReg Essential includes for formation and charity-registration assistance

What is included in charitable company incorporation and charity-registration assistance?

CharityReg Essential combines preparation and review of the agreed company documents and incorporation application with essential preparation of charity-registration information and supporting documents, and assistance with the applicable Charity Commission submission. You provide the organisation’s information and approve the prepared work. Companies House decides company incorporation; the Charity Commission makes the separate charity-registration decision. The inclusion list below identifies the package work, and your personal manager helps clarify the accepted instruction.

  • Company limited by guarantee formation and Companies House incorporation submission.
  • The £100 Companies House incorporation fee within the recorded £495 + VAT package price.
  • Preparation of the memorandum, articles and core formation documentation within the accepted service.
  • Consideration of the supplied charitable purposes and company objects within that formation and registration-support scope.
  • Professional pre-submission review of the formation information, clarification of questions and agreed submission.
  • Essential preparation of relevant charity-registration information and supporting documents, with assistance for the applicable submission within the accepted service.
  • Digital incorporation documents after successful registration: the certificate of incorporation, memorandum and articles.
  • Applicable Companies House identity-verification guidance, distinct from buying a paid checking service.
  • Normal formation assistance from a personal manager, with an initial email, telephone or video consultation available.

How do charity trustees, company directors and guarantor-members differ?

The directors of a charitable company are its charity trustees, responsible for directing and overseeing the charity. Guarantor-members exercise the membership rights set out in the articles and undertake the stated guarantee. A person may hold both roles, but the responsibilities remain distinct. Individual or corporate guarantor-members can be accommodated where applicable; the proposed directors, trustees, members and any PSCs must fit the actual organisation and relevant requirements. Tell Coddan who will be involved so we can clarify the information and approvals needed.

Which services are separate from CharityReg Essential formation?

Paid per-person checks, registered-office and individual address services, physical forwarding, printed or authenticated document sets, further drafting, paid priority handling, HMRC recognition, accounts and continuing administration are outside the base service unless expressly selected or agreed.

Membership certificates, initial minutes and prepared registers are not automatically part of the digital incorporation set. Tell Coddan what you need and how it will be used before ordering additional documents. Printing, an official certified copy, notarisation and apostille are different requirements.

An initial charity-registration instruction is different from ongoing company or charity administration. A later filing or change is not included simply because it concerns the same organisation.

CharityReg Essential formation price, VAT and separately charged checks

Recorded package charge: £495 + VAT, including the £100 Companies House incorporation fee. Separately selected checks and other work can change the amount payable for your order. Additional work and charges are agreed before that work proceeds.

UK-resident online order forms add VAT; non-UK-resident order forms do not add VAT. If you are applying from overseas, explain your location and the intended England and Wales company route before choosing a form if anything is unclear.

The separate checks service costs £30 per person. Where the individual already has a Companies House Personal Code, this covers KYC. Where they do not, the same £30 covers KYC and relevant Companies House identity verification, including Coddan’s associated confirmation submission. These are distinct processes, without a second £30 charge for the combined checks.

How do AML customer checks differ from Companies House identity verification?

AML customer checks are Coddan’s customer due-diligence checks for its service relationship. Companies House identity verification is a separate process for individuals whose company roles require it. Accepted existing Companies House verification and the free official verification route remain available; they do not replace Coddan’s separate AML checks. Membership or trusteeship alone does not mean every participant needs the same Companies House step. Your personal manager helps clarify the applicable checks and the separately charged work described above. Send identity evidence and confidential codes only through the appropriate secure process.

Your charitable company decisions and Coddan’s application preparation

You provide the proposed name, charitable activities and beneficiaries, relevant company and trustee arrangements, directors, initial guarantor-members, guarantees, addresses and control information. Identify who may instruct Coddan, make the founders’ decisions and approve the prepared documents. The payer, organiser, director and trustee may have different responsibilities.

What are charitable objects and articles of association?

Charitable objects state what the organisation is established to achieve. For a charitable company, its articles of association are the governing rules, including its objects and arrangements for membership and decision-making. Explain the proposed activities, beneficiaries and arrangements in ordinary language, and tell Coddan about existing articles or adviser-prepared documents. Your personal manager helps clarify what is needed; Coddan prepares and reviews the documents within the accepted service, and the appropriate founders approve their arrangements.

Coddan prepares and reviews the agreed application and documents, raises necessary questions and obtains approval before submission. The relevant founders approve their arrangements; Companies House and the charity regulator decide their respective applications.

Digital documents supplied after your charitable company incorporation

What do the digital incorporation documents establish?

After successful company incorporation, Essential provides the certificate of incorporation, memorandum and articles as digital PDFs. The certificate records the company’s incorporation; the memorandum records the initial guarantors’ agreement to form it, and the articles set out its governing rules. These documents do not establish entry on the charity register. Keep accessible copies for the company’s records and later applications. If a funder or adviser requests a particular document or format, ask Coddan what is needed before ordering additional records or authenticated copies.

Charity-registration preparation uses the organisation’s relevant purposes, activities, governing document and supporting information. Its required material and submission stage depend on the applicable process. HMRC recognition and a funder’s evidence request may involve different work; ask about the actual request rather than assuming the company document set covers it.

Questions before ordering CharityReg Essential formation

Does Essential only form the company?

No. It combines the stated company work with essential preparation of charity-registration information and supporting documents and assistance for the applicable submission.

Must I already have perfect articles?

No. Explain the plans and documents you have. Coddan prepares the accepted company documentation and can identify where further drafting or broader preparation needs separate agreement.

Can I use documents my adviser prepared?

Tell Coddan before ordering so the document supply route, review and charges can be confirmed. Supplying documents does not by itself determine all remaining work.

Does incorporation make us a registered charity?

No. Company incorporation and charity registration have separate decisions and identifiers. Do not treat the company certificate as a charity-registration certificate.

Does every participant pay £30?

Charges depend on the individuals and checking work required, including their existing verification status. Membership or trusteeship alone does not mean each person automatically needs the same Companies House step.

Are an office address and annual filings included?

Not in this base offer unless expressly selected or agreed. You can discuss those services without assuming they belong in the formation price.

What if we need more preparation?

Explain the uncertainty. Coddan can discuss broader preparation, the Professional package or separate work and price, rather than asking you to guess the service.

Can Coddan guarantee charity registration?

No. Coddan provides the agreed preparation and assistance; the regulator makes the registration decision.
