Scottish charitable company formation and charity-registration support with CharityReg Scotland

Arrange your charitable company formation in Scotland with company-document preparation, professional review and agreed Companies House submission. Coddan also prepares the agreed Scottish charity-registration information and supporting documents and assists with the applicable submission to the Scottish Charity Regulator (OSCR). Your personal manager helps clarify what you need to provide and approve.

£895 + VAT, including the £100 Companies House incorporation fee. Charity registration remains a separate regulator decision.

Start your Scottish charitable company formation online

Enter ready company details online from home or office in approximately 5–10 minutes for straightforward instructions. Your personal manager helps clarify the information needed about the proposed activities, directors and guarantor-members. Preparation, checks and approvals follow.

✓ Online instructions ✓ Personal-manager help ✓ Approval before submission

Company application preparation and Companies House submission

Coddan prepares and reviews the agreed company documents and application, clarifies questions and obtains your approval before submitting it electronically to Companies House. The package price includes the £100 incorporation fee; Companies House decides incorporation.

✓ Company-document preparation ✓ Professional review ✓ Agreed incorporation submission

Digital documents after company incorporation

After successful incorporation, receive the included certificate of incorporation, memorandum and articles as digital PDFs. Your personal manager helps with questions and the agreed next steps. Company documents and Scottish charity registration have separate outcomes.

✓ Certificate of incorporation ✓ Memorandum and articles ✓ Digital PDFs

Is CharityReg Scotland the right formation route?

Choose this package when you need a company limited by guarantee and Scottish charity-registration support. It is a company-formation route, not a Scottish Charitable Incorporated Organisation (SCIO). If the structure is undecided, the organisation already exists or activities cross UK jurisdictions, ask before ordering.

✓ Scottish company route ✓ Individual or corporate members where applicable ✓ Discuss existing organisations

Scottish charity-registration preparation and OSCR assistance

Coddan prepares the agreed Scottish charity-registration information and relevant supporting documents and assists with the applicable OSCR submission. You supply accurate organisational facts, decisions and approvals. OSCR assesses the application and decides charity registration separately from Companies House incorporation.

✓ Scottish application information ✓ Supporting documents ✓ OSCR submission assistance

Checks, Scottish addresses and separately agreed services

Your personal manager explains the applicable AML customer checks and separate Companies House identity-verification requirements. Supply a suitable Scottish registered office or separately arrange an address service. Paid checks, addresses and additional services are not automatically included in the £895 package price; discuss the work and charges before ordering.

✓ Applicable checks explained ✓ Scottish address requirements ✓ Additional services agreed separately

Companies House normally processes a straightforward standard software application within 24 hours after submission; complex or particular routes can take longer. This does not determine a charity-registration date.

Normal personal-manager help comes with every formation order during working hours. Paid priority handling is separate. Charity registration and HMRC tax recognition are separate matters; tax work is not automatically included.

Need a Scottish registered office, additional documents or continuing administration? Discuss the work with Coddan before ordering. These services have their own agreed scope and charges; a written service agreement is available for formation and separately agreed additional services.

Incorporating a company in Scotland? Arrange a Scottish registered office address as part of the process with convenient registered office services.

Choose CharityReg Scotland™ if you are establishing a charitable company limited by guarantee in Scotland and need assistance with the separate Scottish charity-registration application. Tell us what the organisation will do, who it will benefit and what governing documents you already have. I need to form the company and prepare for Scottish charity registration.
Your personal manager helps clarify the proposed arrangements and information needed. Coddan prepares and reviews the company documents and submits the incorporation application after your approval and applicable checks. Within the agreed scope, we also prepare the relevant Scottish charity-registration information and supporting documents and assist with submission to the Scottish Charity Regulator (OSCR). After successful incorporation, you receive the certificate of incorporation, memorandum and articles as digital PDFs. OSCR makes its own decision on charity registration. The package price includes the £100 Companies House incorporation fee. Printed or authenticated documents, address services and continuing administration are separate unless selected or expressly agreed. Additional work and charges are agreed before proceeding. Is CharityReg Scotland right for your charitable company formation?

Choose this route when you intend to establish a charitable company and need Scottish charity-registration support. Explain where the organisation will be based, the proposed activities, who it will help and the people who will govern it.

How does a Scottish charitable company differ from a SCIO?

A Scottish charitable company limited by guarantee is incorporated at Companies House and has company-law responsibilities as well as the charity-law responsibilities that apply to it. Charity registration with OSCR is a separate process. A Scottish Charitable Incorporated Organisation (SCIO) is a different legal form registered with OSCR rather than Companies House.

CharityReg Scotland is the company-formation route, not a SCIO formation service. Tell Coddan what the organisation will do and whether its legal form has been decided. Your personal manager can help clarify the appropriate service before you place a company-formation order.

Tell Coddan if the organisation already exists or operates across UK jurisdictions. The appropriate work may differ from a new Scottish charitable-company formation.

Company formation and Scottish charity-registration work included in CharityReg Scotland

What does company formation and Scottish charity-registration assistance include?

Company formation and Scottish charity-registration assistance cover different stages. Companies House incorporation creates the company; OSCR separately assesses the application for entry in the Scottish Charity Register. CharityReg Scotland combines company-document preparation, review and agreed incorporation submission with the agreed Scottish charity-registration preparation and OSCR submission assistance.

Provide accurate company and organisation information and identify who may approve the documents and submission. Coddan clarifies questions, prepares and reviews the agreed company application, obtains approval and handles the agreed Companies House submission. We also prepare the agreed Scottish application information and supporting documents and assist with the applicable OSCR submission. Each authority decides its own application.

What are charitable purposes, public benefit and the Scottish charity test?

Charitable purposes describe what the organisation exists to achieve. Public benefit concerns the benefit it provides to the public in carrying out those purposes. Under the Scottish charity test, an organisation must have only charitable purposes and provide public benefit; its governing document must also meet the applicable restrictions. Operating on a non-profit basis or incorporating a company is not enough on its own.

Explain the intended activities, who will benefit and how the organisation will operate. Coddan helps prepare the agreed Scottish application information and supporting material from your facts and decisions. OSCR applies the charity test and decides charity registration; the package does not purchase a favourable decision.

OSCR currently provides an online application route and asks applicants for a draft governing document and signed declarations for proposed trustees. Your participants supply the relevant facts and signatures; Coddan assists within the agreed service.

Scottish registered office, articles and charity-governance arrangements

What is a Scottish registered office, and is it included?

A registered office is the company's official address for receiving communications and notices. A company incorporated in Scotland must have an appropriate registered office in Scotland, and the address appears on the public company register. It is distinct from an individual director's service address and does not itself establish charity registration.

Provide a suitable Scottish registered office or ask Coddan about a separately arranged address service before incorporation. CharityReg Scotland does not automatically include a registered office, individual service address, forwarding or continuing support subscription. Your personal manager can clarify the address service, scope and charges needed for the proposed company.

What are the governing document and articles of association?

A governing document sets out an organisation's purposes, structure and operating rules. For a charitable company, its articles of association are its governing document. They address matters such as charitable purposes, membership, decisions and the use of assets. A SCIO uses a different form of governing document, a SCIO constitution.

Give Coddan any existing constitution, draft articles or adviser-prepared documents, and explain the arrangements the founders want to approve. Coddan can identify the document preparation needed within the accepted Scottish company-formation and charity-registration instruction. Further drafting or changes outside that instruction require separate agreement.

How do charity trustees, company directors and guarantor-members differ?

Charity trustees are the people responsible for the charity's overall control and management. In a charitable company, its directors also act as charity trustees and have company-law duties. Guarantor-members hold membership rights under the articles and company law and undertake the stated guarantee. One person may hold both capacities, but membership alone does not make that person a director or trustee.

Tell Coddan the proposed roles, governing arrangements and who may approve the work. An organiser may coordinate information without authority to decide for every founder, and payment alone does not confer that authority. Director and charity-trustee eligibility must be considered for the actual appointments; PSC status depends on the control arrangements and is separate.

Discuss cross-border activity before assuming one registration resolves every UK requirement. Existing organisations should start from their current documents and registration position rather than automatically buying a new company.

OSCR application guidance

What CharityReg Scotland includes for company formation and OSCR assistance

  • Company limited by guarantee formation, memorandum/articles and core incorporation documentation within the accepted service.
  • Pre-submission review, necessary approval and Companies House incorporation submission.
  • Essential preparation of Scottish charity-registration information and relevant supporting documentation.
  • Professional assistance with the applicable OSCR submission within the accepted service.
  • The £100 Companies House incorporation fee within the recorded package price.
  • Digital PDF copies of the certificate of incorporation, memorandum and articles after successful company registration.
  • Applicable Companies House identity-verification guidance, distinct from paid verification.
  • Normal personal-manager assistance during formation and an initial email, telephone or video consultation.

The service accommodates individual or corporate guarantor-members where applicable. Directors, trustees, members and PSCs have different roles; the actual structure and eligibility requirements must be checked rather than assuming one role satisfies another.

Which documents and services are separate from CharityReg Scotland formation?

Paid checks, registered-office and individual address services, physical forwarding, printed or authenticated sets, further drafting, priority handling, HMRC recognition, accounts and continuing administration are separate unless expressly selected or agreed.

What do the digital incorporation documents establish?

After successful incorporation, the included digital PDFs comprise the certificate of incorporation, memorandum and articles of association. The certificate confirms the company's legal existence and incorporation details; the memorandum records the subscribers' agreement to form it; the articles set its governing rules. These company documents do not establish OSCR charity registration or HMRC charity recognition.

Keep the digital set for the company's records and tell your personal manager about any particular document request. Membership certificates, minutes, prepared registers, printed or authenticated sets, notarisation and apostille are not automatically included. Coddan can identify the relevant purpose, format, available work and separate charges.

Company formation and Scottish charity-registration assistance do not automatically enrol the company in an annual address or secretarial subscription. No future filing, renewal or new project is included merely because it concerns the same organisation.

CharityReg Scotland formation price, VAT and separately charged checks

The recorded package charge is £895 + VAT, including the £100 Companies House incorporation fee. A package price is different from the selected order total: checks and other selected work can add charges. Additional work and charges are agreed before that work proceeds.

VAT is added on Coddan services through UK-resident online order forms; non-UK-resident forms do not add VAT. If applying from overseas, explain the applicant location and intended company jurisdiction so the appropriate order route can be identified.

The separate checks service costs £30 per person. If the individual already has a Companies House Personal Code, it covers KYC. Without a Personal Code, the same £30 covers KYC and relevant Companies House identity verification, including Coddan’s associated confirmation submission. The processes remain distinct; there is no second £30 for the combined checks.

How do AML customer checks differ from Companies House identity verification?

AML customer checks are Coddan's customer due diligence for its anti-money-laundering obligations. Companies House identity verification is a separate process for individuals in relevant company roles, such as directors and PSCs. Being a guarantor-member or charity trustee alone does not make every person subject to that company-role verification. The required checks depend on the actual roles and status.

Accepted existing Companies House verification and the free official route remain available; they do not replace Coddan's AML checks. If Coddan carries out Companies House verification, we review the evidence and submit the ACSP confirmation when satisfied; Companies House issues the individual's Personal Code. Verification and the code's use for a company role are separate steps. Follow the secure process for identity evidence and confidential codes.

Online instruction · Professional preparation · Company incorporation and Scottish charity registration

How your Scottish company formation and OSCR application progress

Give accurate instructions and agree the organisation’s decisions. Coddan clarifies, prepares and reviews the accepted work; company incorporation and charity registration have separate outcomes.

A practical online instruction

  • About 5–10 minutes to enter straightforward details with information ready; checks, document preparation and approvals can take longer.
  • Personal-manager assistance with the accepted instruction, questions and next steps.
  • Included digital PDF certificate, memorandum and articles after successful company incorporation.
  • £100 official incorporation fee included within the recorded package price.

From instructions to the relevant applications

  1. Confirm the Scottish charitable-company route and explain any existing organisation or cross-border activities.
  2. Provide the company particulars, suitable registered office, purposes, activities, relevant participants and governing arrangements. Complete applicable checks.
  3. Coddan prepares and reviews the agreed company documents and obtains the necessary approval before Companies House submission.
  4. Keep the digital documents after successful incorporation. Work with Coddan on the relevant Scottish registration information and supporting material.
  5. Progress the OSCR application through its current arrangements with the agreed assistance. OSCR makes its own decision; incorporation does not itself enter the company on the Scottish Charity Register.

Keep your contact available for questions and approvals. Tell Coddan about a funder or launch deadline before relying on an outcome date. No company or charity-registration date is guaranteed.

✓ Personal-manager assistance | ✓ Suitable preparation | ✓ Review before agreed submission | ✓ Additional work and charges agreed first

Questions before ordering Scottish charitable company formation

Does this package create a SCIO?

No. It forms a company limited by guarantee with the stated Scottish charity-registration preparation and submission assistance. Ask before ordering if you are considering a different legal form.

Is a Scottish office included?

No office service is automatically included in this package. Supply a suitable company address or separately arrange an appropriate service.

Will the company certificate prove OSCR registration?

No. Company incorporation and OSCR registration have different outcomes and identifiers.

Can we use the England and Wales package instead?

Explain your company jurisdiction, activities and intended charity-registration route. The suitable service depends on those facts, not simply the lower headline price.

Are printed documents and tax services included?

The stated incorporation documents are digital PDFs. Printed or authenticated sets, HMRC work and ongoing administration are separate unless expressly selected or agreed.

Do I need to work out the technical service before asking?

No. Describe the organisation, the documents or regulator request and the deadline. Coddan can identify suitable work and charges without an enquiry committing you to an order.
