Detailed instructions. Professional preparation. Tailor-Made CLG formation.

Set up your guarantee organisation with the details considered from the start

Wave goodbye to one-size-fits-all. With Coddan CPM Ltd’s detailed limited by guarantee company formation, your non-profit, social enterprise or sports club gets a structure that’s as unique as its mission. This isn’t just bespoke limited by guarantee company formation; it’s a chance to shape your governance, set membership tiers, and lock down assets the way you want, not how a template demands. Whether you’re focused on charitable aims or a club with its own rules, this tailor-made limited by guarantee company formation offers real flexibility. Forget default articles—the detailed limited by guarantee company formation package is crafted for those who want control and precision, and who value a truly bespoke limited by guarantee company formation experience. If your organisation dreams big, this tailor-made limited by guarantee company formation is designed to bring those ambitions to life, down to the finest detail.

Explain the organisation you want to establish, its people, membership, voting, articles and particular requirements. Coddan helps prepare and register your private company limited by guarantee, reviewing your detailed instructions and clarifying the work before the incorporation application is submitted.

Defined detailed preparation: £250 + VAT, additional to your selected CLG formation package.

Using the offline form does not itself create an additional charge. Suitable straightforward instructions can remain within the selected published package. Your formation package and separately selected services retain their own charges; £250 + VAT is not the total incorporation cost.

Set out your organisation’s arrangements and the work you want Coddan to consider.

Ask Coddan about your formation instructions

Explain your requirements before ordering; an enquiry creates no obligation to order.

Personal-manager assistance with every formation order. Ask questions and coordinate information, approvals and next steps by email or telephone during working hours. This normal help is separate from the additional preparation service.

Your organisation, clearly explained

Tell us your purposes, participants, membership, voting and director-appointment arrangements. The detailed form brings these instructions together, including supplied articles and matters still to discuss. Coddan helps identify the appropriate preparation; you can describe what you want without drafting legal provisions yourself.

Preparation with a defined scope

The additional preparation service reviews detailed instructions and supporting documents, clarifies membership, voting and appointment arrangements, prepares suitable articles using established Coddan provisions and coordinates approval, including one consolidated amendment round. Work beyond that scope receives a separate fixed quotation, agreed before it proceeds.

Easy to give fuller instructions

Use the single Word order form to explain connected arrangements, identify document versions and record who can instruct and approve the work. Our team reviews your instructions and clarifies outstanding matters. If your requirements fit the online form, suitable published formation packages remain available.

Choose the formation support you need

Select the formation package that suits your organisation, then agree any additional preparation, address arrangements, verification or documents. Coddan checks the agreed application and obtains the necessary approvals before electronic submission. Companies House registers the company; the selected formation service determines the documents supplied.

Listed company formation agent

Coddan CPM Limited is listed by Companies House as a formation agent. Our team prepares suitable formation information and documents, checks the application and submits the approved incorporation. Your detailed instructions support that professional work; the downloadable form is a way to instruct us, rather than a postal filing requirement.

Separate checks, coordinated with formation

Coddan CPM Limited is an HMRC-supervised Trust or Company Service Provider and a Companies House-registered ACSP. AML customer checks are separate from individual identity verification. Accepted existing verification and the free official route remain available; Coddan-performed verification is separately selected. Companies House issues the personal code.

Your formation and related requirements, through Coddan

Discuss preparation, formation, useful documents and the address or later company services your organisation needs through Coddan. We confirm the work and charges for the services you select. A written service agreement is available to identify the accepted work, responsibilities and any service periods.

Ready for a published formation service? Compare CLG formation packages. Already incorporated? Find help for your existing CLG without ordering another incorporation.

Returning your instructions: ask your Coddan contact or info@coddan.co.uk for return instructions. Do not email the entire completed form: the whole confidential Section 9 requires a separately agreed return arrangement. Keep identity documents, confidential codes, passwords and payment-card details out of the form and ordinary enquiry email.

Set up your guarantee organisation with the details considered from the start

Tell Coddan about the organisation you want to establish and the arrangements it needs. We help prepare and register a private company limited by guarantee, bringing together your purposes, participants, membership, voting, articles and required approvals before the incorporation application is submitted.

Our detailed Word order form gives you space to explain those arrangements together. It can be particularly useful where several people contribute instructions, you have existing rules or prepared documents, or particular membership and decision-making arrangements need attention. You can describe what you want in ordinary words; our team helps identify the appropriate preparation.

Defined detailed preparation: £250 + VAT, additional to your selected CLG formation package. This covers the professional preparation described below. Using the offline form does not itself create an additional charge: suitable straightforward instructions can remain within the selected published package.

Formation through Coddan: what we bring together

Prepare the organisation.

Explain your purposes, participants and intended arrangements. Coddan clarifies outstanding information and prepares the agreed formation work around the organisation you intend to establish.

Choose suitable articles.

Use suitable established provisions, provide your purposes, supply prepared articles or discuss particular rules. We identify the relevant preparation and agree any further drafting.

Coordinate people, checks and addresses.

We connect the relevant participant information, customer checks, approvals and selected address arrangements with the formation application. Required individual identity steps follow their own process.

Progress to registration.

Once the information, documents, checks and approvals are ready, Coddan submits the agreed application electronically. Companies House decides whether to register the company and issues its certificate.

Agree the work and charges.

Keep your formation package, defined additional preparation and any selected services clear. Our team confirms the scope and charges before undertaking additional work.

Receive useful company documents.

Keep the incorporation certificate, prescribed memorandum and agreed articles supplied under your formation service. Discuss initial records or professionally prepared printed materials where useful.

Explain the organisation you want to establish

Start with what the organisation will do, who it will serve and who will be involved. Tell us whether you are creating a new club, association, community or membership body, or establishing a company alongside an existing organisation. Include any activities, rules or arrangements you want us to consider.

The form brings together the proposed name, registration jurisdiction, activities, directors, initial guarantor-members, addresses and relevant control information. It also identifies the customer giving instructions, any representative, the payer and the person authorised to approve the work. These may be different people.

You do not need to decide which technical service name fits your circumstances. Describe the arrangements and mark anything undecided for discussion. If an accountant, solicitor or another adviser has already prepared documents, identify the documents and their versions so we can consider the formation work alongside them.

Tell us about intended charitable, CIC, right-to-manage or particular property arrangements before choosing an ordinary CLG formation service. We can explain the appropriate specialist route. Incorporating a new CLG does not itself transfer an existing organisation’s activities, assets or contracts; identify any proposed transfer separately.

Put membership, voting and articles into a workable formation instruction

A CLG has guarantor-members rather than shareholders. Membership, voting and director-appointment rights need to reflect the proposed organisation. The detailed form asks who can join or leave, whether there are membership classes, how votes work and who can appoint or remove directors. It also provides space for particular vetoes, quorum requirements and arrangements for income or assets.

Tell us what you intend, including where the founders have not yet agreed. Coddan considers the information and helps identify suitable provisions and any further work. The founders and other authorised participants decide and approve the arrangements; you are not expected to draft complete articles before asking us for help.

The form also records each initial member’s proposed guarantee. That commitment is distinct from voting rights or a payment for formation. Explain differences between participants and any control arrangements; membership alone does not automatically make every guarantor a person with significant control.

Choose the articles preparation that fits

  • Suitable established Coddan provisions: a practical starting point where they fit the proposed organisation.
  • Your purposes in Coddan’s articles: explain what the organisation will do so the relevant wording can be prepared.
  • Articles already prepared: identify the author, version and date and arrange their supply for the agreed handling.
  • Particular membership or board rules: describe the intended arrangements so we can confirm the necessary preparation and price.

The prescribed memorandum records the initial members’ agreement to form the company. The articles contain its rules. A CLG structure does not automatically create charitable status or a CIC asset lock.

Read about CLG purposes and articles.

Professional preparation, checking and approval

Quality preparation for your organisation

Coddan reviews the detailed instructions and relevant supporting documents, clarifies membership, voting and appointment arrangements, and prepares suitable articles and formation information within the agreed scope. This connects the people, purposes and rules before the application is submitted, rather than treating them as unrelated form fields.

Quality review, documents and completion

Our team checks the prepared application against the agreed instructions, addresses outstanding questions and obtains the required approval before submission. After incorporation, we supply the documents covered by the selected service and explain relevant next steps. You have a person to ask when information, documents or approvals need clarification.

The customer identifies who is authorised to instruct and approve the work. Each participant supplies or confirms their relevant information, and individuals take part in their own identity checks. Paying or coordinating the instruction does not replace another person’s authority or consent.

Coddan’s formation team prepares and submits the agreed incorporation application. Coddan CPM Limited’s Companies House ACSP registration relates to the authorised identity-verification work, while HMRC supervision concerns its anti-money-laundering obligations as a Trust or Company Service Provider. Customer checks and Companies House verification are separate.

Check the official ACSP list and HMRC’s supervision-checking route. Search for Coddan CPM Limited; the HMRC search details are Coddan Cpm Ltd, reference XGML00000129022.

Give Coddan the Detailed Instructions Behind Your CLG Formation

Explain the guarantee organisation you want to establish, including arrangements that need fuller discussion. Our CLG Formation Order Form gives you space to describe its purposes, people, membership, voting and particular requirements in ordinary language. Coddan considers your instructions, clarifies outstanding matters and prepares the agreed formation work. Where several people are involved, use the relevant non-confidential sections to coordinate their information and approvals.

What Your Detailed Instructions Help Us Prepare

  • ✓
Your purposes and intended activities: Tell us what the organisation will do, who it will benefit and whether it will build on existing activities. We consider the formation work and any particular requirements.
  • ✓
People, authority and control: Identify the organiser, proposed directors, guarantor-members and relevant control arrangements. Director and PSC verification steps are separate from guarantor membership; Companies House personal codes follow the separate secure process, not this form.
  • ✓
Membership, voting and suitable articles: Describe who may join, voting and appointment rights, and any request to omit “Limited”. Supply existing articles or explain what you need; Coddan helps identify suitable preparation and any further drafting to be agreed.
  • ✓
Selected services, documents and approvals: Record your formation package, requested services, supporting documents and approval arrangements so Coddan can confirm the work and charges before proceeding.

Detailed instructions, professionally prepared: Coddan reviews the information, clarifies outstanding points, prepares and checks the agreed application, obtains the required approvals and handles the agreed submission to Companies House. Completing this form does not mean your application must be filed by post.

Professional review, preparation and filing

Your personal manager reviews the instructions with the relevant team, clarifies missing information and confirms the work to be undertaken. We agree the preparation, obtain the necessary customer approvals and submit the ready incorporation application through our Companies House-integrated software.

Detailed CLG setup and preparation: £250 + VAT, additional to the selected CLG formation package. This defined service covers:

  • Review of your detailed instructions and supporting documents.
  • Clarification of membership, voting and appointment arrangements.
  • Preparation of suitable articles using established Coddan provisions.
  • Coordination of approval, including one consolidated amendment round.

Using the offline form is not itself a chargeable upgrade. Suitable straightforward work can remain within the selected package. Extensive drafting or arrangements beyond the defined preparation scope receive a separate fixed quotation, agreed before that additional work proceeds.

Your formation package and separately selected verification, addresses, printed documents or continuing services retain their own charges and scope. The £250 + VAT preparation fee is not the total cost of incorporation.

Ask Coddan about your detailed formation instructions An initial enquiry creates no obligation to order.

Complete and return the form appropriately

Ask your Coddan contact, or email info@coddan.co.uk, for return instructions. Return the non-confidential sections by the agreed method. Do not email the entire completed document: the whole confidential Section 9, including copies, requires a separately agreed return arrangement. Keep it out of ordinary email attachments and shared committee copies.

Do not put identity-document copies, Companies House personal codes, passwords or payment-card details in the form or its attachments. Follow the separate instructions supplied for confidential information and individual checks.

The form identifies the selected work, charges and approvals and includes an instruction subject to Coddan’s acceptance and referenced terms. Downloading the form, returning information, acceptance of an instruction and incorporation are different stages. A written service agreement is available to set out the accepted work, responsibilities and charges.

Preparation comes before Companies House processing

The time needed to clarify arrangements, prepare documents and obtain approvals depends on the instructions and outstanding decisions. Your manager explains the sequence for the accepted work.

In our experience over 20 years, a ready standard electronic application is often registered within 1–3 working hours after Coddan submits it to Companies House, with the required information, checks and approvals complete. Companies House workflow and the structure affect processing; applications seeking to omit “Ltd”, for example, can take longer. This incorporation estimate does not measure completion or review of the detailed form.

Choose the instruction method and formation service that suit you

Coddan’s online form already accepts purposes, participant information, articles choices, selected services and further instructions. If your requirements fit that route, you can order online. The downloadable form adds dedicated prompts for fuller organisational arrangements, supporting versions and approvals; it is not simply a printed copy of checkout.

Compare the published CLG formation packages for their documents, address arrangements and support. Choose the package that fits the formation and confirm any separate detailed preparation with Coddan. A higher-priced formation package does not automatically include particular drafting.

Compare published CLG formation packages Each package action opens its corresponding order form.

Electronic incorporation, professionally prepared

Detailed instructions can still lead to electronic submission. Our team prepares and checks the agreed application after the information and approvals are ready; using the Word form does not require you to post a paper IN01 application to Companies House.

Electronic company documents you can use

The selected formation service supplies its digital incorporation certificate, prescribed memorandum and articles after registration. Keep the agreed documents together. Professionally prepared printed sets, certification or legalisation can be selected where needed under their own scope.

Online ordering when you are ready

Coddan’s single-page order form presents the requirements and service choices together. With the information ready, a straightforward online order normally takes 5–10 minutes to complete. Online ordering is available 24/7; this is separate from staff working hours and Companies House processing.

For the standard online route, allow the separately stated 24–48 hours from a complete straightforward portal application to incorporation, reflecting review and possible Companies House workload. This is a different starting point from the ready-submission estimate and does not include unresolved detailed preparation.

Personal help and selected portal mail access

Your manager helps with formation information, documents, approvals and next steps by email or telephone. Where you select Coddan’s registered-office scanning service, covered official correspondence is scanned and uploaded to the client portal. Correspondence handling follows the selected service; it is separate from answering the letters or making filings.

Convenient access, with professional preparation behind it

Choose online ordering or fuller written instructions according to what you need to explain. Coddan connects your information, appropriate preparation and approvals with the incorporation application, while normal personal-manager assistance remains available across formation orders.

From incorporation to your organisation’s working arrangements

Companies House registers the company and issues its certificate of incorporation. Retain the certificate, prescribed memorandum and approved articles supplied under your selected formation service. Ask about initial minutes, membership records and guarantor documents where included or separately instructed, and choose electronic, professionally prepared printed or combined materials for the organisation’s needs.

After incorporation, put the company’s initial decisions and register of members in place, keep financial records and agree who handles correspondence and approvals. These practical arrangements follow the company’s articles and accepted instructions. Bank, funder, charity and tax matters follow their own requirements; the certificate alone does not settle them.

You can return to Coddan for separately agreed documents, records, changes or annual work. Keep an existing accountant or adviser where that arrangement already works, and tell us which task you want Coddan to handle.

Prepare and file the confirmation statement

Provide current company information, changes and required confirmations. Coddan reviews the relevant details, prepares the agreed statement, obtains approval and handles the selected Companies House filing. Some changes need separate filings; the confirmation statement is different from annual accounts.

Explore CLG confirmation-statement services.

Prepare annual accounts and agree submission

Supply the year and relevant financial records. Coddan confirms the suitable service, prepares the agreed accounts and obtains the required approval before the selected submission. Dormant accounts, active accounts and filing accounts already prepared by your accountant have different scopes; HMRC and charity-regulator work are separately identified.

Ask about annual accounts and continuing CLG support. These services are separately instructed; they are not automatically included with detailed formation preparation.

Need only a registered office or SAIL?

You can arrange address services for a proposed CLG being incorporated separately or an existing CLG without buying incorporation from Coddan. The registered office receives the company’s covered official correspondence. A single alternative inspection location (SAIL) concerns holding agreed company records and inspection arrangements. The address-services form distinguishes the selected address use, mail handling, records and separately instructed filings.

Download the CLG Address Services Order Form (Word) Ask Coddan for return instructions; supply confidential answers or records separately by the agreed method. Address services have their own scope, charges, service periods and renewal arrangements.

Explore registered-office services or SAIL and records arrangements.

Questions before you send detailed instructions

Can I send information before all the founders have agreed?

Yes. Identify the points still undecided so Coddan can clarify the preparation required. The authorised participants must settle and approve the relevant arrangements before submission. Mark uncertain answers rather than guessing.

Can our accountant or solicitor remain involved?

Yes. Identify who is preparing documents or handling another task, and provide the relevant versions and authority to communicate. We can confirm Coddan’s formation work without duplicating the work already instructed elsewhere.

We have already started an application. Should we place another order?

Tell Coddan what has already been ordered or submitted, with the provider, reference and current status. We can establish the appropriate next step before a competing incorporation instruction is created. If the company already exists, ask for the particular amendment, address, record or filing service it needs instead.

What if the required identity verification is already complete?

Tell your manager about accepted verification. A fresh check is not required simply because you are forming another company. Proposed individual directors need their Companies House personal codes for incorporation; PSC role actions remain separate. Being only a guarantor-member does not itself require Companies House verification.

The free official verification route remains available, alongside separately selected Coddan assistance. With Coddan, the individual completes supported Credas checks, our team reviews the evidence and submits ACSP confirmation when satisfied, and Companies House issues the personal code. AML customer checks remain separate. Use the instructed secure process for evidence and codes.
