Your company limited by guarantee needs an address arrangement that works for the people running it. Official correspondence must reach the right person, directors and members need suitable contact arrangements, and company records must be available where the law requires. Coddan can supply the agreed address and help establish the service behind it.
A company limited by guarantee, also called a CLG or LBG company, has members or guarantors rather than shareholders holding shares. Our address services are available for new formations and already registered CLGs, including organisations whose directors or members live overseas. Explain the company, the address function and how you want to receive correspondence.

Coddan CPM Limited is an HMRC-supervised trust or company service provider (TCSP) for anti-money-laundering purposes. Supplying registered offices and relevant business, correspondence or administrative addresses is among the activities covered by the money-laundering rules. This is a responsibility attached to the service, not merely a description of the address.
For the relevant instruction, we need to understand the customer, the organisation, who owns or controls it and who is authorised to act. Checks and the information requested depend on the service and circumstances. A non-profit purpose or a small guarantee amount does not make the customer's identity and authority irrelevant.
The practical benefit is a service established for an identified company and authorised people, with clear instructions about permitted use and correspondence. We may ask questions where information is missing or inconsistent, and relevant changes need to be disclosed during the relationship.
The rules do not require every CLG to buy an address from Coddan. A company can use its own appropriate registered office and arrange its records properly. Nor does HMRC supervision endorse a customer's activities, establish charitable status or guarantee acceptance by a bank.
Coddan's Companies House ACSP registration concerns separate authorised-agent responsibilities, including separately instructed identity verification. It is not an address-service licence. Keep that process distinct from customer checks for an address instruction. The official TCSP supervision guidance explains the relevant activities.
Registered office: this is the company's official public address. It must be a physical address, not a PO Box, in the correct registration jurisdiction. In ordinary circumstances, delivered documents should reach someone acting for the company and delivery must be capable of acknowledgement. It does not automatically provide premises to occupy or a place from which the company trades.
Director service address: this is the director's public company-correspondence address at Companies House. It is separate from the usual residential address supplied in the required private part of the company information. Using a service address does not remove the obligation to supply residential details where required.
Member/guarantor service address: Coddan can provide an agreed correspondence address for a CLG member or guarantor. The company must record the member's name, required address information and membership dates in its register of members. The recorded address need not automatically be the person's home; its suitability and use must be established for the actual record and correspondence arrangements.
Members do not have a parallel Companies House officer-address process merely because they are guarantors. Initial subscriber information, later membership records and a director appointment have different purposes. An agreed correspondence service does not silently change those records or guarantee that historic address information disappears.
SAIL: a single alternative inspection location is an optional place for specified company records and lawful inspection. It does not replace the registered office. Trading or general business correspondence address: this concerns the organisation's operational use or customer mail and must be agreed separately. One location can perform more than one accepted function, but purchasing one function does not automatically purchase them all.
Begin with the company's registration jurisdiction and the job the address must do. London is within England and Wales; Scotland and Northern Ireland are separate company-registration jurisdictions. Where a director or member lives does not decide where the company's registered office or SAIL may be kept.

Different registered-office addresses are available in these cities for companies registered in England and Wales.
A registered-office option is available for Scottish companies. Member/guarantor service-address arrangements can also be arranged.
A registered-office option is available for Northern Irish companies. Member/guarantor service-address arrangements can also be arranged.
Director service-address and SAIL options are available in London and Aldershot. Member/guarantor service addresses are available in London and Aldershot, and can also be arranged in Edinburgh and Belfast. These are distinct services: do not assume every registered-office location supplies every personal address or records facility.
A Scottish company's SAIL must be in Scotland, and a Northern Irish company's SAIL in Northern Ireland. Our London or Aldershot SAIL arrangements cannot meet those requirements. Do not infer that an Edinburgh or Belfast member-correspondence service also supplies SAIL custody there.
A routine registered-office change cannot transfer a company between these jurisdictions. A prestigious address also does not by itself establish operational presence, tax residence or banking eligibility. For the formation-specific choices, read the CLG formation address guide.
For an initial enquiry, give us the company name or number, intended use and preferred location. Tell us whether this is a proposed formation or an existing CLG. You do not need to attach confidential registers or identity documents to an ordinary enquiry; we explain the appropriate collection arrangements for an accepted instruction.
Identify the customer and authorised contact. If someone acts for a company, committee or another person, we need to understand their authority. An old certificate, an informal title or knowledge of the company number is not by itself authority to change addresses or receive another person's correspondence.
We may request identification, evidence of address and information about the organisation and its relevant control. A CLG has no shares, but voting rights, appointment rights or other arrangements can establish control. Explain corporate members, different membership classes and overseas participants where relevant.
Keep contact details current and tell us about relevant changes. Where information needs clarification or further evidence, our team explains what is required. These are service and compliance questions, not a requirement to purchase an unrelated package.
Companies House identity verification is a different process. A Personal Code does not remove our customer-check responsibilities. If verification is separately instructed, the individual completes the Credas checks; Coddan reviews the evidence and manually submits confirmation through its ACSP account when satisfied. Companies House issues the Personal Code.
Every address instruction does not require fresh Companies House verification. Tell us if you already have a valid code or need a separate director or PSC filing. Read our relevant identity-verification service where that additional work is needed.
Coddan can provide a written agreement for registered-office, SAIL, director service-address and member/guarantor service-address provision. It gives the customer a clear record of the accepted arrangement and the people or company covered, rather than leaving the service to an informal understanding.
The agreement identifies the address and permitted use, service start and paid period, relevant correspondence or record arrangements, and the customer's responsibilities. Charges and inclusions are those in the accepted order. Confirm renewal and termination arrangements before the service begins; no universal notice period or automatic renewal is assumed here.
For a registered office, establish how delivered correspondence reaches the authorised contact. For a director or guarantor, identify whose correspondence is covered and where it is passed on. For SAIL, identify the records Coddan will actually hold, their transfer, inspection arrangements and any included maintenance.
A service agreement is different from a Companies House certificate. Where required and agreed, ask about Coddan's registered-office address certificate or other service confirmation. We confirm availability and charges rather than promise every address order automatically includes an additional certificate.
Keep the agreement, accepted order and relevant filing confirmations accessible to the responsible people. A bank or funder may ask for evidence, but its acceptance is its own decision. Do not assume an address agreement proves premises occupation or meets every third party's requirements.
The agreement does not appoint Coddan as company secretary or transfer every company obligation. If you also require filings, prepared registers or continuing administration, identify that work separately. Our CLG secretarial services explain the available additional support.
An address needs a workable route from receipt to the people who must act. Under Coddan's agreed address arrangements, all incoming correspondence received for the customer is passed on to the company or authorised recipient. Nominate a reliable contact and keep their email, portal access and delivery details current.
Scanning and uploading incoming post are free of charge under the agreed address service. Available scans can be accessed through the customer portal 24/7. This is useful for overseas directors, volunteers with other commitments or people who cannot attend the address in person.
Online availability does not mean staff receive or scan post overnight. Staff working hours, receipt, scanning activity and Royal Mail delivery are separate. We do not promise a scanning deadline or immediate response to every letter. Explain any particular requirement before ordering so the available arrangement can be confirmed.
Passing on received mail does not mean an official address is automatically sold as a general business mailbox. Coddan offers a separate general business correspondence-address service. Agree that use before putting the address on customer correspondence or directing additional business mail there; no parcel facility is promised by this page.
The authorised contact must read correspondence and arrange a response. A letter about accounts, tax, a creditor or a legal claim can require action outside the address service. Scanning it does not complete that action, extend its deadline or instruct Coddan to make a filing.
For an existing company, see registered-office address support. Establish who monitors registered email as well: providing a postal address does not automatically provide or manage the company's appropriate registered email address.
If you prefer physical post, Coddan can arrange weekly Royal Mail forwarding to the client's nominated address as an alternative to the agreed scanning arrangement. Confirm the recipient, destination and handling instructions before the service begins. Tell us when those details change.
Forwarding charges and terms are agreed separately. Free scanning does not mean free postage, and an address-service charge should not be assumed to pay for every physical dispatch. We confirm the arrangement for the intended destination without inventing a fixed postage allowance or mail limit.
Weekly dispatch describes the forwarding arrangement, not a guaranteed arrival day. Royal Mail delivery and overseas transit take their own time. An overseas customer should consider whether scans provide a more practical way to see urgent correspondence while any necessary originals follow under the agreed terms.
Tell us if an original document matters for a bank, regulator or another recipient. The relevant handling or delivery can then be considered and charged where agreed. Do not assume a scanned letter is accepted everywhere or that ordinary weekly forwarding includes a courier or tracked service.
Keep the delivery address usable and the recipient able to receive post. If correspondence is time-sensitive, act on the available information rather than treat the forwarding cycle as extra time allowed by the sender. You remain responsible for the company's reply or for separately instructing assistance.
A change between scanning and physical forwarding should be agreed with Coddan, including any effect on charges and handling. Receiving correspondence, sending it on and preparing the response are separate jobs. We explain the work covered so you can choose the arrangement that fits the organisation.
A SAIL is useful when eligible company records need a suitable inspection location separate from the registered office. It must be in the company's jurisdiction and contain the records notified as being kept there. The company cannot satisfy that function simply by filing an address where its records are unavailable.
The register of members remains required. Companies no longer have to maintain separate local statutory registers of directors, directors' residential addresses, secretaries or PSCs, although Companies House information must remain current. The option to keep member information centrally at Companies House ended on 26 January 2026.
Other eligible inspection records depend on the company and can include relevant member resolutions and meeting records, directors' service contracts or indemnities and applicable charge instruments. Not every operational, accounting or property file is automatically a SAIL inspection record.
Coddan's agreed custody service identifies the records, receives them in an accepted form and keeps an inventory. Lawful inspection and copying arrangements apply to the particular record; member-register requests have statutory requirements and short response periods. Disputed entitlement or court action needs the appropriate legal route.
AD02 notifies the SAIL address, AD03 identifies records moved there, and AD04 applies when notified records return to the registered office. Address provision, these filings, reconstruction and continuing record updates are distinct work. A filing-only order does not automatically include a Coddan SAIL or custody.

For a new CLG, choose the company jurisdiction and appropriate registered-office arrangement before the incorporation application is approved. Tell us which directors or guarantors need separate correspondence services. We confirm acceptance and permitted use of the selected addresses before they are entered in the agreed application or records.
Your formation package determines what is included. A registered office may be included for a particular first-year period, while director, member, SAIL and wider correspondence arrangements may be separate. Do not assume every address mentioned in a guide is provided automatically with incorporation.
For an existing company, supply the company number, current office, relevant records location and requested change. Agree who prepares the company decisions, records and notifications. Registered-office, director-address and SAIL changes use different filings and may not all take effect in the same way.
Do not start using an address merely because an enquiry or payment has been sent. Establish the accepted service, checks, start date and required notifications. Where records move, arrange the actual transfer and custody alongside the filing so the notified location reflects reality.
UK and overseas customers are welcome. Tell us where the people are based and how instructions, post and documents should reach them. Overseas directors do not remove UK address requirements or make every available address service necessary.
If a company has been dissolved, its return to the register requires separate consideration. An address order alone does not restore it. For a working company needing wider help after formation, use our CLG secretarial hub to identify the relevant records or filing service.
Keep the accepted paid period and renewal date in the company's records. Confirm the current renewal charge, address use and correspondence or custody arrangements before the next period. The formation anniversary and the start of a separately ordered service need not be the same date.
Tell Coddan promptly about a new authorised contact, delivery destination or relevant company change. If directors or members change, establish who should receive correspondence and whether the personal address service continues. An old contact should not remain the only person able to access important post.
When changing the registered office, arrange a suitable replacement and the correct Companies House notification. Update required company particulars on business letters, order forms and websites, and tell other relevant organisations. Changing one company address does not automatically update every director, guarantor or records location.
When SAIL custody ends, identify where each record will be held next, arrange its transfer and complete the relevant record-location filings. Ending payment does not itself return records to the registered office or make Companies House information accurate.
Written terms should explain the ending and handover arrangements. Do not continue using an address after permission ends. Equally, do not leave the company without an appropriate registered office or the ability to receive correspondence while moving between providers.
Agree any further filing, document delivery or record work before extending the instruction. Historic address removal is a different service from changing the present address; a new service address does not erase earlier public documents. Confirm the exact location, jurisdiction where relevant, company or people covered and the functions you are buying.

Retain the agreement and any included filing or custody confirmation. Identify the work remaining with directors or another provider.
Coddan performs the accepted service and provides the agreed documents or records. Directors retain the company's legal responsibilities, and customers must supply accurate information and timely instructions. Address handling does not automatically include accounts, tax returns, legal responses or all later company changes.
For a straightforward requirement, choose proportionate support. If records are missing, authority is uncertain or additional work is needed, we discuss that before proceeding. A useful service joins a suitable address with the people, correspondence and documents needed to use it properly.
