A simple start, with personal-manager help

Your simplified UK CLG online application in three clear stages

Arrange formation in England and Wales, Scotland or Northern Ireland through one flexible electronic application. You provide the business entity facts and decisions; Coddan clarifies the instructions, prepares and reviews the agreed e-Application, and submits it after the applicable checks and approvals.

  1. About 5–10 minutes with details ready

Choose the jurisdiction, address and participants

Enter the proposed company name, activities, guarantee and governing instructions. Supply a suitable registered office in the intended jurisdiction or select a separately charged Coddan office. London is an add-on choice, not an included address.

The form provides five participant entries in total; the same eligible individual can be a director and guarantor-member. Allow about 5–10 minutes for straightforward instructions with the information ready. Ask your personal manager if a choice needs clarification.

  2. Checks matched to the relevant roles

    Complete any outstanding checks

Tell Coddan about existing Companies House verification and follow the agreed secure instructions for any Personal Code or evidence required. If you use our supported verification service, the relevant individual completes the requested Credas checks; Coddan reviews the evidence and submits ACSP confirmation when satisfied. Companies House issues the Personal Code.

AML customer checks remain separate from Companies House identity verification. Requirements depend on the relevant roles; guarantor membership alone does not establish a universal verification requirement. Accepted existing verification and the free official verification route remain available.

  3. Review and approval before submission

Review the prepared application and approve

Coddan prepares suitable company documents and professionally reviews the incorporation application. You and the relevant participants confirm the facts, consents and approvals. Once the required information, checks and approvals are ready, we submit the agreed application electronically to Companies House.

Companies House decides whether to incorporate the company. After successful incorporation, receive the included digital certificate of incorporation, memorandum and articles. These establish the company’s incorporation and governing documents; further organisational work follows its actual needs and any separately agreed instruction.

Instruction entry, document preparation, checks, customer approval and Companies House processing are separate stages. The form-entry estimate is not the time required to incorporate the company; Companies House processing can take longer and a completion date is not guaranteed.

Form IN01 is the published paper incorporation application. This online route collects your instructions for electronic incorporation; you do not need to download and complete paper IN01. Decide the registered-office and other public particulars before submission: later changes do not themselves remove earlier filings.

✓ The £119.99 formation base price includes the £100 Companies House incorporation fee. Applicable VAT, per-person checks, selected address services and agreed extras affect the amount payable. A selected Coddan office is a separate service with its own period and renewal terms.

Prepare Your CLG Incorporation Details with Professional Application Support

Registering a company limited by guarantee involves more than entering a company name. Your incorporation jurisdiction, registered office, founding guarantor-members and guarantee arrangements must be established before the application is ready. Coddan helps clarify your instructions, prepare suitable company documents and review the agreed electronic application before submission.

Incorporation Requirement 01

Choose Your Registered Office Before Submission

Your proposed CLG needs an appropriate registered office in its chosen incorporation jurisdiction: England and Wales, Scotland or Northern Ireland. The full address and postcode form part of the company's incorporation particulars and become public when the company is registered.

Supply your own suitable address or select a separately charged Coddan registered-office service in the appropriate jurisdiction. Where you select an accepted Coddan address, we use the agreed details in the prepared incorporation application.

✓ Select the right jurisdiction and address for your company from the outset.

Incorporation Requirement 02

Statement of Guarantee and Member Commitments

A company limited by guarantee has guarantor-members rather than shareholders and does not have share capital. Its incorporation application records the initial guarantors and the amount each agrees to contribute towards the company's assets if it is wound up in the circumstances covered by the guarantee.

The guarantee amount is agreed by the founders; it is not automatically fixed at £10 or payable simply because the company is incorporated. Coddan helps clarify the proposed membership and guarantee information before preparing the agreed application.

✓ Organise the founding membership and agreed guarantee amounts before incorporation.

Professional Application Support

ACSP Guidance, Review and Electronic Submission

As a Companies House-registered Authorised Corporate Service Provider (ACSP), Coddan helps customers understand the identity-verification requirements relevant to their proposed company roles. We also complete our separate anti-money laundering customer checks where required.

Coddan prepares suitable company documents, reviews the supplied incorporation information and obtains the necessary approvals before handling the agreed electronic submission to Companies House. The £119.99 formation base price includes the £100 Companies House incorporation fee. Selected address services, applicable checks and agreed extras are charged separately.

✓ Professional review and approved submission, with the £100 official incorporation fee included in the base price.

Important: Form IN01 is the published paper incorporation application; this online service collects your instructions for electronic incorporation, so you do not need to complete a paper form. Companies House decides whether to register the company. Identity verification by Companies House and Coddan's anti-money laundering customer checks are separate processes; guarantor membership alone does not create a universal identity-verification requirement. Companies House issues the Personal Code. The free official verification route remains available, and any separately instructed Coddan checks are subject to their applicable charges. A registered office, an individual service address and a Single Alternative Inspection Location (SAIL) are different services and should not be treated as interchangeable.

Is this online formation application right for your CLG?

What is a company limited by guarantee, and what does its guarantee mean?

A company limited by guarantee has guarantor-members rather than shareholders and does not have share capital. It can suit clubs, associations and other membership-based organisations. The incorporation application includes a statement of guarantee, recording the initial guarantors’ details and each agreed guarantee amount. Each member undertakes to contribute up to that amount towards the relevant company debts, winding-up costs and adjustment of contributors’ rights if the company is wound up while they are a member or within one year after they leave.

You supply the relevant facts and approve the arrangements; Coddan prepares the agreed application and documents within the accepted scope. The guarantee is not an incorporation fee or an upfront payment to Coddan, and it does not describe every possible personal liability.

This application is for forming a new CLG. Tell us the organisation’s actual purposes and arrangements so that the documents reflect the instruction you approve. Objects state the company’s purposes where specified; articles are its governing rules. Non-distribution and asset restrictions are separate provisions to agree where appropriate to the intended structure. A CLG is not automatically a charity, asset-locked or subject to one universal set of non-distribution provisions.

Charitable, right-to-manage or other specialist requirements need suitable articles and the appropriate service scope. Incorporation at Companies House and charity registration are separate processes. Ask before ordering if you are uncertain which route fits, or if you need work for an existing company.

For package selection rather than application guidance, compare CLG formation packages. For the underlying basic offer, read what CLGEssential includes.

Choose the jurisdiction and registered-office address

Choose your registered office before the incorporation application is submitted

How do incorporation jurisdiction and an appropriate registered office fit together?

An appropriate registered office is the company’s official address for receiving company communications. Documents delivered there should reach someone acting for the company, and delivery must be capable of acknowledgement. The Companies Act 2006 requirement, as amended by ECCTA, applies alongside the need for an address in the intended incorporation jurisdiction. Your proposed CLG needs an appropriate physical registered office in England and Wales, Scotland or Northern Ireland, matching its intended incorporation jurisdiction. Its full address, including postcode, forms part of the incorporation particulars and becomes public on incorporation.

Supply your suitable address or select a separately charged Coddan office from the choices below. Coddan reviews the address and instructions, clarifies anything outstanding and obtains the necessary approval before agreed submission. These address particulars are part of the incorporation information reflected in Form IN01; this service submits the agreed application electronically.

Using a Coddan office from the outset

Where selected and accepted, the agreed Coddan office is used as the proposed registered office in the application. This avoids publishing your home address as the company’s initial registered office. The incorporation filing records the company’s starting particulars, and its public documents form part of the Companies House filing history. Getting those particulars right matters beyond obtaining the certificate; changing an address later does not itself remove it from earlier filings.

Individual service addresses and initial guarantor/subscriber particulars require separate consideration. A director’s usual residential address supplied in the designated residential-address particulars is not published as that address; using it in a public address field is different. Supply required confidential information through the agreed secure process. Separate suppression or protection procedures may apply to eligible personal information, subject to their conditions. Selecting a Coddan office does not itself incorporate the company, activate every service or include individual service addresses or SAIL.

✓ Personal-manager help with your formation choices | ✓ Suitable documents and agreed application preparation | ✓ Professional review and your approval before submission | ✓ Digital company documents after successful incorporation

Use the “Select business registered office address” section to choose:

  • The same address entered in the applicant section, if it is suitable for the company.
  • A different registered office: enter its full address in the fields provided.
  • A Coddan registered office: choose a location in the appropriate jurisdiction. Available locations are England and Wales: Aldershot, London EC3, London W1W, Canary Wharf E14 and Manchester; Scotland: Edinburgh; Northern Ireland: Belfast. The selected address is an additional service with its own displayed charge.

Registered office, individual service address and SAIL

The registered office receives official company communications. An individual’s service address is an address for communications to that person in their company role. A SAIL is a separately arranged location for keeping specified company records available for inspection; it is not a substitute for the registered office. Do not assume selecting one address service includes the others.

Choosing a Coddan registered office does not automatically provide a service address for every participant. Review the separate choices and charges in the application. For detailed SAIL information, read the CLG registered-office and SAIL guidance.

Your registered-office choice becomes part of the incorporation record

Choose the address for your proposed CLG before the agreed incorporation application is submitted. This application lets you supply a suitable office or select a separately charged Coddan location in the intended UK incorporation jurisdiction.

An appropriate office for your company

The Companies Act 2006 requirement, as amended by ECCTA, concerns what the registered office must do: company communications should reach someone acting for the company, and delivery must be capable of acknowledgement. The address must also suit the intended incorporation jurisdiction.

Provide the full address and postcode for the incorporation particulars. Paper Form IN01 records these particulars; Coddan uses the agreed information for electronic incorporation. Your personal manager helps clarify the address choice before submission.

Decide the public address from the outset

Where you select a Coddan office and the service is accepted, the agreed location is used as the proposed registered office. London EC3 is one choice; it is not automatically included or suitable for every UK jurisdiction.

Using that office from incorporation avoids publishing your home address as the company’s initial registered office. It does not determine every other public address entry. Changing an address later does not itself remove earlier filings; see the address explanations above for the separate roles and eligible suppression or protection procedures.

Tell us who will be involved and how your CLG will work

How do directors, guarantor-members and people with significant control differ?

Directors manage the company and take responsibility for their director duties. Guarantor-members exercise the membership rights set out in the articles and undertake the agreed guarantee. A person with significant control (PSC) meets the applicable ownership or control conditions; being a director or guarantor-member does not by itself answer the PSC question. The same individual may hold several roles, but their responsibilities remain distinct. Tell Coddan the proposed arrangements so your manager can clarify the relevant particulars and approvals before the application is prepared.

You need at least one individual director and one guarantor-member; the same individual can hold both roles. Directors must be at least 16 years old. Individual directors and guarantor-members can be of any nationality, subject to applicable eligibility requirements and checks. Guarantor-members may be individuals or corporate bodies, including a mixture of both. Use the five participant entries for the proposed participants and their permitted roles: one entry per participant, with overlapping roles recorded in that entry. These are five entries in total, not five directors plus five additional guarantors. A company secretary is a separate optional role for a private company.

Supply the requested participant and control information accurately. For a corporate guarantor-member, use the corporate-body option in the second or a later candidate entry and provide its legal name, legal form, registration details, governing law and address, together with the requested authorised-representative details. The body is the participant; giving its representative’s details does not itself appoint that individual to a company role or authorise them to approve every participant’s instruction. Ask your manager to clarify a corporate role or arrangement that does not fit the choices.

If there is a third or later person with significant control, provide the further details in “Add your further comments or instructions”. Use that section to explain arrangements that do not fit the visible choices, so Coddan can clarify the information and next steps. Do not assume that additional participants or work beyond the stated package scope are included without agreement.

Explain what the company will do

Describe the proposed purposes and activities in the objectives field. You can use Coddan’s standard articles, request particular objects within the supported formation service, or supply existing articles for the agreed review and incorporation-submission route. Customer-provided purposes can be included in suitable Coddan articles; this does not mean every requested clause or specialist drafting is included. You decide the governing arrangements; Coddan clarifies the instructions, prepares the agreed documents and reviews the application for approval. Additional drafting or review beyond the accepted scope and its charge are separately agreed.

Identify who instructs and approves

The organiser, person paying, proposed participants and person authorised to approve may be different people. Make those roles clear. Payment alone does not establish authority to make another person a director or member, approve documents for them or provide consent on their behalf.

Your guarantors and guarantee amount in the CLG application

The online instruction brings the proposed membership and guarantee into the same formation task as the company details and governing documents. You decide the arrangements; Coddan prepares and reviews the agreed application.

Agree the membership commitment

A CLG has guarantor-members rather than shareholders and no share capital. Each initial guarantor’s particulars and agreed guarantee amount belong in the statement of guarantee. Use the amount agreed for the proposed company rather than assuming that every CLG uses £1 or £10.

The guarantee concerns the member’s undertaking on winding up, including the applicable position after leaving membership. It is not an upfront payment to Coddan or a complete limit on every possible personal liability. The explanation above sets out the distinction.

Bring the particulars into the agreed application

Supply the guarantor information and guarantee instructions through the supported form choices. Your manager helps clarify overlapping roles, corporate guarantor-members or an arrangement that needs further discussion.

Coddan prepares and reviews the agreed incorporation information alongside the memorandum and articles, raises outstanding questions and obtains the necessary approvals before submission. That review helps address inconsistencies; Companies House still decides whether to incorporate.

How Coddan prepares your CLG application with you

Form IN01, the guarantee and your governing documents

What do the memorandum and articles of association establish?

Bring together the proposed name, activities and relevant SIC information; directors, guarantor-members and relevant control particulars; the agreed guarantee amount; the registered office and required individual addresses; and the appropriate memorandum and articles choices.

The statement of guarantee records the initial guarantors’ particulars and agreed undertaking. The memorandum records the initial subscribers’ agreement to form the company and become its members; the articles set out its governing rules. Where particular objects are agreed, they are reflected in the appropriate articles rather than replacing those rules with an entry in the incorporation application. Describe the purposes and arrangements you want Coddan to consider within the accepted service.

Review, approval, electronic submission and digital documents

Your personal manager helps clarify outstanding questions. Coddan prepares and professionally reviews the agreed application; the relevant customers and participants retain their facts, decisions, consents and approvals. Applicable checks and approvals must be complete before agreed electronic submission.

Companies House decides whether to incorporate. Successful incorporation establishes the company and its company number; the included digital certificate, memorandum and articles follow. Coordinating the information, preparation and approvals helps the application progress without treating online entry as completed incorporation.

✓ Personal-manager help with your formation choices | ✓ Suitable documents and agreed application preparation | ✓ Professional review and your approval before submission | ✓ Digital company documents after successful incorporation

  • Tell us what you want to establish. Your personal manager helps clarify the company details, proposed roles, purposes and services you need.
  • We prepare the agreed application and suitable formation documents from your instructions, bringing the company details and governing arrangements together.
  • We review the prepared application and raise outstanding questions with you, so you can consider the work before giving the necessary approval.
  • You and the relevant participants confirm the facts, appointments, consents and documents you are responsible for approving. Your manager helps clarify what is needed; the decisions remain with the appropriate people.
  • Once the required information, checks and approvals are ready, we submit the agreed incorporation application electronically to Companies House. Companies House makes the incorporation decision.

How does Form IN01 relate to Coddan’s online application?

Form IN01 is Companies House’s published paper application to register a company. With this online route, you give us the company information and instructions; we clarify outstanding questions, prepare and review the agreed electronic incorporation application, and submit it after the applicable checks and approvals. You do not need to download and complete paper IN01. Entering the order is the start of the instruction, rather than the company’s incorporation. Companies House decides incorporation; electronic submission does not guarantee priority or a completion time.

You can read Companies House’s incorporation guidance for the official requirements and available filing routes.

A supported online route from company instructions to electronic filing

A straightforward online start works best when the proposed company information is ready and a person can help resolve the questions. Coddan’s preparation and review connect your choices to the agreed incorporation application.

Enter the ready information

Allow about 5–10 minutes for straightforward instructions when the information is to hand. For simple limited by guarantee company formation, provide the proposed company details, participants, guarantee and address choices. Ensuring that all this information is prepared in advance will streamline the process and help avoid any incorporation delays. With the information ready, the process typically takes around 5–10 minutes and is less likely to be delayed.

Clarify, check and approve

Your personal manager helps clarify outstanding points while Coddan prepares and reviews the agreed application. AML/KYC customer checks and Companies House identity verification are separate; existing verification and the relevant charges are explained in the checks section below.

You and the relevant participants provide the facts, consents and approvals. Coddan can assist with relevant Companies House verification in its registered ACSP role; that status does not give the incorporation application priority.

Submit the agreed application

Once the applicable requirements and approvals are complete, Coddan submits the agreed application electronically. The £100 Companies House incorporation fee is included in the formation base price.

Companies House processes the submitted application and decides whether to incorporate the company. After successful incorporation, you receive the included digital certificate, memorandum and articles. Preparation, checks and approvals take place before submission; Companies House processing follows separately.

Complete the applicable checks and approvals

How do AML customer checks differ from Companies House identity verification?

Coddan’s anti-money-laundering (AML) and Know Your Customer (KYC) checks concern the customer and accepted instruction. Companies House identity verification is the separate statutory process for verifying individuals in applicable roles, including directors and PSCs. Which individuals need Companies House verification depends on their roles and the applicable rules; being a guarantor-member alone should not be treated as a universal requirement to buy paid verification. Tell your manager about existing verification so the relevant checks and application steps can be clarified without treating the two processes as interchangeable.

Tell Coddan about relevant existing Companies House verification. Where you already have your Companies House Personal Code, the £30 per-person formation-client check charge covers Coddan’s KYC check. Where you do not have a code, the same £30 covers KYC and the relevant Companies House identity-verification assistance. These are not two separate £30 charges. Applicable VAT is additional under the order-form treatment explained below.

Companies House also provides a free identity-verification route through GOV.UK One Login. Accepted existing verification does not remove Coddan’s separate customer-check obligations. Your manager will clarify the applicable information and next steps; follow the agreed secure instructions for supplying confidential evidence or codes, rather than putting them in general comments or an initial enquiry email.

In its registered ACSP role, Coddan can provide the relevant Companies House identity-verification assistance. That role does not give an application priority at Companies House or guarantee incorporation.

Your CLG formation price and the services you choose

What does Coddan’s flexible UK CLG formation application include?

The formation base price is £119.99 before applicable VAT, including the £100 Companies House incorporation fee. It covers the agreed formation preparation, review and electronic submission, normal personal-manager formation assistance and the included digital incorporation documents following successful registration.

Choose the address and other services that suit your proposed company. A Coddan registered office, individual service addresses, applicable per-person checks and separately agreed work can add to the formation base price. The application shows your selected services and charges; ask your personal manager if you need help understanding a choice before proceeding.

VAT on the relevant order form

On Coddan’s UK-resident online order form, applicable VAT is calculated on the purchase amount after deducting government fees. Coddan does not add VAT on its non-UK-resident online order form under the confirmed treatment for these orders. This does not change which incorporation jurisdiction or registered-office location is appropriate.

Address periods and later charges

Formation is a one-off service. A selected registered-office service is provided for 12 months; its address charge is separate from the formation fee. Check the selected service’s price and agreed renewal terms. The formation fee is not an annual registered-office renewal, and ongoing records, accounting, tax or secretarial work is included only where expressly listed in the service you select or separately agree.

Request extras through the comments section

If you need additional services, explain the request in “Add your further comments or instructions”. Coddan will email the relevant offers so you can choose the work you want. Agreed extras can be paid through PayPal or by debit or credit card through Stripe. Requesting an extra does not make it part of the formation base price.

Printed or authenticated document sets, prepared membership certificates, minutes, registers and continuing maintenance are not included in the basic digital formation offer unless expressly selected or agreed. Ask your manager about the work and charge before proceeding.

From entering your details to receiving company documents

  1. Enter the ready instructions. For straightforward arrangements, allow about 5–10 minutes when the information is to hand. Gathering facts, agreeing the governing arrangements or obtaining documents can take longer.
  2. Complete clarification, checks and approval. Coddan prepares and reviews the agreed material; you and the relevant participants supply outstanding information and give the necessary consents and approvals. Some of this work can overlap.
  3. Coddan submits the ready application. The agreed electronic filing includes the £100 official incorporation fee already included in the base price.
  4. Companies House considers registration. Processing follows submission and depends on the application and Companies House. A registration date or completion time is not guaranteed.
  5. Receive the included digital documents. Following successful incorporation, receive digital copies of the Certificate of Incorporation, memorandum and articles of association. Selected additional services are provided under their own agreed scope and period.

What do the digital incorporation documents establish—and what remains afterwards?

After successful incorporation, you receive the included digital certificate of incorporation, memorandum and articles of association. The certificate evidences the company’s incorporation; the memorandum records the initial subscribers’ agreement to form it and become members, and the articles contain its governing rules. These give you the company’s formation documents, while putting its operational arrangements in place remains a separate task. Tell your personal manager what the organisation needs next so any further assistance can be discussed and separately agreed.

What remains after incorporation?

Incorporation creates the company. Putting the organisation into appropriate working order depends on its purposes, intended activities and actual circumstances. Where further professional assistance is needed, the work starts by establishing the necessary arrangements; suitable documents, records and practical implementation follow those needs. The company and its directors retain their responsibilities, including applicable filings and tax obligations. The formation fee does not include a wider organisational assessment or subsequent implementation unless expressly included in the agreed scope. Charity registration, banking, tax registration assistance, accounts and later filings are not automatically included. Ask your personal manager to clarify any further work, its scope and charge before you agree to proceed.

Start your CLG application, or talk through your requirements

Start your UK CLG application with your own suitable registered office, or select a separately charged Coddan office in the intended jurisdiction. The £119.99 formation base price includes the £100 Companies House incorporation fee; applicable VAT, checks and selected services affect the amount payable. If the form choices do not fit your proposed company, ask a personal manager first. Email or telephone enquiries lead to proper written instructions before we act.
