UK Charity Jurisdictions

CIO Registration Across England and Wales, Scotland and Northern Ireland

Charity regulation is not governed by one single UK-wide charity regulator. The applicable registration route depends on the jurisdiction in which the organisation is established. CIOReg™ on this page is focused on establishing and registering a CIO in England and Wales. Scotland and Northern Ireland have their own charity regulatory arrangements and should be considered separately.

England & Wales

Primary CIOReg™ Route

New CIOs in England and Wales register with the Charity Commission for England and Wales. CIOReg™ provides professional support with the applicable registration process within the agreed scope.

Scotland

Separate Regulatory Route

Scotland has its own charity regulatory framework and registration process. The England and Wales CIOReg™ route should not be assumed to apply to a Scottish charity.

Northern Ireland

Separate Regulatory Route

Northern Ireland has its own charity regulatory framework and registration process. The England and Wales CIOReg™ route should not be assumed to apply to a Northern Irish charity.

For this CIOReg™ service, the primary route is England and Wales. If your proposed CIO will be established in England and Wales, Coddan can assist with preparing and progressing the applicable Charity Commission registration process. The Charity Commission remains responsible for assessing the application and deciding whether the CIO should be registered.

Establish Your CIO

CIO Registration in England and Wales

If you have decided to establish a Charitable Incorporated Organisation (CIO) in England and Wales, Coddan can provide professional support with the CIO registration process, from reviewing the information required for your application through to preparation and submission support within the agreed scope of your selected CIOReg™ package.

A CIO follows its own establishment route. It is created by registration with the Charity Commission for England and Wales rather than by first incorporating a separate company at Companies House. This page is focused on organisations that have chosen the CIO route and want professional assistance to establish and register their new organisation. The Charity Commission remains responsible for assessing the application and deciding whether the CIO should be registered. :contentReference[oaicite:0]{index=0}

Have you already decided that a CIO is the right route for your organisation? Choose the level of professional assistance that matches your requirements. Coddan can help you prepare and progress the registration process, while the Charity Commission remains responsible for the registration decision.

Need to discuss your proposed CIO first? Contact Coddan for a consultation about the proposed registration route, organisational information and available CIOReg™ support.

Professional CIO Support

Establish Your CIO With Professional Support

CIOReg™ is designed for organisations that have already decided to pursue the CIO route. If your trustees or founding members have determined that a Charitable Incorporated Organisation (CIO) is the structure they intend to establish, Coddan can assist with the practical preparation and registration process within the agreed scope of your selected package.

Our role is to help you prepare, review and progress the registration process — not to decide which legal or organisational structure is right for your particular objectives. The choice to establish a CIO remains with the organisation and its trustees or founders, who should consider their own circumstances, charitable purposes, governance arrangements and longer-term requirements when selecting the appropriate route.

You Decide the Route

Start With Your Decision

CIOReg™ begins after you have decided to pursue the CIO route. You provide the proposed organisational information and chosen structure, and Coddan works from the information you provide.

Coddan Supports the Process

Prepare and Progress

Coddan can review the relevant information, help prepare the applicable registration materials and support the Charity Commission submission process within your selected package.

Your Organisation

Retain Your Decision-Making Role

Your trustees and founders remain responsible for the organisation's decisions, charitable purposes and governance arrangements while Coddan provides the agreed professional registration support.

Professional Assistance Without Unnecessary Restructuring

Choosing CIOReg™ does not mean you need to replace your existing accountant, solicitor or other professional adviser. Coddan's role is focused on the CIO establishment and registration process. Your existing advisers can continue to provide the services that fall within their own professional remit, with coordination where appropriate and included within the selected package.

The purpose of professional CIO support is not to make the decision for you. It is to help turn a decision you have already made into a properly prepared registration application and, where included in your package, provide support through the relevant registration stages.

Your Registration Journey

Your CIO Registration Journey

From deciding to establish your CIO through registration and the start of its ongoing compliance lifecycle, each stage has a clear purpose.

1

Understand

Confirm the CIO route and registration requirements.

2

Choose

Select your intended CIO structure and route.

3

Prepare

Provide the organisational and registration information.

4

Review

Review the information and applicable application materials.

5

Submit

Progress the application through the relevant registration process.

6

Register & Continue

Complete registration and move into ongoing CIO compliance.

Registration is the beginning of the CIO lifecycle. After registration, the organisation must continue to meet its applicable Charity Commission reporting and governance obligations.

Understand the Route

CIO Registration Is Its Own Establishment Route

If you have decided to establish a Charitable Incorporated Organisation (CIO), the route is different from creating a separate company first and then pursuing charitable registration. A CIO is established through the applicable Charity Commission registration process for England and Wales.

CIO Route

CIO

Charity Commission registration

CIO established

The CIO route does not require you to first incorporate a separate company at Companies House.

Alternative Corporate Route

CLG

Companies House incorporation

Separate charity-registration process

A CLG is a separate incorporated company and therefore follows a different corporate and charity-registration route.

Two Different Routes — Not a “Better” or “Worse” Choice

CIO and CLG structures are different by their legal nature and establishment route. Coddan does not tell you which structure is better for your organisation. The appropriate route depends on your organisation's objectives, governance requirements and circumstances. If you have already decided to establish a CIO, CIOReg™ is designed to help you prepare and progress that route.

A Different Registration Route Does Not Mean “No Compliance”

Establishing a CIO through the Charity Commission route does not remove the organisation's ongoing responsibilities. Once registered, the CIO must continue to meet its applicable governance, reporting and regulatory obligations. Registration is the beginning of the CIO's operating lifecycle, not the end of it.

If you are considering a charitable company route rather than a CIO, Coddan provides separate information and services for charitable CLG incorporation and charity registration.

Structure Selection

Choose Your CIO Structure — Association or Foundation

An England and Wales CIO can be established using one of two recognised structures. The key distinction concerns the organisation's membership and governance arrangements. Understanding this choice before preparing the registration helps ensure that the application reflects the structure the organisation intends to operate.

Governance feature
Foundation CIO
Association CIO
Members
The trustees are the only members of the CIO.
The CIO has members in addition to its trustees.
Voting membership
There is no separate wider voting membership body beyond the trustees as members.
The organisation has a wider membership structure with voting rights as provided by its governing document.
Governance arrangement
The governance structure is centred on trustees who are also the CIO's members.
Trustees govern the CIO alongside the wider membership arrangements established for the organisation.
Key consideration
Consider this route where the intended governance model places membership with the trustees.
Consider this route where the organisation intends to have a wider membership with voting rights.
Coddan's role
Coddan can help prepare and coordinate the Foundation CIO registration route you have selected.
Coddan can help prepare and coordinate the Association CIO registration route you have selected.
?

Which structure should you choose?

The choice depends on how you want your CIO to be governed and who should hold membership rights. You choose the structure; Coddan helps prepare the registration route you have selected. Coddan does not decide which governance model is appropriate for your organisation.

Considering a different charitable structure instead? Coddan also provides separate information and services for charitable Companies Limited by Guarantee.

Registration Preparation

Prepare the Information for Your CIO Registration

Before a CIO registration application can be prepared, the organisation needs to provide the core information that describes its proposed structure, charitable purposes and governance arrangements. Having this information available at the outset helps Coddan review the proposed registration information and prepare the applicable materials within the scope of your selected CIOReg™ package.

01 · CIO Name

Proposed Name

Provide the proposed name for the CIO so that the relevant information can be reviewed as part of the registration preparation process.

02 · Charitable Purposes

What the CIO Will Do

Provide the proposed charitable purposes and relevant information about the activities through which those purposes are intended to be pursued.

03 · Trustees

Trustee Information

Provide the required information for the proposed trustees, including the information necessary for the registration application.

04 · Members

Membership Arrangements

Provide the proposed membership information relevant to the CIO structure you have selected, including the relationship between members and trustees where applicable.

05 · Governing Document

Constitutional Information

The governing document sets out the CIO's constitutional and governance framework and forms an important part of the registration process.

06 · Organisation

Organisational Information

Provide the relevant information about the organisation, its proposed activities, beneficiaries and operating arrangements required for the application.

The Governing Document Matters

The governing document is not simply an administrative formality. It sets out the CIO's constitutional framework, membership arrangements and trustee governance. The information provided for the registration application should therefore be consistent with the structure and purposes the organisation intends to establish.

You provide the substance of the organisation. Coddan can help review and prepare the relevant registration information and documentation within the scope of your chosen package. Where trustees already have their own professional advisers, those advisers can remain involved in matters within their respective professional remit.

International Trustees

International Trustees? You Can Still Establish an England and Wales CIO

Having trustees who are based outside the UK does not, by itself, mean that an England and Wales CIO cannot be established. CIOReg™ can support organisations with internationally based trustees by helping prepare the relevant registration information and progressing the applicable Charity Commission process within the scope of the selected package.

The important point is that international participation must be considered within the requirements of the particular CIO and its proposed circumstances. The presence of overseas trustees does not create an automatic entitlement to registration, and Coddan does not represent that every international trustee arrangement will satisfy the applicable requirements.

International Participation

Overseas Trustees Can Be Considered

Trustees may be based internationally, subject to the applicable requirements and the circumstances of the proposed CIO. The organisation should provide accurate information about each proposed trustee.

Registration Requirements

The Requirements Still Apply

International trustees do not remove the requirement for the CIO to satisfy the applicable Charity Commission registration requirements. The application must still accurately establish the proposed organisation and its governance arrangements.

Coddan Support

Prepare the Route Correctly

Coddan can help prepare the relevant trustee information, organisational information and registration materials and support the submission process within the selected CIOReg™ package.

International trustees are not a reason to assume that the CIO route is unavailable. At the same time, the proposed trustee arrangements must be assessed against the applicable England and Wales requirements. Where additional information or clarification is required during the Charity Commission process, the level of assistance available will depend on the CIOReg™ package selected.

Registration Process

From Application Preparation to Charity Commission Registration

Once your CIO information and governing document are prepared, the registration process moves through a structured application and review stage. Coddan can prepare and coordinate the registration route you have selected, including assistance with relevant Charity Commission correspondence within the scope of your package.

What Coddan Handles

Depending on the CIOReg™ package selected, Coddan can assist with the practical preparation and administration of the registration route.

  • Review of the information prepared for the application
  • Application preparation and administrative coordination
  • Registration submission support
  • Assistance with relevant additional information or correspondence where included in the selected package
CC

What the Charity Commission Does

The Charity Commission is the regulator responsible for assessing the application and deciding whether the CIO should be registered.

  • Considers whether the organisation meets the legal requirements for registration
  • Reviews the information and governing document provided
  • May request additional information or clarification
  • Makes the regulatory registration decision

Important: Coddan prepares and supports your CIO registration application; the Charity Commission assesses the application and makes the registration decision. Registration is therefore subject to the Commission's consideration of the information, charitable purposes, trustees and governing document provided.

If the Commission Has Questions

Additional Information or Clarification May Be Required

A Charity Commission application may require further information or clarification before a decision can be made. Where included in your selected CIOReg™ package, Coddan can assist with the administrative response and relevant correspondence.

Information
Review what the Commission is requesting
Clarification
Help organise the relevant response
Correspondence
Administrative coordination where included

How Long Does CIO Registration Take?

There is no fixed registration timeframe that Coddan can guarantee. Processing depends on the completeness of the application and governing document, the circumstances of the organisation, and whether the Charity Commission needs additional information or clarification.

Our approach: prepare carefully, review the application before submission, respond appropriately if further information is requested, and keep the process coordinated through to the Charity Commission's decision.

After Registration

Your CIO Is Registered — What Happens Next?

Registration is the beginning of your CIO's operating lifecycle, not the end of the process. Once established, the CIO must continue to meet the applicable governance, reporting and regulatory requirements of the Charity Commission.

Create → Register → Operate → Report

A CIO should not be treated as a “create and forget” organisation. Its trustees remain responsible for maintaining appropriate governance and meeting the CIO's continuing obligations after registration.

Your Post-Registration Compliance Checklist

The exact obligations depend on the CIO's circumstances and the requirements applicable to it. In general, trustees should expect the organisation to remain actively maintained after registration.

Keep trustee information up to date Maintain accurate records of the CIO's trustees and report relevant changes as required.
Maintain membership records where applicable Keep the CIO's membership information and related records properly maintained where the structure includes members.
Complete the required annual reporting Submit the required annual information, accounts and reporting documents to the Charity Commission within the applicable requirements.
Keep organisational records current Maintain appropriate governance, financial and organisational records throughout the CIO's operating lifecycle.
Report relevant changes when required Changes affecting the CIO, its trustees or other relevant information may need to be notified to the Charity Commission.
Consider serious incident reporting where applicable Trustees should consider whether a serious incident or other significant matter requires reporting to the regulator.

Think in Annual Cycles — Not One-Off Registration

After registration, the CIO enters an ongoing cycle of governance, record keeping, reporting and regulatory responsibilities. The Charity Commission provides guidance on the requirements that apply to registered CIOs, and those requirements should be considered as part of the organisation's continuing administration.

Continuing Support

Need Help Beyond Initial Registration?

CIOReg™ can extend beyond initial establishment where continuing reporting coordination is included in the selected package. Coddan can help coordinate the Charity Commission reporting cycle while your existing professional advisers continue to provide their specialist services.

Your Advisers
Existing accountant and specialists can remain

You do not need to change your accountant simply because you establish a CIO with Coddan.

Your Existing Professional Team

Keep Your Existing Accountant and Professional Advisers

Establishing a CIO does not mean that you need to replace the professional advisers who already understand your organisation. If you have an accountant, solicitor, financial adviser, independent examiner or auditor, they can continue to support you within their respective professional roles. CIOReg™ is designed to complement that existing relationship rather than require you to move your wider professional services to Coddan.

Accountant

Keep Your Accountant

Your existing accountant can remain responsible for the accounting and financial work they already provide. You do not need to change accountants simply because you are establishing a CIO.

Solicitor

Keep Your Solicitor

If your organisation already works with a solicitor, that relationship can continue. Legal advice and specialist legal work remain matters for the organisation's chosen legal adviser.

Financial Adviser

Keep Your Financial Adviser

A financial adviser who already understands your organisation can continue providing advice within their own professional remit. CIO establishment does not require you to transfer that relationship.

Examiner / Auditor

Keep the Appropriate Specialist

Where an independent examination or statutory audit is required, the appointed independent examiner or auditor remains responsible for that professional work. Coddan does not replace that specialist role.

Coordination Where Appropriate

Coddan Can Work Alongside Your Existing Advisers

Where appropriate and within the agreed scope, Coddan can coordinate relevant CIO registration or annual reporting information with your existing accountant, solicitor, examiner, auditor or other professional adviser. The objective is to help keep the relevant parts of the process coordinated without unnecessarily duplicating the work already being performed by your professional team.

Wider Operational Requirements

A CIO May Have Other Financial and Administrative Requirements

Depending on the CIO's activities and circumstances, the organisation may also require professional support with areas such as bookkeeping, accounts, VAT or tax matters, payroll and Gift Aid. These are wider operational requirements rather than the core purpose of CIOReg™ establishment support.

Bookkeeping Accounts VAT / Tax Payroll Gift Aid

You do not have to buy everything from one provider. If your existing professional team already provides the services your CIO requires, you can continue using them. CIOReg™ can be used for the CIO establishment and registration support you actually need.

CIOReg™ Packages

Choose the level of professional support that matches your organisation's actual requirements. CIOReg™ provides different levels of CIO establishment, registration preparation, administrative support and ongoing annual reporting coordination rather than requiring every organisation to purchase the same service.

Existing CIOs can also use the annual reporting support where applicable.

Choose Your Level of Support

Already Have an Accountant or Adviser?

You can continue working with your existing accountant, solicitor, financial adviser, examiner or auditor. You do not need to purchase CIOReg Complete™ simply because you already have a professional adviser. An existing organisation considering a move to a CIO may have a different conversion or restructuring route from a new CIO registration. CIOReg Complete™ should not be treated as an automatic conversion package. If you are changing an existing charitable structure, speak to Coddan before selecting a standard new-CIO registration package so that the appropriate route can be considered.

This page focuses primarily on establishing new England and Wales CIOs. Existing-structure conversions may require separate assessment and professional work.

Establish your CIO properly — then keep its annual reporting cycle organised.

Established Formation Experience

Established Experience. A Different Route.

Coddan has supported the establishment of more than 180,000 Companies Limited by Guarantee since 2005. This experience provides substantial practical exposure to formal organisational structures, constitutional arrangements and professional formation processes.

The CIO route is different. An England and Wales CIO is established through registration with the Charity Commission for England and Wales rather than by first incorporating a separate company at Companies House.

CIOReg™ applies Coddan's professional formation and administrative experience to this separate CIO establishment route, helping organisations prepare and coordinate the registration process they have chosen.

UK Jurisdictional Scope

CIO Registration Across the UK — Different Regulators, Different Routes

CIOReg™ is primarily focused on CIO registration in England and Wales. If your proposed charitable organisation will operate through the England and Wales CIO route, the relevant registration process is with the Charity Commission for England and Wales.

Primary CIOReg™ Service

England and Wales CIO Registration

The CIOReg™ packages on this page are designed around the England and Wales CIO registration route, including preparation, registration coordination and the applicable post-registration or annual reporting support described in the selected package.

Scotland

A Separate Charity Regulatory Framework

Scotland has its own charity regulatory framework and regulator. The registration and ongoing requirements applicable to a Scottish charitable organisation should therefore be considered separately from the England and Wales CIO route.

Northern Ireland

A Separate Charity Regulatory Framework

Northern Ireland has its own charity regulatory framework and regulator. Its applicable registration process and ongoing requirements are separate from the England and Wales CIO route.

There Is No Single UK-Wide Charity Regulator

Charity regulation is administered through separate jurisdictional frameworks. England and Wales, Scotland and Northern Ireland do not operate through one single UK-wide charity regulator. The applicable regulator and registration requirements therefore depend on where the charitable organisation is being established and the relevant legal route.

Important: The England and Wales CIOReg™ route should not be treated as automatically applying to Scotland or Northern Ireland. If your organisation is intended to be established under another UK jurisdiction's charity framework, the applicable route, regulator and requirements must be considered separately.

Professional Support

Why Use Professional CIO Registration Support?

Establishing a CIO involves more than completing an online form. The registration application needs to reflect the organisation's proposed purpose, structure, trustees, members and governing arrangements and provide the information required for the applicable registration route. Professional support can help bring those elements together before submission and provide continuity through the registration process.

01 · Preparation

Structured Preparation

Organise the core information required for the proposed CIO registration route before the application is submitted.

02 · Review

Professional Review

Review the information provided for consistency and completeness within the scope of the selected CIOReg™ package.

03 · Completeness

Reduce Incomplete Information

A structured review can identify missing or unclear application information before it becomes part of the submission process.

04 · Submission

Support Through the Application

Receive practical support with preparing and coordinating the application through the relevant Charity Commission registration process.

05 · Follow-Up

Assistance With Additional Information

Where the Charity Commission requests further information or clarification, applicable packages can include assistance with the relevant response and correspondence.

06 · After Registration

Practical Post-Registration Guidance

Understand the practical next steps after registration and the importance of continuing governance and reporting obligations.

07 · Continuing Support

Annual Reporting Coordination

Where CIOReg Complete™ is selected, Coddan can coordinate the applicable annual Charity Commission reporting cycle, including coordination with existing professional advisers where appropriate.

08 · Specialist Focus

Focused on the CIO Route

CIOReg™ is specifically structured around CIO establishment and registration rather than treating the process as an incidental addition to unrelated corporate services.

Professional Support Does Not Mean Guaranteed Registration

Coddan can help prepare and coordinate the registration process, but the final decision remains with the Charity Commission for England and Wales. The Commission may request additional information or clarification, and processing times can vary according to the completeness and complexity of the application.

Support for the Route You Have Chosen

CIOReg™ does not decide whether a CIO is the right structure for your organisation. If you have already decided to pursue the CIO route, Coddan can help you prepare, coordinate and progress that route within the scope of the package you select.

Questions Before You Start?

CIOReg™ Frequently Asked Questions

Here are some of the questions organisations commonly consider before starting a CIO registration. If you already know that the CIO route is right for your organisation, you can proceed directly to the CIOReg™ packages.

How do I register a CIO?
A CIO in England and Wales is established through the Charity Commission registration route. The process involves preparing the required organisational, trustee, membership, governing document and charitable-purpose information, reviewing the application and submitting it to the Charity Commission. Coddan can provide professional preparation and registration support through the CIOReg™ packages.
Can I create a CIO without forming a company?
Yes. The CIO route is different from incorporating a separate company first. For an England and Wales CIO, the organisation follows the Charity Commission registration route rather than first creating a separate company at Companies House. This is one of the fundamental differences between the CIO and charitable-company routes.
What is an Association CIO?
An Association CIO has trustees together with a wider voting membership. The members and trustees therefore have distinct roles within the organisation's constitutional and governance arrangements.
What is a Foundation CIO?
A Foundation CIO has trustees who are also the members. It therefore does not have a separate wider voting membership in addition to the trustee membership.
Can trustees live outside the UK?
Internationally based trustees do not automatically prevent an organisation from establishing an England and Wales CIO. However, the proposed CIO must satisfy the applicable Charity Commission requirements, and the circumstances of the trustees and organisation may need to be considered as part of the application. Coddan can assist with the registration process where an international trustee structure is involved.
How long does CIO registration take?
There is no fixed registration time that Coddan can guarantee. Charity Commission processing depends on factors including the completeness and complexity of the application and whether the Commission requests additional information or clarification. Coddan can help prepare and coordinate the application, but the registration decision and processing time remain with the Charity Commission.
Do I need a UK address?
Your CIO will need to satisfy the applicable address requirements for its registration and operation. You do not have to purchase a Coddan address if you already have a suitable legitimate address for the CIO's purposes. Where an appropriate professional address arrangement is required, CIOReg Office™ provides that option.
Do I need to change my accountant?
No. You can keep your existing accountant, solicitor, financial adviser, independent examiner or auditor. Coddan can work with your existing professional advisers where appropriate, particularly when coordinating the CIO's annual Charity Commission reporting.
Can Coddan help with Charity Commission questions?
Yes. Where included within the selected CIOReg™ package, Coddan can assist with relevant additional information, clarification requests and correspondence arising during the Charity Commission application process. The scope of assistance depends on the package selected and the nature of the request.
What happens after CIO registration?
Registration is the beginning of the CIO's operating lifecycle. The trustees must continue to meet the CIO's applicable governance and reporting responsibilities, including the relevant annual return, accounts and trustees' annual report requirements. The precise obligations can depend on the CIO's circumstances. CIOReg Complete™ provides continuing annual Charity Commission reporting coordination where selected.
Can an existing CIO use CIOReg Complete™?
Yes. CIOReg Complete™ can support an existing CIO approaching its annual reporting cycle. The package can cover preparation and coordination of the relevant annual return, accounts and trustees' annual report, together with coordination with the CIO's existing accountant or other professional adviser where appropriate. It is priced at £895 + VAT per annual reporting cycle.
