Coddan coordinates the stages within the written scope. Companies House, the appointed notary, the translator, the Foreign, Commonwealth and Development Office, an embassy or consulate and the receiving authority each retain responsibility for their own act or decision.

A complete instruction is not a standard list of formalities. It is a defined sequence connecting the document to its authoritative source, the receiving person or authority, the destination, the intended purpose, the acceptable form and the document’s readiness.

The route may involve obtaining an official Companies House product, preparing an appropriate private company document, a notarial act, a certified translation, an apostille, embassy or consular legalisation, or controlled delivery. Only the stages justified by the confirmed requirement belong in the scope.

The order matters. A translation completed too early may omit a later certificate. A document sent for apostille before the correct signature or notarial act exists may be ineligible. A consular submission prepared without current mission requirements may be refused or returned. Coordination therefore begins with sequence and dependency, not dispatch.

  • Coddan’s professional work and the relevant official, professional and delivery charges;
  • custody, collection, dispatch, tracking, return and delivery arrangements where operationally confirmed;
  • the treatment of rejection, amendment or resubmission where agreed; and
  • assumptions, exclusions, matters awaiting confirmation and decisions retained by third parties.

A deadline is recorded as a requirement to be considered, not as a promise that an independent professional, authority, mission or carrier will act within a guaranteed time.

Companies House documents

Coddan can identify and order the selected certified copy, company certificate or available summary statement directly from Companies House. Companies House issues and certifies the product and controls its availability, official content and issue.

Private company documents

An authority, resolution, certificate or other private company document may need to be prepared from verified corporate information. Its source, approving authority and factual basis must be established; missing facts must not be manufactured.

Notarial services

Coddan provides notarisation through its in-house and associated notaries. The appointed individual notary determines the evidence required and performs and controls the notarial act.

Certified translation

Coddan arranges certified translation through certified translators. The appointed translator prepares and certifies the translation. Translation does not authenticate or correct the underlying document.

Apostille preparation and coordination

Coddan prepares and coordinates the appropriate paper or electronic apostille route. The FCDO Legalisation Office determines eligibility and issues or refuses the apostille.

Embassy or consular legalisation

Coddan prepares and coordinates a mission stage where the current destination procedure establishes that it is required. The relevant embassy or consulate controls its requirements, official act and decision.

Custody and delivery

Collection, custody, scanning, secure transfer, dispatch, tracking, return and international delivery must be stated only where the applicable arrangements have been operationally confirmed in the written scope. A carrier controls carriage and delivery under its terms.

Some commercial documents may be subject to a chamber procedure. That possibility is included only after the current destination requirement, responsible institution and Coddan's operational capability have been verified.

Order and form control

Paper and electronic routes must remain compatible from start to finish

An electronic source, an electronically signed notarial document and an e-Apostille may support an electronic route where the document is eligible and the recipient accepts that form. A paper original, wet-ink signature, physical notarial certificate, paper apostille or mission submission may require a paper route.

Paper and electronic stages are not universally interchangeable. Before the first act, confirm whether later professionals and institutions can receive the chosen form and whether the final recipient accepts the completed chain.

Where the route changes after work has begun, the effect on signatures, certification, translation, custody and completed stages must be assessed before continuing. A scan of a paper document is not automatically equivalent to the original, and printing an electronic certificate does not necessarily preserve its electronic evidential function.

Coordination does not make an unsuitable source reliable. Before implementation, establish whether the document exists, comes from the correct source and is accurate, complete, current enough, legible and supported by the relevant public and internal records.

Public-register information

Check whether the correct company and filing have been identified and whether later filings, a change of name, a dispute or historic information affect the proposed evidence.

Internal records and authority

Confirm that statutory registers, minutes, resolutions, articles, objects and authority documents support the private document or corporate act being presented.

Language and completeness

Confirm the full page set, attachments, stamps, seals and endorsements and whether later notarial, apostille or mission material must also be translated.

Company status

Distinguish the retrieval or use of historic evidence from a dissolved company attempting a new formal corporate act. Translation, certification and legalisation do not restore the company.

If the source is inaccurate, incomplete, disputed or historically inconsistent, the appropriate filing, correction, record, governance or restoration route comes first. Authentication does not correct the source or prove its commercial effect.

    If a document is rejected, returned or made unsuitable by a changed requirement, we identify the affected stage and agree any correction, amendment or resubmission work before proceeding.

  6. Complete the agreed delivery and close the scope

    The completed document set is checked against the agreed stages and released under the confirmed delivery arrangements. The receiving authority retains the acceptance decision.

A returned document does not automatically justify repeating the complete route. The cause may concern the source document, signature, notarial wording, apostille eligibility, translation, mission requirement, document age, format, submission method or recipient instruction.

Before any amendment or resubmission, establish:

  • which professional or institution rejected or returned the document;
  • the written reason, if supplied;
  • whether the original requirement changed or was misunderstood;
  • which completed stages remain usable;
  • whether a new document, signature, certification, translation or official act is required;
  • the additional professional, official and delivery charges; and
  • the revised scope and responsibility for the next action.

Coddan cannot reverse another institution’s decision or guarantee that a revised document will be accepted. Material legal interpretation or dispute must be referred for appropriate independent advice.

What determines the cost of a coordinated route

The cost follows the confirmed professional route rather than a universal legalisation package. The written scope should distinguish, where applicable:

  • Coddan’s professional work in checking readiness, sequencing and coordinating the instruction;
  • Companies House product and official charges;
  • notary, solicitor and translator fees;
  • FCDO apostille charges;
  • embassy, consular or verified chamber charges;
  • postage, courier, collection, return, tracking, insurance and international-delivery charges where confirmed;
  • urgent or exceptional investigation, evidence or document-preparation work;
  • rejection, amendment and resubmission work where required; and
  • Value Added Tax treatment where applicable.

Fixed prices, route-determination charging, urgent-service charges, provider-specific charges, refunds, resubmission terms and delivery charges remain subject to current commercial and operational confirmation. No historic price or third-party charge should be treated as current.

An inaccurate, incomplete, disputed or improperly delivered filing must be addressed through the applicable present-day filing, replacement or correction route. Certification or legalisation does not amend the register.

Statutory registers, minutes, resolutions, objects and authority documents must be investigated and corrected through the appropriate corporate route. An authenticated document cannot reconcile conflicting records or manufacture missing facts.

Dissolved companies

Existing historic evidence may be retrieved and treated for a proper purpose, but certification, notarisation, translation, apostille or legalisation does not restore a company. Before restoration, work is limited to investigation, retrieval, reconstruction, reconciliation and preparation. Administrative restoration and restoration by court order remain separate routes.

  • Companies House issues and certifies its official products and controls their availability, permitted content, processing and issue.
  • The appointed individual notary assesses the evidence, performs the notarial act and controls the notarial wording, seal and professional decision.
  • A solicitor controls any separate solicitor certification or legal work expressly included in a verified instruction.
  • The appointed translator prepares the translation and certifies it in the required form.
  • The FCDO Legalisation Office determines whether the relevant signature, seal, stamp or capacity is eligible and issues or refuses the apostille.
  • An embassy, high commission or consulate controls its current documentary requirements, official act, submission rules and decision.
  • A chamber of commerce controls any applicable chamber act; this route remains reserved unless current requirements and Coddan’s coordinating capability are verified.
  • A courier or postal provider controls carriage, tracking and delivery under its terms.
  • The receiving authority decides whether the completed document is acceptable for the intended purpose.

Coordination does not transfer another professional’s or institution’s authority to Coddan. It also does not guarantee acceptance, eligibility, processing or delivery time.

When should I use the complete service?

Use it when the required document and a sequence of two or more professional or institutional stages have been confirmed and you want Coddan to coordinate that sequence. If the route is still uncertain, begin with UK Company Documents for International Use.

Do all company documents used abroad need a complete legalisation service?

No. The recipient may accept the existing document, require one specialist treatment or require several stages. The shortest appropriate route should be used, including no additional treatment where that is sufficient.

Does Coddan perform every stage itself?

No. Coddan performs its own work and coordinates verified stages. Companies House issues its products, the appointed notary performs the notarial act, the translator certifies the translation, the FCDO issues the apostille, and an embassy or consulate performs its own official act.

What does Coddan coordinate?

Within the written scope, Coddan can control the document set, sequence, readiness checks, instructions, professional and authority handovers, exception handling and confirmed delivery arrangements. Each independent professional and institution retains its own decision.

Can Coddan determine the route if it is not yet confirmed?

Yes. If the route is not yet confirmed, begin with the main service entrance. Establish the document, recipient, destination, intended purpose and acceptable form before arranging a managed multi-stage service.

Must notarisation come before an apostille?

Not always. Some official documents may be eligible on an official signature or seal, while a private document may require an appropriate public-official certification first. The eligible signature, document form and recipient’s requirements determine the route.

Is embassy or consular legalisation always required after an apostille?

No. A mission stage is included only where the current destination procedure requires it. The relevant embassy or consulate controls its requirements and decision.

Can paper and electronic stages be mixed?

Only where each later professional, institution and recipient accepts the resulting form. Paper and electronic documents are not universally interchangeable, so compatibility must be checked before the sequence begins.

When should translation take place?

At the point required by the recipient and destination procedure. Translation may precede another act or may need to include a later notarial certificate, apostille or consular endorsement. The translator prepares and certifies the translation; translation does not authenticate the source.

Does an apostille prove that the document is true?

No. Within its proper scope, an apostille authenticates the relevant signature, seal, stamp or capacity. It does not establish the truth, legal validity or commercial effect of the document.

Does completed legalisation guarantee acceptance?

No. The receiving authority decides whether the document, form, age, wording and completed chain satisfy its requirements. Coordination reduces avoidable route errors but cannot replace that decision.

What happens if one stage rejects or returns the document?

The reason and affected stage should be established before anything is repeated. A revised scope may require a new source document, signature, certification, translation, official submission or delivery arrangement. Additional work and charges must be agreed rather than assumed.

Can the complete service correct an inaccurate Companies House filing?

No. The applicable filing, replacement or correction route must address the public register. Authentication of the existing document does not correct it.

Can it correct internal company registers or governance documents?

No. Internal registers, minutes, resolutions, articles and authority evidence must be investigated and corrected through their proper corporate route. The resulting suitable document may then enter the confirmed authentication sequence.

Can a complete legalisation service restore a dissolved company?

No. Certification, notarisation, translation, apostille and legalisation do not restore a company. Administrative restoration and restoration by court order remain separate legal routes.

Does the service include custody, courier and international delivery?

Only where those arrangements have been operationally confirmed and included in the written scope. The scope must identify custody, tracking, insurance, return and delivery dependencies without guaranteeing a carrier’s performance.
