A historic certificate may show that an LLP was incorporated or a limited partnership registered. It does not show that the organisation was still active or able to sign at a later date. An LLP may have been struck off, dissolved and subsequently restored; a limited partnership may have ceased business or changed partners. The documentary answer depends on the date and legal event, not the label “former partnership.”

What was the entity's status on the relevant date?

Coddan builds a timeline from the public record and available private evidence. For an LLP, restoration and any outstanding filings are separate legal and administrative matters. For an ordinary or Scottish LP, cessation and winding-up records require attention to the partner agreement, authority and applicable register duties; there is no assumed LLP-style restoration route. A Scottish LP's separate personality does not itself prove that its business continues or that a former partner can act now.

If the recipient needs a present-day authority statement, assets, creditor position or tax conclusion, the relevant professional must address that question. Neither an apostille nor a notarial copy converts a historic fact into a current one.

Use a dated view of the record

A historical certificate can prove that an LLP was incorporated or an LP registered; it does not alone prove the entity was active at a later date. Determine whether the recipient asks about the date of a contract, the date of dissolution or cessation, or present status after any restoration.

Check the relevant filing history and whether the necessary historical documents remain available. LLP restoration and an LP or SLP’s cessation follow different legal procedures. Refer questions about continuing liabilities, vesting or legal effect to a qualified adviser.

What can a historical record establish?

A certified copy of a filed document is evidence of what was filed at the time, even if the LLP was later dissolved or an LP ceased to carry on business. A new certificate, statement about present capacity or act by a former partner raises a different question. Specify the relevant date and ask whether the recipient needs proof of the past event or authority now.
