LLP and Limited-Partnership Powers of Attorney for Specific Transactions

A recipient may ask for a power of attorney authorising a named person to carry out a defined transaction for an LLP or limited partnership. A member decision, general-partner approval and signing mandate may support that instrument, but they are not interchangeable with it. The choice depends on who holds the power, the partnership agreement, applicable law and the transaction the recipient will accept.

Who grants the authority, and for which act?

For an LLP, Coddan checks the named member, any designated status, the agreement's decision rules and the record of approval. For a limited partnership, we distinguish a general partner's authority from a limited partner's interest and examine any corporate general partner's own mandate. Scottish LP legal personality does not remove the need to identify the person signing and the authority relied upon. A public register entry may support the evidence but may not complete it.

Identify the person granting the power

An LLP may act through a person authorised under its agreement and applicable law. In a limited partnership, confirm which general partner can act and whether a limited partner’s participation raises a legal question. Check the instrument’s scope, effective date, execution and any expiry or revocation.

Where a transaction requires a deed, foreign-law language or a specialist authority opinion, obtain legal advice on drafting and execution. Coddan can arrange an appropriate document or notarial service once the underlying authority and receiving requirements are established.

What must be checked before signing?

Ask whether the recipient provides mandatory wording and whether the document is to be executed as a deed. Establish who will sign for the LLP or general partner and whether the agreement permits that person to grant the proposed power. The notary can determine the required attendance and evidence for a notarial act; legal drafting and questions of enforceability need the appropriate lawyer.
