Certified Copies of LLP and Limited-Partnership Filings

A certified copy confirms a particular document held by Companies House. It is different from a download of a public filing and from a certificate stating selected registration facts. Start with the date and purpose of the request: a recipient may need the original LLP incorporation filing, an LLP name change, the LP registration application or a later partnership change. A copy of the wrong filing can be formally certified and still fail to answer the question.

Which filing does the recipient need?

Coddan can identify the filing and check whether Companies House will supply the required certified document for that LLP, ordinary limited partnership or Scottish limited partnership. We order it once availability and format have been confirmed. We check the entity number and filing history, the exact document, the version on the register and whether a subsequent filing changed the position. For private agreements, member decisions or general-partner instructions, the Companies House register may not hold the document at all. Those records require a different source and a different form of verification.

If the copy is for use overseas, provide the recipient's requirements before ordering. The receiving authority may need an original Companies House official's signature for FCDO legalisation, a notarial act, translation or no further authentication. Coddan confirms the appropriate paper or other available form and quotes separately for any additional steps. A certified copy proves that the copied material is what the registrar holds; it does not prove that every statement in the filing remains current or that a disputed private right is valid.

Send the partnership name and number, the filing date or description, the receiving institution and its instructions. Coddan will tell you what can be ordered and what further evidence, if any, is needed.

When a certified copy is useful

A receiving institution may ask to see a specific historical filing rather than general proof that the partnership exists. Give the filing date and ask whether it needs a registrar-certified copy, a current record, or both. For an LLP, a later member or address filing may be more relevant than its incorporation application. For an LP or SLP, the available filing history and copy service must be checked against that partnership’s registration regime.

A certified copy authenticates the document selected for copying. If the information has since changed, send the recipient the later record as well rather than presenting the old filing as a current statement.

What if the document is not available online?

Some filing histories are incomplete or older documents are not immediately visible. Give Coddan the registered number, date and description so availability can be checked with Companies House before offering a certified-copy service. A copy of an LP or SLP application, if available, should not be represented as the certificate of registration. If the recipient needs an original signature for legalisation, the ordering route and document format must be confirmed.
