LLP and Limited-Partnership Register and Record Extracts

This service concerns a dated extract or collection of records, rather than a certificate of signatory authority or evidence of one particular decision. There is no single “company book” that can be copied across an LLP, ordinary LP and Scottish LP. Their public filings, internal records and control information have different functions. An LLP may have member, designated-member and PSC information on the Companies House record, while its agreement and decisions remain private. An SLP has its own partner and PSC requirements. An ordinary LP should not be described as having an LLP-style member register or confirmation statement merely because it is registered.

Which records establish the requested fact?

Coddan compares the public register with the private records actually maintained and the date relevant to the request. We identify whether the recipient needs proof of a filing, an up-to-date partner list, an authority schedule, an agreement extract, accounts or a record of a particular decision. A certified Companies House copy confirms a filed document; a privately prepared extract identifies its source and preparer. Neither can supply information that was never established or reconcile a material contradiction without further work.

Coddan can obtain available official documents and prepare organised copies or extracts of supplied records within an accepted scope. Where information is inaccurate, a supported filing or internal correction may be needed first. Questions about disputed partner rights, privacy, beneficial ownership, tax or litigation go to the responsible specialist.

Public records and private records do different work

An LLP’s register particulars may show members or persons with significant control at a recorded point. Its own agreements and records may contain terms that are not public. LP and SLP registration and control information follow their applicable regimes; the files must be checked for that particular partnership.

What if public and private records disagree?

Identify the specific discrepancy and its date before choosing a document to certify. A newly updated private list does not by itself alter an earlier public filing, and an old public filing does not establish that private arrangements never changed.
