Identify the event the certificate must prove

Coddan first checks the exact entity, jurisdiction, name, registration number and date required by the recipient. We can identify the official certificate and check how an additional certified version or relevant filed copy may be ordered for that entity before promising supply. A certificate confirms the event and facts it actually states. It does not list every current partner, certify signing authority, show tax compliance or prove that a private partnership agreement is in force.

Some recipients ask for an original, a recently issued certified version or a document bearing an official signature for international legalisation. Others accept a register extract. We confirm what the receiving authority means before ordering an expensive chain. Where a name has changed, the incorporation or registration certificate and later change evidence may need to be presented together to connect the historic and current names.

Tell us whether the request concerns an LLP, an ordinary LP, an SLP or a PFLP, and send the recipient's wording. We will identify the certificate or combination of records that can genuinely support the required fact.

Choose the certificate by the question asked

An LLP incorporation certificate addresses the date and identity of incorporation. An LP or SLP registration certificate concerns registration of that partnership. Where a counterparty asks for present membership, partnership authority or ongoing compliance, a formation certificate alone may be insufficient. Ask for the recipient’s exact document list.

For a former name or altered particulars, check the later event and the date relevant to the transaction. If an original signed official certificate is required for legalisation, confirm that form can be supplied before an order is placed.

Has the partnership changed its name since registration?

This service concerns the certificate issued when the LLP was incorporated or the LP was registered. If the recipient needs to connect an earlier name with a later one, ask about the separate name-change and recorded-change service. Companies House issues an LLP Certificate of Incorporation on Change of Name, while evidence for an LP or SLP change must be checked against its actual registered filings. A formation certificate alone does not establish that later event.
